    Il danno, sottoposto negli anni ad un incessante processo di indagine, innovazione e revisione, è intrinsecamente ed inevitabilmente connesso al rischio. Il moltiplicarsi delle occasioni di pregiudizio, anche slegate dall’azione colposa dell’uomo e connesse ai rischi connaturati alle attività e ai mezzi propri di una società industrializzata, si accompagna, infatti, all’emergere di sempre nuove ipotesi di danno, all’estensione dei presupposti dell’obbligo risarcitorio e al ricorso al rimedio assicurativo, il tutto con evidenti ripercussioni sull’elaborazione teorica. Di fronte al problema del danno ogni ordinamento giuridico deve affrontare e risolvere la questione della sussistenza o meno del diritto al risarcimento in capo alla vittima, stabilendo in caso affermativo i criteri per accertare il danno ingiusto, individuare il soggetto a cui accollare l’obbligo risarcitorio e liquidare il danno risarcibile. Nel vastissimo panorama della responsabilità civile, la posizione degli amministratori di società di capitali ha suscitato negli anni l’interesse di attenta giurisprudenza ed illustre dottrina, non soltanto tra i cultori del diritto societario, ma anche tra esperti civilisti e comparatisti. È però nei periodi di crisi economica e finanziaria che, combinandosi la ricerca del profitto con marcate connotazioni sociali, si avverte maggiormente l’esigenza che le norme sull’amministrazione non solo rispondano a principi di correttezza e regolarità gestionale, ma consentano altresì efficienza nei metodi, snellezza di procedure e rapidità di processi decisionali, in modo da individuare i vari tipi di rischi, anche se scollegati dalla mala gestio degli amministratori, e mantenerne la costante gestione mediante apposite procedure o specifiche funzioni aziendali di controllo (compliance, internal audit, risk management). È nella crisi che occorre altresì che siano definiti con precisione i temi e i problemi della gestione dell’impresa, dei doveri e delle responsabilità degli organi di amministrazione nelle varie fasi del dissesto, con i relativi riflessi sul generale assetto organizzativo della società e le profonde ricadute sui poteri e le responsabilità gestorie, che arricchiscono di significati e sfumature nuove l’assoggettamento alle sanzioni civilistiche della revoca e, soprattutto, del risarcimento del danno

    International financial and economic crisis has recently enhanced the debate about powers, duties, and responsibilities of company’s directors in coping with default. The topic is systematically connected not only with Company Law and Corporate Governance matters but also with Bankruptcy Law and crisis management tools. Moving from a brief overall framework about directors’ general duties, the dissertation focuses on default’s consequences on director’s role in Corporate Governance and related effects on business judgment and management. The analysis deals with different issues regarding directors’ responsibility for having caused or aggravated default, for having failed in promptly and effectively perceiving crisis’ signals, or for not having adequately overcome the collapse. Further, the study refers to some questions more closely related to directors’ liability in insolvency proceedings, pointing out different opinions in interpretation and case law, especially about requirements, burden of proof and damages. In a comparative perspective, the work also outlines the debate about UK wrongful trading, introduced in the UK Insolvency Act 1986 and quoted in EU Commission’s 2003 Action Plan, considering main peculiarities and weak points of such discipline. Finally, taking into account that Italian law does not arrange specific alert and prevention tools, the research offers a reflection on the opportunity of creating a system based on diligence and good sense that, moving from the current set of rules and respecting liability’s general regime, could set up an effective protection against default’s mismanagement.International financial and economic crisis has recently enhanced the debate about powers, duties, and responsibilities of company’s directors in coping with default.     Going Beyond Counting First Authors in Author Co-citation Analysis

    The present study examines one of the fundamental aspects of author co-citation analysis (ACA) - the way co-citation counts are defined. Co-citation counting provides the data on which all subsequent statistical analyses and mappings are based, and we compare ACA results based on two different types of co-citation counting - the traditional type that only counts the first one among a cited work's authors on the one hand and a non-traditional type that takes into account the first 5 authors of a cited work on the other hand. Results indicate that the picture produced through this non-traditional author co-citation counting contains more coherent author groups and is therefore considerably clearer. However, this picture represents fewer specialties in the research field being studied than that produced through the traditional first-author co-citation counting when the same number of top-ranked authors is selected and analyzed. Reasons for these effects are discussed

    “Variations on the Author” discusses two of Eduardo Coutinho’s recent films (Um Dia na Vida, from 2010, and Últimas Conversas, posthumously released in 2015) and their contribution to the general question of documentary authorship. The director’s filmography is characterized by a consistent yet self-effacing form of authorial self-inscription: Coutinho often features as an interviewer that rather than express opinions propels discourses; an interviewer that is good at listening. This mode of self-inscription characterizes him as an author who is not expressive but who is nonetheless markedly present on the screen. In Um Dia na Vida, however, Coutinho is completely absent form the image, while Últimas Conversas, on the contrary, includes a confessional prologue that moves the director from the margins to the center of his films. This article examines the ways in which these works stand out in the filmography of a director who offers new insights into the notion of cinematic authorship

    Appropriate Similarity Measures for Author Cocitation Analysis

    We provide a number of new insights into the methodological discussion about author cocitation analysis. We first argue that the use of the Pearson correlation for measuring the similarity between authors’ cocitation profiles is not very satisfactory. We then discuss what kind of similarity measures may be used as an alternative to the Pearson correlation. We consider three similarity measures in particular. One is the well-known cosine. The other two similarity measures have not been used before in the bibliometric literature.
