    A Tale of Two Cheeses: Parmesan, Cheddar, and the Politics of Generic Geographical Indications (GGIs)

    The difference between Geographical Indication (GI) and generic food terms is an important and highly contentious issue in international negotiations. This distinction is significant to producers, manufacturers, consumers, and policy-makers all over the world because it means the difference between the restricted versus open use of certain popular terms in domestic and global markets. This thesis uses a food studies approach that employs cheese as a lens to understand the contested politics of Generic Geographical Indications (GGIs), which has been under-explored in the literature on GIs. Through case studies and an analysis of written policy material and other documents, websites, blogs, artefacts, observations, and semi-structured interviews and discussions, it investigates the complex processes through which European and New World (NW) actors compete over the status – protected or generic – of cheese names, why this struggle is manifested in the case of Parmesan but not of Cheddar, and how we can better understand genericism within the context of GI policy. The thesis argues that actors guided by differing agricultural paradigms compete to secure the use of terms through oppositional discursive strategies of ‘gastro-panic’, where they appeal to a language of security in order to persuade policy-makers to take action against the perceived threatening actions of their opponents. It finds that unlike the contested term Parmesan no such panic has emerged surrounding Cheddar because its widespread use has not been interpreted as a threat to the ‘original.’ As well, genericism emerges as both a dynamic and socially-constructed concept subject to ongoing negotiation and contestation and a strategic discursive device used to block the successful registration of proposed product names as GIs.     International financial and economic crisis has recently enhanced the debate about powers, duties, and responsibilities of company’s directors in coping with default. The topic is systematically connected not only with Company Law and Corporate Governance matters but also with Bankruptcy Law and crisis management tools. Moving from a brief overall framework about directors’ general duties, the dissertation focuses on default’s consequences on director’s role in Corporate Governance and related effects on business judgment and management. The analysis deals with different issues regarding directors’ responsibility for having caused or aggravated default, for having failed in promptly and effectively perceiving crisis’ signals, or for not having adequately overcome the collapse. Further, the study refers to some questions more closely related to directors’ liability in insolvency proceedings, pointing out different opinions in interpretation and case law, especially about requirements, burden of proof and damages. In a comparative perspective, the work also outlines the debate about UK wrongful trading, introduced in the UK Insolvency Act 1986 and quoted in EU Commission’s 2003 Action Plan, considering main peculiarities and weak points of such discipline.     The research provides an institutional analysis of the concept of systemically important bank. The first chapter explores the role of the Financial Stability Board (‘FSB’) in the wake of the recent financial crisis and its evolving relationships with the G20, the Basel Committee and with other organisations which compose the international financial architecture. To that end the analysis chronologically charts the development of the policy framework for Systemically Important Financial Institutions (‘SIFIs’), with a focus on policy measures specifically addressed to Systemically Important Banks. The second chapter deals with the implementation of the SIFI policy framework by the European Union and with the relationship between the concept of Systemically Important Bank and the broader European law-making system for banking regulation.     The present study offers an in-depth economic and legal enquiry of the relationship between regulation and competition law in the electronic communications sector. It first investigates market failures and failures created by anticompetitive behavior, in light of the economic, legal, structural and historical peculiarities of the telecommunication domain. In this regards, the role of the essentiality of the infrastructure and the presence of facility-based and service-based competition mechanisms will be comprehensively addressed. The study further explores internal interferences between regulation and competition, scrutinizing the partly different aims pursued. The resulting scenario is extremely fragmented, including tendencies towards alignment, contraposition and juxtaposition. Indeed, from an analysis of the various obligations imposed on the incumbent operator by the regulator, a mosaic of diverse solutions are embraced, for instance in regards to cost-orientation requirements, prices tests, termination services, nondiscrimination and interconnection obligations. This complex architecture also affects the external linkages between regulation and competition, especially in terms of application of competition law to highly regulated sectors and the effects of reciprocal influences on their goals. In this respect, concerns associated with legal certainty, coherence in the enforcement of the law and in the application of sanctions come into play. This study additionally contributes to the current debate on technology innovation in network systems, addressing the concerns related to the preeminence of an incumbent in a regulated sectors. The issues stemming impose further analysis and policy recommendations tackling the need to overcome the present coordination breakdown between the incumbent and other operators, defined as the tragedy of the anticommons. Finally, the present study leads to a detailed critique of the hackneyed notion of competition law and regulation complementarity, arguing for a much more sounded “principle of regulatory consistency”, capable of tempering antitrust enforcement and warranting not purely pro-competitive objectives, but also fostering a pro-industrial policy. The author lastly warns against the inherent risks of the economic approach to competition law, whose obligations and remedies are applied following a “case by case” evaluation, often hampering the coherence of interventions and causing difficulties for market operators.The present study offers an in-depth economic and legal enquiry of the relationship between regulation and competition law in the electronic communications sector.     La qualificazione giuridica delle polizze linked

    Il presente lavoro riguarda la qualificazione di quei prodotti offerti da imprese d'assicurazione, affacciatisi nella realtà italiana negli anni 80', che presentano all'interno caratteristiche sia assicurativa sia finanziarie. Si deve ricordare come oggi le assicurazioni sulla vita rivestano una funzione economico/sociale di particolare rilevanza, sia dal punto di vista del risparmio che dal punto di vista previdenziale. Un solo dato numerico, di enorme rilevanza, può farci capire la rilevanza del fenomeno, dato che, nel 2014, la raccolta del solo ramo III, assicurazioni vita, è risultata di circa novantanove miliardi di euro. Nel presente studio pertanto si intenderà esaminare la tematica delle polizze assicurative appartenenti al ramo III vita, le polizze unit linked ed index linked. Tale lavoro sarà svolto avendo ben presente i contratti oggi offerti nel panorma assicurativo italiano, cercando di analizzare se questi particolari contratti rientrino nella fattispecie del contratto di assicurazione, ovvero nella fattispecie degli strumenti finanziari od in ultimo rappresentino un tertium genus rispetto a quelli tipizzati dal legislatore italiano, nella codificazione civile, e pertanto ricadano nel genere dei contratti atipici. La risposta a tale quesito importa una serie di notevoli risvolti che vanno dal piano delle esecuzioni individuali al fallimentare, sino a quello puramente civilistico. L'analisi, partendo da una definizione generale del contratto di assicurazione sulla vita, cercando di esporne la natura e gli elementi essenziali, passerà a trattare la categoria del rischio, nelle specie di rischio demografico e rischio finanziario, per poi cercare di individuare come dottrina e giurisprudenza, anche comunitaria, hanno cercato di interpretare tali contratti.
