Bağlı şirketlerde yönetim kurulu üyelerinin hukuki sorumluluğu
6102 sayılı Türk Ticaret Kanunu (TTK) ile birçok konuda değişiklik yapılmış ve yeni
düzenlemeler getirilmiştir. Şirketler Topluluğu terimi ile kabul edilen düzenlemeler de
bu yeniliklerden biridir. Şirketler topluluğuna dâhil şirketlerin, topluluğun dışında
bağımsız bir şirketmiş gibi karar alabilmeleri her zaman için mümkün olamamaktadır.
TTK ile şirketler topluluğunun kendine özgü bu durumu kabul edilerek, getirilen
hükümler ile bir şirketin, başka bir şirketin hâkimiyeti altında olabileceği açıkça ifade
edilmiş ve hâkim şirketin talimatlarını yerine getirmek zorunda kalan bağlı şirketin
konumunun ne olacağı konusunda ayrıntılı düzenlemelere yer verilmiştir. Yine hâkim
şirket-bağlı şirket ilişkileri çerçevesinde bağlı şirket yönetim kurulu üyelerine yeni
yükümlülükler öngörülmüştür. Bu yükümlülüklerin yanında, hâkim şirketin
hâkimiyetini kullanması suretiyle bağlı şirket yönetiminin tam ve sınırsız şekilde karar
verme iradesini engellediği unsuru da dikkate alınarak, bağlı şirket yönetim kurulu
üyelerinin sorumluluğunu azaltacak düzenlemelere de yer verilmiştir. Tezimiz
içeriğinde özellikle, sınırsız karar verme iradesinin olmadığı düşüncesinden hareketle
bu konumdaki bağlı şirket yönetim kurulu üyelerinin hukuki sorumlulukları
incelenmiştir. Çalışmada doktrindeki görüşlerin yanında teorinin pratikte ne şekilde
uygulandığını tespit etmek bakımından Yargıtay kararlarına da yer verilmeye
çalışılmışsa da düzenlemenin yeni olması nedeniyle konuyla ilgili çok fazla Yargıtay

Rabita as a technology of the self and a self-care practice in Sufism:the case of the İskenderPaşa community
This thesis examines the Sufi notion rabıta as a “technology of the self” and a “self
care” practice in Sufism from a Foucauldian perspective. Rabıta (the full name is
Rabıta-i Şerife) is a kind of meditational practice peculiar to the Naqshbandiyya and
is divided into three categories: rabıta-ı mevt (contemplation of death), rabıta-ı
mürşid (contemplation of/connection with the sheik), and rabıta-ı huzur
(contemplation of/connection with God). Apart from its theological roots, rabıta as a
daily meditation duty is of substantial relevance to Sufi philosophy with regard to the
purification of heart, the cultivation of the self as an ethical subject, and the quest for
the esoteric knowledge of God through purified hearts. The Foucauldian perspective
for evaluating how the self is constructed through certain technologies is beneficial
for the insights it offers into the implications of rabıta as a method of self-cultivation.
For this purpose, I benefit from three methods of qualitative research: discourse
analysis, deep interviews, and participant observation. The results of this research
reveal that rabıta as a self-care practice is constructed upon certain discursive
mechanisms, each of which interacts with the others in a way that forms a discursive
unity. Common discursive regularities and strategies constitute the Sufi discourse (in
particular the Naqshbandi-İskenderpaşa discourse) and institutionalize rabıta as a
discursive technology of self-care. Besides these discursive and performative
strategies that construct rabıta as a self-care practice, some further discursive
strategies and “modes of subjection” are also significant in transforming disciples into
ethical subjects. Accordingly, this study aims to provide a preliminary contribution to the academic literature by focusing on one of the most recognized notions in Sufi

Mobility prediction for efficient resources management in vehicular cloud computing
Vehicular Cloud Computing (VCC) has become a significant research area recently, due to its potential advantages and applications, especially in the field of Intelligent Transportation Systems (ITS). However, the high mobility of vehicular environment poses crucial challenges to resources allocation and management in VCC, which makes its implementation more complex than conventional clouds. Many works have been introduced to address various issues and aspects of VCC, including resources management and Virtual Machine Migration in vehicular clouds. However, using mobility prediction in VCC has not been studied previously. In this paper, we introduce a novel solution to reduce the effect of resources mobility on the performance of vehicular cloud, using an efficient resources management scheme based on vehicles mobility prediction. This approach enables the vehicular cloud to take pre-planned procedures, based on the output of an Artificial Neural Network (ANN) mobility prediction model. The aim is to reduce the negative impact of sudden changes in vehicles locations on vehicular cloud performance. A simulation scenario is introduced to compare between the performance of our resources management scheme and other resources management approaches introduced in the literature. The simulation environment is based on Nagel-Shreckenberg cellular automata (CA) discrete model for traffic simulation. Simulation results show that our proposed approach has leveraged the performance of vehicular cloud effectively without overusing available vehicular cloud resources
Inset fed patch antenna with five slots
In the following paper, a rectangular microstrip patch antenna with two main kinds of slots which are rectangular slots that are more frequently used and L shaped slots are designed, simulated, built and tested. Furthermore, a circular-shaped input feed with 1 mm diameter was chosen to feed the antenna from the edge of the inset-fed part of the antenna. Moreover, an RT6002 substrate with 0.76 mm thickness was the raw material of the antenna. Eventually; this design was capable of acheiving a gain of 8.2 dB with a remarkable value of-15.2 dB for S11 in the manufactured antenna, for a Ku band frequency of 14.4 GHz as Vector Network Analyzer measures. Using data envelopment analysis and malmquist total factor productivity index for agriculture of Turkish regions
Agriculture is one of the main economic sectors in Turkey besides its essential role in meeting the food demand of an increasing population. It is a simple fact that, for an improvement in agricultural sector, a performance evaluation is necessitated. Efficiency and productivity measurements are key concepts in performance evaluation and widely used in many studies conducted on agricultural performance analysis. With this regard, in this study, the productivity and efficiency of Turkish agricultural sector were analyzed for the years between 2006-2015. As being a non-parametric efficiency measurement technique, Data Envelopment Analysis (DEA) and Malmquist Total Factor Productivity (TFP) Index methods were used to examine the agricultural efficiency and productivity of 26 NUTS2 (The Nomenclature of Territorial Units for Statistics) regions of Turkey for the selected 10-year period. In this study, total agricultural production value is used as the output variable and six input variables are selected as: land, labor, machine, livestock and government investment. The analysis was conducted via the computer program DEAP2.1.
The results of the first analysis provided the Malmquist index values for TFP change and its components (technical efficiency change, technological change, pure technical efficiencychangeandscaleefficiencychange)inagricultureof26regionsinTurkeyforthe selected time period. The result reveals that agricultural TFP of regions has decreased by 2% annually on average. The maximum TFP growth in agriculture occurred between 2007 and 2008 with a mean increase of 12% in overall TFP of regions. On the other hand, the greatest regression in the overall TFP was observed in 2010-2011 period by a decreaseof13%. Asafurtheranalysis, DEAwasappliedforeachyearbetween2006-2015 to investigate the input usage of regions that were found to be inefficient and to examine the possible ways of improving their efficiency in the corresponding years through the results of DEA.CONTENS:

DC-DC regulators for ultra low power applications
Tezin basılısı İstanbul Şehir Üniversitesi Kütüphanesi'ndedir.This dissertation introduces a new linear regulator that can be used in a parallel hybrid linear switching regulator system. The purpose of the novel system is to make use of the high power efficiency of the switching regulator and the good transient response of the linear regulator. The designed linear regulator achieves 32 different output voltages ranging from 380mV to 1V with a step of 20mV with the control of a programmable digitallycontrolledresistorDAC.Thecircuitconsumesonly 7µA ofquiescentcurrentand can supply up to 10mA current with a maximum output load capacitance of 10nF. The linear regulator typically operates in inactive mode and gets activated automatically only in transient conditions enhancing the transient performance of the switched regulator with negligible degradation in efficiency. A new feedforward technique is used to improve thetransientresponseofthelinearregulatoroperatingwithsuchlowpowerconsumption. The linear regulator can limit the overshoot resulting from a sudden load current change from no load to full load, to 100mV.
