    From insider trading to dismissal of administrators

    A presente dissertação procura estudar as consequências previstas no artigo 449º do Código das Sociedades Comerciais (CSC), mais especificamente a destituição de membros do órgão administração ou do órgão de fiscalização de uma sociedade, assim como a pessoa que, por motivo ou ocasião de serviço permanente ou temporário prestado à sociedade, ou no exercício de função pública, tome conhecimento de factos relativos à sociedade que consubstanciem uma situação de abuso de informação (ou insider trading). O abuso de informação ocorre quando, no mercado, um agente atua nele com base em informações de carácter não público, de forma que, se ele não tivesse acesso a essa informação ele não atuaria dessa forma. As informações de carácter não público são consideradas informações privilegiadas na medida em que, não estando disponíveis para todas as pessoas, colocam em causa a confiança, segurança, igualdade e transparência dos mercados. O artigo 449º, procura proteger estes princípios através de sanções impostas a quem pratica o abuso de informação privilegiada – os insiders. Para compreendermos a destituição de administradores neste contexto, começamos por fazer uma contextualização internacional do insider trading, acompanhado por um capítulo dedicado ao início da regulação de abuso de informação em Portugal, seguindo de um capítulo caracterizado pela análise do artigo 449º, passando para a problemática da destituição de administradores no âmbito de abuso de informação, terminando a presente dissertação com as nossas conclusões. Palavras-chave: , insiders, ,The present dissertation seeks to study the consequences provided for in Article 449 of the Portuguese Commercial Companies Code (herein after CSC), more specifically the dismissal of directors in the context of abuse of information (or insider trading). Abuse of information occurs when, within the market, an agent engages in actions on undisclosed information, such that without access to said information, the agent would not have taken such actions. Undisclosed information is considered privileged information insofar as, not being available to all people, it jeopardizes the trust, security, equality, and transparency of the markets. Article 449 seeks to protect these principles through sanctions imposed on those who practice abuse of privileged information – the insiders. To comprehend the dismissal of directors within this framework, we begin by making an international context of insider trading, accompanied by a chapter dedicated to the beginning of the regulation of abuse of information in Portugal, followed by a chapter characterized by the analysis of Article 449, moving on to the issue related to the dismissal of directors in the context of insider trading, ultimately, ending this dissertation with our conclusions

    Partindo da abordagem da obra de Teresa Martins Marques A Mulher que venceu Don Juan traça-se um novo paradigma da personagem que conhecemos até ao final do século XX. Don Juan acompanha as mudanças sociais e culturais, e diante disso, a escolha da obra é sintomática, visto que, nela, encontramos a alteração de uma ordem social estabelecida pelo patriarcado, através de uma releitura e de uma desconstrução da tradição, centralizada, sobretudo, na imagem da personagem donjuanesca. Amaro, pai de Manaças, ambos “Don Juans” do nosso tempo, ultrapassa todos os limites da moralidade: viola o próprio filho e assume uma homossexualidade recalcada e escondida da sociedade. Joana, uma Doña Juaña fálica, conquistadora assumida, coleciona paixões fugazes que vota ao desprezo e ao abandono assim que os seus objetivos são atingidos. Teresa Martins Marques traça três personagens de perfil donjuanesco que nos conduzem à reflexão sobre o papel do conquistador nos dias de hoje. Com a alteração da ordem social, o empoderamento das mulheres e a maior igualdade entre os géneros, o papel da sedução nas relações pessoais transforma-se. Como se faz representar Don Juan, e que lugar tem o poder desafiador da sedução nesta sociedade em que o amor se busca e conquista com um toque digital? Na verdade, apesar dos múltiplos anúncios da sua morte, a sua presença persiste entre nós, arrojado e desafiador, continuando o seu plano de domínio e posse, mas agora em pleno séc. XXI, o burlador é não binário. Sorrateiramente, o herói metamorfoseou-se, adaptou-se e voltou a casa, à psique, e dispersando-se pela mente humana, torna-se, hoje, numa desordem mental do campo da Psicanálise e da Psicologia, uma síndrome do ser humano na sociedade contemporânea – A Síndrome de Don Juan.From the approach of Teresa Martins Marques' work "The Woman Who Conquered Don Juan," a new paradigm of the character we knew until the end of the century is outlined. Don Juan accompanies the social and cultural changes, and in the face of this, the choice of the work is symptomatic, since therein lies the alteration of a social order established by patriarchy, through a re-reading and deconstruction of tradition, centered mainly on the image of the Don Juanesque character. Amaro, father of Manaças, both "Don Juans" of our time, surpasses all limits of morality: he violates his own son and assumes a repressed and hidden homosexuality from society. Joana, a phallic Doña Juaña, an avowed conqueror, collects fleeting passions that she casts aside and abandons as soon as her objectives are achieved. Teresa Martins Marques outlines three characters with Don Juanesque profiles that lead us to reflect on the role of the conqueror in today's world. With the alteration of the social order, the empowerment of women, and greater gender equality, the role of seduction in personal relationships transforms. How is Don Juan represented, and what place does the challenging power of seduction have in this society where love is sought and conquered with a digital touch? In truth, despite the numerous announcements of his demise, his presence persists among us, bold and defiant, continuing his plan of dominance and possession, but now in the 21st century, the seducer is non-binary. Stealthily, the hero has metamorphosed, adapted, and returned home, to the psyche, and dispersing through the human mind, today, becomes a mental disorder in the field of Psychoanalysis and Psychology, a syndrome of the human being in contemporary society - The Don Juan Syndrome

    Salomon and sustainable challenges in the winter sport equipment industry

    Due to climate change, concerns on environmental issues have increased. The winter sport equipment industry is facing new sustainable challenges. Therefore, it has become crucial for many companies to engage themselves into CSR and find solutions. This work project aims to examine CSR initiatives that Salomon, an innovative outdoor sport company could implement to respond to these challenges and appeal to new customers. Thanks to the incorporation of reviews, Salomon’s insight, and using quantitative data methods, we identified change management and eco-design as fitting solutions that Salomon can implement to meet their sustainable challenges

    Perpétua Saudade (2024) é um projeto documental, num registo observacional, sobre o Cemitério do Alto de São João, que acompanha a práxis diária, as relações pessoais e profissionais, dos que garantem o funcionamento deste espaço: como coveiros, motoristas, seguranças e técnicos administrativos. Paralelamente à sua componente prática, este trabalho procura entender numa perspetiva histórica e antropológica, a atitude do homem perante a morte e explorar exemplos de outras representações da morte, privilegiando a fotografia e o documentário.Perpetual Saudade (2024) is a documentary, in an observational mode, about the Alto de São João Cemetery, which follows the daily practice, personal and professional relationships, of those who guarantee the functioning of this space: such as gravediggers, drivers, security guards and administrative technicians. Parallel to its practical component, this work seeks to understand, from a historical and anthropological perspective, man's attitude towards death and explore examples of other representations of death, focusing on photography and documentaries

    This research paper, “Developing a Business Plan for Costa Verde’s Expansion to the Business to-Consumer Market – Branding Strategy”, analyses the Portuguese porcelain Business-to Consumer (B2C) market and Costa Verde’s market entry approach, with a focus on the branding strategy that comprehends the recommended brand inventory and brand identity. Thus, a deep analysis was conducted through both quantitative and qualitative research to gather relevant insights on consumer preferences and benchmarking practices. The business plan, which in its entirety involves online and offline strategies and an Integrated Marketing Communication Campaign, is expected to allow Costa Verde to witness a turnover increase of 4.8%, reflecting a promising future for the company

The scope of this paper is to understand if the business model of the Portuguese affiliate, based on exclusive distribution through the professional distribution channels and an investment in building a relationship between the brand and Dermatologists, Plastic Surgeons and Aesthetic Medicine Doctors through medical visit, should be applied by the remaining European affiliates. Primary and Secondary data were analyzed and the research shows that while challenges exist in replicating this model across Europe due to regulatory variations, the potential success, supported by the data, is evident

    Impact of mobile trading on individual performance using the TTF model

    Dissertation presented as the partial requirement for obtaining a Master's degree in Statistics and Information Management, specialization in Risk Analysis and ManagementThe development of mobile trading grown out of Internet trading. Since recent technological developments for mobile devices allow the implementation of new activities, such as investment management, the purpose of this study is to understand the influence that mobile trading platforms have on users’ performance. To achieve this, a task technology fit (TTF) model combined with three more variables – Social influence, Anxiety, and Perceived benefits – is assembled to measure the impact of mobile trading on individual performance. For data collection an online survey was conducted in Portugal. The sample of this study is composed of 204 responses. The results validate the robustness of the proposed research model in explaining individual performance and offer support for it. Our findings point to a significant influence of TTF, use, and perceived benefits on Individual performance in mobile trading context

    The implications of "Finstas" for Brand Loyalty

    Dissertation presented as the partial requirement for obtaining a Master's degree in Data Driven Marketing, specialization in Digital Marketing and AnalyticsThis study provides an In-depth analysis of the Finstas (Fake Instagram) phenomenon and its effects on brand loyalty in the digital age. The study examines how, in contrast to their public counterparts, Rinstas (Real Instagram), these private and more authentic social media accounts affect consumer engagement and brand loyalty through a combination of quantitative analysis and theoretical exploration. Using 222 people who regularly use both Finsta and Rinsta, the study uses structural equation modeling to examine a number of constructs, including brand attachment, awareness, identity, and trust. The study expands upon established theories related to brand loyalty and social media adoption in order to comprehend the distinct user dynamics on Finstas. he results show that compared to Rinstas, Finstas have a greater influence on brand loyalty and trust because of their emphasis on authenticity and human connection. This trend is further supported by the study's Importance-Performance Map Analysis (IPMA), which demonstrates that Finsta users have higher levels of emotional ties and brand trust, which boosts brand loyalty. In comparison, there is less of a correlation between brand awareness and loyalty in Rinstas.This research adds to the growing body of knowledge regarding digital brand engagement by providing marketers and brand managers with strategies to customize in order to take advantage of the distinctive characteristics of Finstas. Although the research offers a sophisticated comprehension of brand loyalty within the social media realm, it also recognizes its limitations, chief among which being its concentration on a particular demographic and type of platform. The study suggests directions for future research to further understand the intricate relationship between brand loyalty and social media behavior, including longitudinal studies and investigation across different social media platforms
