    En presumtion för ogiltiga styrelsebeslut tagna av en jävig styrelse

    Varje svenskt aktiebolag ska enligt 8 kap. 1 § aktiebolagslagen (2005:551) (ABL) ha en styrelse. Styrelseledamöter har en förtroendeställning i bolaget och ska tillvarata bolagets bästa intresse. Ledamöterna i bolaget har således en skyldighet att tillvarata bolagets intressen framför sina egna. När en styrelseledamot kan anses jävig enligt jävsbestämmelsen i 8 kap. 23 § ABL, är ledamoten hindrad från att delta i frågans handläggning och beslut. Det förekommer emellertid situationer när en styrelse fattar ett beslut trots att en jävig ledamot deltagit i beslutet eller handläggningen. ABL innehåller inga uttryckliga bestämmelser för vilka rättsverkningar ett sådant beslut får. Doktrinen på området är dock överens om att ett sådant beslut ska bli ogiltigt. De är däremot inte överens gällande den rättsliga grunden för ogiltighet. Den här uppsatsens syfte är därför att utreda och klargöra om det finns en presumtion för ogiltighet, eller om det finns alternativa tolkningsutrymmen i avsaknad av en sådan presumtion. Jävsbestämmelsen i 8 kap. 23 § ABL omfattar inte alla typer av intressekonflikter, utan är begränsad till frågor rörande avtal eller andra rättshandlingar där ledamoten kan anses ha ett väsentligt intresse som strider mot bolagets. Jävsbestämmelsen har således ett något snävt tillämpningsområde. Det finns en mängd situationer som inte omfattas eftersom frågan inte rör ett avtal eller annan rättshandling. I det fall en åtgärd vidtas som ger en otillbörlig fördel åt en aktieägare till nackdel för en annan aktieägare, omfattas det inte alltid av jävsbestämmelsens tillämpningsområde. I vissa fall kan situationen i stället angripas med generalklausulen i 8 kap. 42 § andra stycket ABL. Bestämmelsen omfattar styrelsens hela behörighet och befogenhet. Tillämpningsområdet är dock något begränsat då åtgärder som är i bolagets intresse inte kan angripas med generalklausulen. Bestämmelsen utgör i de fall den är tillämplig emellertid en alternativ ogiltighetsgrund eftersom beslut som går utanför styrelsens befogenhet kan ogiltighetsförklaras om motparten varit i ond tro. I de fall en styrelseledamot har ett personligt eller ekonomiskt eget intresse som strider mot bolagets, kan lojalitetsplikten träda in. Den innebär att ledamoten har en skyldighet att verka för bolagets bästa, varför ledamoten i den här typen av situationer bör avstå från att handlägga frågan. I det fall ledamoten trots allt deltar, är det ändamålsenligt med en omvänd bevisbörda. Således bör det presumeras att ledamoten har påverkat beslutet. Trots att mycket talar för att lojalitetsplikten utgör en förlängning av jävsbestämmelsen, medför ett brott mot lojalitetsplikten ingen presumtion för ogiltighet. Eftersom situationen inte omfattas av jävsbestämmelsen, återstår en ogiltighetsförklaring med hjälp av regeln om befogenhetsöverskridande i 8 kap. 42 § andra stycket ABL. Eftersom det för att ett befogenhetsöverskridande ska föreligga krävs en överträdelse av en lagbestämmelse, om inte styrelsen har överträtt en föreskrift för om föremålet för bolagets verksamhet, finns det ett mycket begränsat utrymme att ogiltighetsförklara pliktbrott mot lojalitetsprincipen eftersom den inte är befäst i lag. Den rättsföljd som kan bli aktuell är ytterst skadestånd enligt 29 kap. ABL. Brott mot lojalitetsplikten kan således inte anses vara en alternativ ogiltighetsgrund. Frågan om det finns en presumtion för ogiltighet när styrelsen i ett aktiebolag är jävig, besvaras jakande, till den del jävsbestämmelsen i 8 kap. 23 § ABL är tillämplig. Grunden till slutsatsen är framför allt påverkad av bevisbördans placering, som torde ligga på den jäviga styrelseledamoten. Den som annars påstår att jävet har påverkat ett beslut kommer finna en utmaning att bevisa att så också är fallet. Det framhålls dock att det finns en mängd intressekonflikter och jävssituationer som inte omfattas av tillämpningsområdet, varför bestämmelsen bör utvidgas på ett liknande sätt som den norska jävsbestämmelsen i § 6-27 aksjeloven (LOV-1997-06-13-44).All Swedish limited liability companies are according to Ch. 8 Sec. 1 of the Swedish Companies Act (2005:551) (SCA) required to have a board of directors. Directors hold a position of trust and must look after the company's best interest. The directors thus have an obligation to protect the company's interests before their own. When a director can be considered conflicted according to the objective provision in Ch. 8 Sec. 23 SCA, the director is prevented from participating in the handling and decision of the matter. In some cases, the board decides despite a conflicted member's participation. The SCA does not contain express provisions for the legal effects of such a decision. Legal literature supports the view that such decisions should be invalid, though opinions differ on the legal basis. However, legal scholars are not unanimous on the legal basis for invalidity. The purpose of this essay is therefore to investigate and clarify whether there is a presumption of invalidity, or whether there are alternative interpretative spaces in the absence of such a presumption. The objectivity provision in Ch. 8 Sec. 23 SCA does not cover all types of conflicts of interest but is limited to matters relating to agreements or other legal documents where the director can be considered to have a significant interest that conflicts with the company’s. The objectivity provision thus has a narrow scope of application. There are several situations that are not covered because the issue does not concern a contract or other legal document. Measures unduly favoring one shareholder over another are not always covered by the objectivity provision. In some cases, the general clause in Ch. 8 Sec. 42 second paragraph SCA applies instead. The provision covers the board's entire powers and authority. However, the area of application is somewhat limited as measures that are in the company's interest cannot be attacked with the socalled general clause in Ch. 8 Sec. 42 SCA. However, in cases where it is applicable, the provision constitutes an alternative ground for invalidity because decisions that go beyond the authority of the board can be declared invalid if the other party acted in bad faith. As mentioned in the previous paragraph, there are several conflicts of interest that are not covered by the objectivity provision in Ch. 8 Sec. 23 SCA. A director's conflicting personal or financial interests may invoke the duty of loyalty. This obligates the director to act for the company's benefit and refrain from handling the matter. If the member nevertheless participates, a reversed burden of proof is appropriate. Thus, it should be presumed that the director has influenced the decision. Although there is much evidence that the duty of loyalty constitutes an extension of the objectivity provision, a breach of the duty of loyalty does not entail a presumption of invalidity. As the objectivity provision does not apply, invalidity must rely on Ch. 8 Sec. 42 second paragraph SCA. Since for an excess of authority to exist a violation of a statutory provision is required, there is very limited scope to invalidate a breach of duty against the principle of loyalty because it is not enshrined in law. Ultimately, damages under Ch. 29 SCA may apply. Violation of the duty of loyalty cannot therefore be considered an alternative ground for invalidity. The question whether there is a presumption of invalidity when the board of a limited company is conflicted, is answered in the affirmative, to the extent that the objectivity provision in Ch. 8 Sec. 23 SCA is applicable. The conclusion is primarily based on the placement of the burden of proof, which would likely lie on the conflicted director. Anyone who otherwise claims that the board member has influenced a decision will find it a challenge to prove that this is also the case. It is suggested that the provision be expanded, similar to Sec. 6-27 of the Norwegian Companies Act (LOV-1997-06-13-44)

    I Läroplanen för förskola (Läroplan för förskolan [Lpfö18] 2018, s. 8, 12) lyfts pedagogernasaktiva närvaro fram som en viktig aspekt i barns konflikter för att främja förståelse, respektoch perspektivtagande gentemot varandra. Syftet med denna studie är att undersökapedagogers strategier för att hantera konflikter i barnens samspel utifrån ett könsperspektiv.Fallstudien genomfördes på en förskola med två avdelningar där fem pedagoger observeradesför att ta del av vilka konflikthanteringsstrategier som användes utifrån ett könsperspektiv.Resultatet visar att pedagogerna använder sig av elva strategier i konflikthanteringen varavfyra relaterades till tidigare studiers resultat. Pedagogernas konflikthanteringsstrategier skildesig inte åt beroende på barnens kön, dock kan pedagogernas handlingar medföra ettförstärkande av könsstereotypa mönster. Utifrån studiens resultat framhävs vikten av pedagogers medvetenhet gällande gemensammaoch individuella reflektioner i relation till användandet av konflikthanteringsstrategier samthur könsmönster och normer i förskolan kan synliggöra

    NORTHVOLT – ETT LUFTSLOTT I DEN GRÖNA OMSTÄLLNINGEN : Kan Soft budget constraint och stigberoende peta hål på omställningens fundament

    This study examines the position of Northvolt as a company within the green transition, comparing it to other global battery manufacturers. It focuses on the significance of choosing Skellefteå as a production site and the role of state support in Northvolt's development. The study explores two main questions: Should Northvolt be saved by state support based on the theory of soft budget constraint? Under what conditions should the state provide financial support packages to companies that serve important functions for society? A qualitative approach is used, relying on public reports, corporate documents, media sources, prior research, and political decisions to analyze the intersection of economic incentives and political strategies. The study investigates János Kornai's ‘soft budget constraint’ theory to assess how state interventions affect the efficiency of state-dependent firms. The main conclusion from the first question is that, according to the soft budget constraint theory, Northvolt should not be saved by the state as it may lead to inefficiencies, reducing the company’s incentive for long-term responsibility and effectiveness. On the second question, however, the study concludes that Northvolt should receive state support, as it could serve as a model for Sweden's green transition, similar to England’s role during the Industrial Revolution. This conclusion is grounded in government statements about Sweden's role in becoming a leading exporter of climate-friendly technologies and fostering the green transition

    The purpose of this study is to highlight how economic governance can influence the implementation process of the new staffing guidelines in Örebro Municipality. Through semi-structured interviews conducted in December 2024, combined with a qualitative analysis, this study was able to examine the factors that affect the implementation process, including understanding, motivation, and available resources among the different actors involved. The results of this study indicate that while the guidelines are clear in their language and structure, they are not sufficiently developed to be fully implemented. The study reveals that civil servants and employees sometimes lack the necessary knowledge and resources, leading to frustration that affects their willingness to follow the new guidelines. This study highlights how economic incentives and limited resources can often drive policy changes in a negative direction, with adverse effects on staff health and working conditions, ultimately impacting the quality of care. The study provides insights into how economic factors influence and motivate policy changes, and how these changes affect welfare in the long run. It also underscores the need for further research on how economic cutbacks affect welfare and its quality

    Gender-based violence in academic and research workplaces : Pervasiveness in higher education and research performing organisations

    Gender-based violence (GBV) at work or study place often falls outside of the mainstream violence research interests. However, it is now well established that violence is far from rare in work and workplaces, in organisations, and for certain occupations. This is all the more so when violence is understood in a broad sense to include harassment, bullying, psychological violence, and further violations, as in feminist conceptualisations of GBV. In this paper, we address GBV in a particular arena which, it would be hoped, would be designed to enhance well-being, safety, knowledge and education: namely, higher education (HE) and research performing organisations (RPOs). Importantly, from our perspective, HE and RPOs are not only educational and research sites, but also need to be understood as work, workplace, employment, occupational, organisational, professional and managerial sites. We draw on recent research within the EU funded UniSAFE, a large multi-country research and innovation project on GBV in HE and RPOs. UniSAFE has aimed to provide reliable, comparable data on different forms of gender-based violence in HE and RPOs in order to understand the extent of the problem among staff and students, assess institutional responses, and develop tools to address that problem. The materials include a survey of prevalence and consequences of GBV in HEI and RPOs (n=42 000), in-depth case studies, a strategic mapping of GBV policy and measures in 46 HEI and RPOs , and a mapping of national policy on GBV in HE.Artikeln diskuterar könsbaserat våld vid lärosäten och forskningsorganisationer (RPO) i betydelsen arbetsplatser, sysselsättning, yrkes-, organisations-, och ledningsplatser. Datan baseras på det EU-finansierade UniSAFE och inkluderar en onlineenkät om förekomst och konsekvenser av könsbaserat våld (n=42 000), en kartläggning av nationell policy om könsbaserat våld inom högre utbildning och forskningsorganisationer, samt institutionella policyer och åtgärder för att motverka könsbaserat våld i 46 forskningsorganisationer i femton länder. Resultaten visar att prevalensen är mycket hög, ojämlik mellan olika grupper, men ändå relativt enhetlig mellan länder och institutioner, vilket tyder på att prevalensen av könsbaserat våld i stort sett inte är relaterad till de forskningsorganisationer där respondenterna arbetar eller studerar, och/eller till det land där de bor. Könsbaserat våld inom lärosäten och forskningsorganisationer verkar därmed ha ett eget system och en egen logik.Published in English and Swedish:S. Strid and J.
