Prórroga de la competencia del tribunal arbitral: ¿es posible en el ordenamiento jurídico ecuatoriano?
Ecuadorian law establishes certain requirements to manifest the consent to arbitrate. There is a discussion on the nature of these requirements: are they ad probationem or ad solemnitatem? The importance of this discussion lies in the fact that the possibility of the tacit extension of the arbitral tribunal\u27s jurisdiction depends on the nature of these requirements. The extension of jurisdiction consists of granting jurisdiction to a tribunal that in principle does not have it. In this sense, the possibility of a tacit extension of the arbitral tribunal\u27s jurisdiction must be analyzed taking into consideration the requirements for the manifestation of the consent to arbitrate. This article analyzes the possibility of extending the jurisdiction of an arbitral tribunal in the Ecuadorian legal system taking into consideration the requirements and the standard for manifesting the willingness to arbitrate, the different types of competences and the possibility of reviewing the jurisdiction ex officio.La legislación ecuatoriana establece ciertos requisitos para manifestar la voluntad para someterse a arbitraje. Existe una discusión sobre la naturaleza de estos requisitos: ¿son ad probationem o ad solemnitatem? La importancia de esta discusión radica en la posibilidad de la prórroga tácita de la competencia del tribunal arbitral. La prórroga de competencia consiste en otorgar competencia a un juzgador que en principio no la tiene. En este sentido, la posibilidad de prorrogar tácitamente la competencia del tribunal arbitral debe analizarse considerando los requisitos exigidos para manifestar la voluntad de arbitrar. Este artículo analiza la posibilidad de prorrogar la competencia de un tribunal arbitral en el ordenamiento jurídico ecuatoriano tomando en consideración los requisitos y el estándar para manifestar la voluntad para arbitrar, los diferentes tipos de competencia y la posibilidad de revisar la competencia de oficio
Alternatives for the Taxation of Undistributed Dividends in Ecuador
En Ecuador, el hecho generador del impuesto a la renta sobre el dividendo es la distribución de las utilidades generadas por la sociedad al socio y/o accionista persona natural. Así, previo a la entrada en vigor de la Ley Orgánica de Transparencia Social, cuando no se distribuían las utilidades, se difería la tributación de las mismas y la caja fiscal se veía menoscabada. Dicho esquema impositivo fue modificado y ahora también están sujetas al impuesto a la renta las utilidades no distribuidas de las sociedades. Pese a su actual “regulación”, en este trabajo se analizan distintas alternativas aplicadas en otras jurisdicciones que evitan el problema del diferimiento fiscal y que han podido implementarse en Ecuador. Dichos mecanismos son: 1) el régimen pass-through, 2) un impuesto a las utilidades acumuladas y 3) un régimen inspirado en el concepto de compañía foránea controlada. Un análisis de su potencial aplicación en Ecuador permitió evaluar y graduar dichas alternativas en función de su viabilidad. De esta manera, se concluyó que un impuesto sobre las utilidades retenidas es la alternativa que mejor regularía el problema identificado, seguida por la creación de un régimen inspirado en la compañía foránea controlada y, finalmente, el pass-through.In Ecuador, the taxable event for income tax on the dividend is the distribution of the profits generated by the company to the individual shareholder. Thus, prior to the entry into force of the Organic Law on Social Transparency, when profits were not distributed, their taxation was deferred and the coffer was undermined. This tax scheme was modified and now the undistributed profits of companies are also subject to income tax. Despite its current “regulation”, this paper analyzes different alternatives applied in other jurisdictions, such as the United States, that avoid the problem of tax deferral and could be implemented in Ecuador. These mechanisms are: 1) the pass-through regime, 2) a tax applied to accumulated earnings, and 3) a regime inspired by the controlled foreign company concept. An analysis of their potential application in Ecuador has made it possible to evaluate and grade these alternatives according to their feasibility. Thus, it has been concluded that a tax on retained earnings is the alternative that best regulates the issue, followed by the creation of a regime inspired by the controlled foreign company and, finally, the pass-through regime.
The Distinction Between Well-Known and Famous Trademarks in the Andean Community of Nations.
Desde que diversas marcas alcanzaron un alto reconocimiento en el mercado, en el campo de la propiedad intelectual surgió la necesidad de regular a las marcas altamente reconocidas, siendo estas las marcas notorias y renombradas. En este artículo se identificarán las distinciones principales entre las marcas notorias y las marcas renombradas, mediante el estudio y análisis de normativa, doctrina y jurisprudencia marcaria comunitaria. Del análisis efectuado se concluyó que las marcas notorias y renombradas no pueden ser tratadas como sinónimos y que estas diferencias hacen a sus titulares merecedores a derechos distintos. Since various brands achieved high levels of recognition in the market, in the field of intellectual property arose the need to regulate highly recognized trademarks, the latter being well-known and renowned trademarks. This article will identify the main distinctions between well-known trademarks and renowned trademarks, through the study and analysis of community trademark law, doctrine and jurisprudence. From the analysis carried out, it was concluded that well-known and renowned trademarks cannot be treated as synonyms and that these differences entitle their holders to different rights.
La extinción de dominio como institución autónoma: por una desvinculación absoluta de la nulidad civil
The Organic Law on Asset Forfeiture includes the concept of original nullity among its definitions. In the explanatory memoranda of the bills that led to this Law, the potential nullity of certain property rights acquired through illegitimate legal transactions is mentioned. This paper proposes, with the aim of enhancing the efficiency of the Law in combating corruption, a complete disassociation between asset forfeiture and any alleged defect of nullity in legal transactions. Consequently, it argues that asset forfeiture should proceed independently of the validity or nullity of the legal transaction that served as the basis for the acquisitionLa Ley Orgánica de Extinción de Dominio incluye, entre sus definiciones, el concepto de nulidad de origen. Además de que la misma ley lo hace, en las exposiciones de motivos de los proyectos que le dieron lugar también se menciona la posible nulidad de ciertos derechos de dominio adquiridos mediante negocios jurídicos ilegítimos. Este trabajo propone, con el objetivo de optimizar la eficacia de esta ley en la lucha contra la circulación ilegítima de bienes, una desvinculación total entre la extinción de dominio y cualquier supuesto vicio de nulidad de los negocios jurídicos. En consecuencia, se argumenta que la extinción de dominio debe ser absolutamente independiente de la validez o nulidad del negocio jurídico que sirvió como título para su adquisición. Es decir, no se requiere de la declaratoria de nulidad del negocio para que opere la extinción de dominio como figura prevista por la Ley Orgánica de Extinción de Dominio
Empirical Analysis of the Conceptual Differences and Practical Risks of Denaturalization, Inadmissibility, and Manifest Inadmissibility in Constitutional Actions in Ecuador
Uno de los fenómenos más preocupantes de la justicia constitucional ecuatoriana es el uso abusivo de las garantías jurisdiccionales. En múltiples ocasiones, estas se han desnaturalizado para fines distintos a la tutela de derechos, lo que ha ocasionado un grave perjuicio a la administración de justicia y al erario público. Pese a su relevancia, los conceptos de “desnaturalización”, “improcedencia” y “manifiesta improcedencia” no han sido delimitados con claridad ni por la doctrina ni por la jurisprudencia de la Corte Constitucional del Ecuador. Este artículo constituye el primer estudio sistemático que aborda esta problemática a partir de un análisis empírico mixto —cualitativo y cuantitativo— de más de sesenta sentencias dictadas por la Corte en dos conformaciones distintas: 2019-2022 y 2022-2025. Los resultados muestran cómo el organismo ha utilizado estas categorías, sus diferencias conceptuales y los efectos prácticos que producen en peticionarios, abogados y jueces. Se concluye que resulta indispensable una definición uniforme de estas figuras para reducir la discrecionalidad judicial, evitar su aplicación arbitraria y fortalecer el derecho a la seguridad jurídica. One of the most concerning phenomena in Ecuadorian constitutional justice is the abusive use of constitutional actions. On multiple occasions, these mechanisms have been denaturalized for purposes other than the protection of rights, causing serious harm to the administration of justice and to the public treasury. Despite their relevance, the concepts of denaturalization, inadmissibility, and manifest inadmissibility have not been clearly defined either by legal doctrine or by the jurisprudence of the Constitutional Court of Ecuador. This article constitutes the first systematic study to address this issue through a mixed empirical analysis—both qualitative and quantitative—of more than sixty rulings issued by the Court under two different compositions: 2019-2022 and 2022-2025. The findings show how the Court has applied these categories, their conceptual differences, and the practical effects they generate for petitioners, lawyers, and judges. The study concludes that a uniform definition of these figures is essential to reduce judicial discretion, prevent their arbitrary application, and strengthen the right to legal certainty
Reparación del daño extrapatrimonial en Ecuador: más allá de la indemnización pecuniaria
Civil liability seeks the compensation of the victim for the damages suffered. This reparation, both in the case of pecuniary and non-pecuniary damages, has been reduced to a pecuniary compensation. This article focuses on the reparation of nonpecuniary damages, and argues that, depending on the legal asset affected in each case, these damages can be compensated through measures that will not necessarily have a pecuniary nature. On the other hand, this paper considers that pecuniary compensation is an ideal reparation when it is not possible to place the victim in the previous state to the damage. In order to achieve adequate compensation in these cases, this article addresses the different criteria that determine the compensation quantum in cases of extra-patrimonial damage and proposes some solutions applicable to the Ecuadorian legal system.La responsabilidad civil busca que la víctima sea indemnizada por los daños sufridos. Esta reparación, tanto en el caso de daños patrimoniales como extrapatrimoniales, ha estado reducida a una indemnización de carácter pecuniario. Este artículo aterriza en el resarcimiento de los daños extrapatrimoniales y sostiene que, dependiendo del bien jurídico afectado en cada caso, estos daños pueden ser reparados a través de medidas que no necesariamente tendrán una naturaleza pecuniaria. Por otro lado, considera que la indemnización pecuniaria es una medida de reparación idónea cuando no es posible situar a la víctima en el estado anterior —o más próximo al anterior— al daño. El presente artículo aborda los diferentes criterios referentes a la fijación del quantum indemnizatorio en materia de daño extrapatrimonial y propone la inclusión de criterios objetivos aplicables al sistema jurídico ecuatoriano
The Role of the Executive Branch in Latin American Constituent Processes
El poder constituyente es la fuerza primigenia por la que una sociedad pasa a organizarse a través de un documento aceptado para este fin. Su importancia está dada tanto por el proceso para que esto se canalice como por el resultado final: una constitución. En ella descansará la diagramación del poder, el reconocimiento de derechos y la identidad del territorio en que va a regir. Los riesgos de interferencia en su contenido por la imposición de un proyecto político de turno son muy altos. Las experiencias latinoamericanas dan cuenta de ello, por lo que el resultado último de este acto excepcional debe ser analizado con rigurosidad. No basta que una constitución sea aclamada por el pueblo, debe ser también deliberada por él. The constituent power is the original force through which a society begins to organize itself by means of a document accepted for that purpose. Does the criminal liability of shell companies exist? A comparative study between Spain and Ecuador
Este artículo revisa la jurisprudencia y doctrina española sobre la responsabilidad penal de las personas jurídicas y su aplicabilidad en Ecuador. En concreto, sobre las sociedades pantalla y su inimputabilidad. De igual manera, el objetivo de este trabajo es llevar la doctrina y jurisprudencia española sobre este tema al ámbito penal ecuatoriano con el fin de aportar al estudio del régimen de la responsabilidad penal de las personas jurídicas en este país. El análisis permite determinar que el régimen de responsabilidad penal de las personas jurídicas en Ecuador es similar al de España y, por lo tanto, el desarrollo de este concepto en España puede ser utilizado en Ecuador. Adicional a este estudio dogmático, con un enfoque práctico, se analiza el concepto de una sociedad pantalla en una sentencia de un tribunal ecuatoriano. La investigación ha revelado que aplicar el régimen de responsabilidad penal de las personas jurídicas a las sociedades pantalla sería una desnaturalización de su propósito original. Finalmente, se concluye con una propuesta legislativa aplicable a las sociedades pantalla en Ecuador.This article reviews the Spanish jurisprudence and doctrine regarding the criminal liability of legal entities and its applicability in Ecuador. Specifically, it focuses on shell companies and their non-imputability. Likewise, the objective of this work is to bring Spanish doctrine and jurisprudence on this topic into the Ecuadorian criminal law sphere to contribute to the study of the regime of criminal liability of legal entities in this country. This analysis determined that the regime of criminal liability of legal entities in Ecuador is similar to that of Spain and, therefore, the development of this concept in Spain can be utilized in Ecuador. In addition to this doctrinal study, from a practical perspective, the concept of a shell company is analyzed in a judgment from an Ecuadorian Court. The research has revealed that applying the regime of criminal liability for legal entities to shell companies would be a distortion of its original purpose. Finally, the study concludes with a legislative proposal applicable to shell companies in Ecuador
La indemnización económica como parte de la reparación integral en los delitos contra la vida
In this paper, the issue of economic compensation in crimes against life is analyzed, particularly focusing on how the lack of standards affects the determination of adequate comprehensive reparation. The objective of this research is to examine the scope of economic compensation within the Ecuadorian legal system and propose criteria to improve its quantification. This work explores the need to guarantee adequate compensation for those who have lost a loved one and face a system lacking clear guidelines. A deductive methodology is employed, beginning with fundamental concepts of comprehensive reparation and damage, and subsequently identifying the limitations within the current system. The conclusion underscores the importance of the Ecuadorian regulatory system incorporating criteria to enable judges to set appropriate economic compensation that meets the needs of victims.En el presente trabajo se analiza la indemnización económica en los delitos contra la vida y cómo la falta de estándares afecta la determinación de una adecuada reparación integral. El objetivo de esta investigación es examinar el alcance de la indemnización económica dentro del sistema legal ecuatoriano y proponer criterios que permitan mejorar su cuantificación. Este trabajo explora la necesidad de garantizar una compensación adecuada para aquellos que han perdido a un ser querido y se enfrentan a un sistema que no presenta lineamientos claros. Para esto, se utiliza una metodología deductiva, partiendo de las nociones básicas de reparación integral y del daño para posteriormente identificar las limitaciones que existen dentro del sistema actual. Al concluir se evidencia la importancia de que el sistema normativo ecuatoriano incluya criterios para que los jueces puedan fijar una correcta indemnización económica que satisfaga las necesidades de las víctimas
Una mirada hacia el alcance de las cláusulas de Nación Más Favorecida en referencia a la importación de disposiciones jurisdiccionales y sustantivas
The present work aims to investigate the contentious discussion regarding the scope and limitations of the most-favored-nation treatment clause in bilateral investment treaties. The study begins by addressing the debate on whether the most-favored-nation clause is suitable for importing both jurisdictional and substantive provisions from one investment treaty to another when such provisions are more favorable to the investor. On one hand, the scope of importing substantive provisions is analyzed, with a special emphasis on umbrella clauses, due to the divergence in investment arbitration case law regarding the possibility of its application based on most-favored-nation clauses. On the other hand, the scope of importing jurisdictional provisions is examined, a topic that has also been widely discussed by arbitral tribunals. Finally, the study concludes that the scope of the most-favored-nation clause depends on the drafting and interpretation based on the treaty, which transcends the jurisdictional or substantive nature of the provision being imported through the said clause.El presente trabajo pretende indagar en la poco pacífica discusión en cuanto al alcance y limitaciones de la cláusula de nación más favorecida en tratados bilaterales de inversión. El estudio tiene su punto de partida en el planteamiento de la discusión respecto de si la cláusula de nación más favorecida es apta para importar disposiciones tanto jurisdiccionales como sustantivas de un tratado de inversiones a otro cuando dichas disposiciones son más favorables para el inversionista. Por un lado, se analiza el alcance de la importación de disposiciones sustantivas, con un especial énfasis en las cláusulas paraguas, debido a la divergencia en la casuística del arbitraje de inversiones en cuanto a la posibilidad de su aplicación sobre la base de cláusulas de nación más favorecida. Por otro lado, se observa el alcance de la importación de disposiciones jurisdiccionales, tema que también ha sido ampliamente discutido por los tribunales arbitrales. Finalmente, el estudio llega a la conclusión de que el alcance de la cláusula de nación más favorecida depende de la redacción y la interpretación sobre la base del tratado, cosa que trasciende la naturaleza jurisdiccional o sustantiva de la disposición que se importe a través de la referida cláusula
