 本稿は社会的企業のガバナンスである「マルチステークホルダー・ガバナンス」について、
どのようなステークホルダーが重要であり、さらに、問題点を克服するためにはどうしたら
よいかを考察したものである。近年の情勢を考慮したところ、社会問題の解決と利潤の追求
を両立させるためには、寄付者をはじめとする投資家が重要であると考えられる。他方、マ
ルチステークホルダー・ガバナンスの問題点として、多数のステークホルダーが参加するこ
とによる意思決定費用の増加があげられる。この問題点を解決するためには、ステークホル
ダー間の社会関係資本の醸造が効果的であると考えられる。ただし、社会関係資本は不正の
原因となることも考えられるため、外部監督の役割を持つステークホルダーも重要である。

1. はじめに 
 
 「社会的企業」という言葉が使われるようになって久しい。一般的に「社会的企業」とは、
利潤を生ずる事業によって何らかの社会問題を解決する企業もしくは組織であるとみなさ
れている。近年は我が国においてもそのような企業をどのように支援するかが国政におい
て議論されたり、SNS によって注目を集めたりしている。さらに、社会的企業を設立する
ための人材、すなわち「社会的起業家」を育成するための教育機関や教育制度も整備されて
いる。 
 そして、「社会的企業」や「社会的起業家」を対象とした経済学の研究も近年は徐々に増
えている。例えば海外では、フィランソロピーに特化する非営利組織や営利事業に特化する
営利企業との差異を検証した Besley and Ghatak (2017) が新しい研究としてあげられる。
一方日本では、社会的起業家の主観的厚生を分析した松島 (2018) が最新の研究の例として
あげられる。 
 筆者は社会的企業について、そこで形成されるガバナンスはどのようなものであるかと
いう観点から考察をしてきた。加藤 (2014) では、社会的企業は利潤の追求と社会問題の解
決を目的とするため、多くのステークホルダーが参加し、その結果、社会問題に対する認識

が深まるという「マルチステークホルダー・ガバナンス」が形成されると述べた。しかしこ
の分析では、どのようなステークホルダーが重要であり、また、具体的にどのようなガバナ
ンスが形成されるかは分析されなかった。 
 本稿の目的は、社会的企業のガバナンスの理論分析について再考することである。より具
体的には、どのようなステークホルダーが重要であるか、そして、社会的企業における意思
決定費用の高騰を抑制する方法の妥当性について考察することである。分析結果は、意思決
定費用の高騰が起きにくい市場では投資家がガバナンスにおいて重要であり、また、意思決
定費用の抑制のためには外部監査の役割を持つ主体も重要であるというものである。 
 本稿の構成は以下である。2章では「マルチステークホルダー・ガバナンス」という概念
に対して大きな影響を与えている研究潮流と概念そのものを紹介し、3章ではマルチステー
クホルダー・ガバナンスについての再考察を行う。そして、4章では結論を述べる。 
 
2. マルチステークホルダー・ガバナンス 
 
 イタリアでは、Carlo Borzaga を中心とした研究グループによって社会的企業が分析さ
れている1。その研究の特徴として、”Social Cooperatives” (=社会的協同組合)と呼ばれるタ
イプの協同組合が社会的企業の典型としてみられていることがあげられる2。Borzaga たち
が社会的協同組合の優位性としてあげているのが、社会や経済の変化に対して柔軟に適応
できることである。その理由として、協同組合では一人一票性が順守されていること、また、
狭義の非営利組織と狭義の営利企業の間に協同組合を位置付けていることも述べている。
そして、その結果、社会的協同組合をはじめとする社会的企業では、「マルチステークホル
ダー・ガバナンス」が形成されると、Borzagaたちは提唱している。 
 では、マルチステークホルダー・ガバナンスはどのような機能を持っているのだろうか3。
まず、立場や価値観の異なる多くのステークホルダーが集まり、彼らがコミュニケーション
を行うことにより、社会問題についての理解と認識が深まることがあげられる。しかし、一
方で、多くのステークホルダーが参加することによって意思決定のための費用が増加する
ことも考えられる。さらに、社会問題の解決と利潤の追求の間にトレード・オフが生じてい
る場合、この意思決定費用はより大きくなると考えられる。つまり、目的間のトレード・オ
フは社会的企業の事業の効率性を損なう深刻な原因になりかねないのである。 
 この解決方法としてさまざまな方法が考えられるが、そのひとつとしてステークホルダ
ー間の社会関係資本の醸造があげられる。ステークホルダー間の社会関係資本が蓄積され
ることにより、かれらの間におけるコミュニケーションが円滑になるだろう。したがって、
マルチステークホルダー・ガバナンスが円滑に機能するためには、ステークホルダー間の社

会関係資本とその醸造が有効であると考えられる。 
 
3. 再考 
 
 ここでは前章で述べられている機能と課題について再考する。まず、社会的企業が展開す
る事業において、目的のトレード・オフが企業の事業の効率性を損なう深刻な原因となるか
を考察してみよう。「利潤の追求」について、社会的企業や非営利組織は営利企業に比べて
非効率的であるとう見解は現在もみられる。しかし、医療や教育などの分野で活動する非営
利組織の経営実態を調査したところ、営利企業に比べて非効率的ではないことが判明した
研究もある4。 
非営利組織を対象とした研究結果ではあるが、上記の結果を考慮すると、社会的企業が目
的のトレード・オフに陥りやすいかどうかは産業ごとに異なると考えてよいだろう。そして、
非営利組織が活動する産業の大半は陥りにくい産業であると考えられる。よって、社会的企
業は利潤を追求することによって社会問題の解決も達成される。したがって、特定の分野に
おいては、寄付を含む広義の「投資家」を重視することも、マルチステークホルダー・ガバ
ナンスにおいて必要になると考えられる5。 
 次に、意思決定費用の増加を解決させる方法である、ステークホルダー間における社会関
係資本の醸造について再考しよう。社会関係資本について Glaeser, et al. (2002) では、人
的資本の重要性が指摘されている。したがって、社会関係資本を醸造させるためには、研修
や OJTなどによる教育や情報公開が有効であると考えられる。 
 ただし、社会関係資本の醸造は、組織における価値観の偏りや不正を生じさせる可能性も
高める6。そのため、客観的な視点からの抑制が必要である。つまり、外部による取締りや
監督するための機関ないしは役職が必要である。そのため、名誉職という形で外部の人間を
雇用することが効果的であるだろう7。 
 
4. 結論 
 
 社会的企業をめぐる環境は年々変化している。専門学術雑誌の創刊や我が国における関
心の高まり、そして、米国や英国だけでなく日本でも教育機関の設置が相次ぐなど、社会的
企業に寄せる人々の期待は高い。 
 そして、社会的企業を対象とした研究も、関心の高まりと同様に年々増えている。2000
年代は政策論や経営学的研究が大半であったが、経済学による研究も増えている。また、定

量分析も以前は少なかったが、上述の松島 (2018) のように我が国においても行われるよう
になってきている8。近年のデータ収集を考慮すると、より精緻かつ詳細な定量的研究を展
開することも可能になるであろう。 
 本稿は社会的企業の理論分析について、部分的かつ抽象的ながらも再考した。意思決定費
用の抑制方法としては、金銭的インセンティブを重視する主体を包摂し、さらに、人的資本
によって社会関係資本を醸造することが適切であると考えられる。ただし、社会関係資本に
は不正の発生という副作用もあるため、それを解決するためには、外部からの視点を保てる
主体をガバナンスに包摂することが必要であるだろう。これを土台として、上述のより発展
的な研究に貢献することが今後の研究において必要であり重要であるだろう。
