    Direksi mempunyai kewenangan yang diberikan Undang - undang dan Anggaran dasar dalam menjalankan Perseroan sesuai kepengurusan dan perwakilan. Apabila direksi dalam pengambilan keputusan menimbulkan kerugian di Perseroan, maka direksi tidak dapat dimintakan pertangung jawaban secara pribadi berdasarkan Doktrin Businees Judgment Rule, yang dapat dijadikan sebagai suatu bentuk perlidungan hukum bagi Direksi sebagaimana dimaksud Pasal 97 ayat (5) Anggota Direksi tidak dapat dipertangung jawabkan atas kerugian sebagaimana di maksud pada ayat (3). Berdasarkan ketentuan Pasal 97 ayat 5 huruf (b) UUPT, Direksi wajib beritikad baik dan penuh tanggung jawab mengurus Perseroan, Aspek yang menjadi fokus kajian disini adalah bagaimana standar itikad baik dalam menjalankan prinsip itikad baik oleh direksi. Apakah itikad baik direksi dapat diukur atau tidak, Tentunya permasalahan ini memerlukan standar berdasarkan hukum agar menjamin kepastian hukum. Iktikad baik yang harus dimiliki seorang anggota Direksi, iktikad baik pula yang menjadi sumber kasus hukum dalam pengurusan PT. Prinsip itikad baik anggota direksi akan terwujudkan jika di dalam pengelolaan perusahaan dapat melaksanakan kewajiban, kewenangan dan tanggung jawabnya berdasarkan etika jabatan anggota Direksi itu sendiri. Dengan adanya perlindungan hukum dari business judgement rule, seorang direksi diharapkan dapat lebih leluasa dan berani dalam mengambil keputusan bisnis yang berisiko, namun juga tetap berhati-hati dan bertanggung jawab. Pertanggungjawaban terbatas tersebut tidak mutlak dikarenakan adanya prinsip piercing the corporate veil. Tindakan ultra vires berlaku jika Direksi melaksanakan perbuatan yang dilarang dalam peraturan perundang-undangan maupun anggaran dasar PT serta setiap perbuatan ultra vires demi hukum batal bila terdapat pihak ketiga yang merasa merugi terhadap hal itu pihak Direksilah yang harus mengganti kerugian atas kerugian PT hingga menggunakan harta kekayaan pribadi

    Penelitian ini bertujuan untuk mengetahui dan menganalisis Pengaruh Rasio Pasar Dan Rasio Profitabilitas Terhadap Return Saham pada Perusahaan Manufaktur Sub Sektor Barang Konsumsi yang Terdaftar di Bursa Efek Indonesia. Jenis penelitian kuantitatif dengan metode deskriptif dan verifikatif. Sampel dalam penelitian ini sebanyak 27 perusahaan Manufaktur Sub Sektor Barang Konsumsi di Bursa Efek Indonesia periode Tahun 2019-2023. Adapun teknik analisis Regresi Linear Berganda versi 23. Berdasarkan hasil analisis secara simultan, PER dan ROA tidak memiliki pengaruh yang signifikan terhadap return saham. Model regresi hanya mampu menjelaskan sebesar 0.7% variasi return saham, yang berarti sebagian besar variasi dipengaruhi oleh faktor lain di luar model. Secara parsial, PER tidak memiliki pengaruh yang signifikan terhadap return saham. Hal ini menunjukkan bahwa rasio pasar ini belum menjadi pertimbangan utama bagi investor dalam menentukan nilai saham pada subsektor barang konsumsi. ROA juga tidak berpengaruh secara signifikan terhadap return saham. Ini menunjukkan bahwa profitabilitas perusahaan belum cukup memengaruhi minat investor terhadap saham perusahaan tersebut. Hasil ini sejalan dengan beberapa penelitian terdahulu yang menunjukkan bahwa rasio keuangan seperti PER dan ROA tidak selalu mampu memprediksi return saham secara kuat, terutama pada sektor barang konsumsi yang sangat dipengaruhi oleh permintaan pasar dan faktor eksternal

One such change is the rise of electronic contracts (e-contracts), which allow business transactions to be conducted electronically without the need for the physical presence of the parties involved. E-contracts have become a vital alternative in many transactions within the digital age. This article aims to explore the validity of electronic contracts from the standpoint of civil law in Indonesia. It covers the legal framework governing electronic contracts, the requirements for their validity, and the challenges and issues encountered in their implementation in Indonesia. Through an analysis of existing legal provisions and a comparison with international practices, this article seeks to provide a clearer understanding of the legal standing of electronic contracts in Indonesia’s legal system

    Duration of Preoperative Anti-Tuberculosis Treatment (OAT) and Clinical Outcomes Post-Surgery in Spinal TB Patients: A Systematic Review and Meta-Analysis

    Spinal tuberculosis (TB) is a rare but severe infection that can lead to deformities, back pain, and neurological deficits. Preoperative administration of anti-tuberculosis drugs (OAT) is commonly used to reduce bacterial activity and inflammation before surgery. However, the optimal duration of OAT preoperatively is still debated. This study aims to systematically review and analyze the relationship between preoperative OAT duration and clinical outcomes post-surgery in patients with spinal TB. A systematic review and meta-analysis were performed on studies comparing the effects of different OAT durations preoperatively in spinal TB patients. Data were collected from PubMed, Scopus, and EMBASE. Key outcomes evaluated included Visual Analog Scale (VAS) for pain, erythrocyte sedimentation rate (ESR), C-reactive protein (CRP), wound healing, and bone fusion.The meta-analysis showed that preoperative OAT duration of 1 to 2 weeks significantly reduced inflammation, with a notable decrease in ESR and CRP post-surgery (p = 0.006 for ESR, p = 0.02 for CRP). However, no significant differences in functional recovery or wound healing were observed between shorter (1-2 weeks) and longer (2-4 weeks) OAT durations. Bone fusion results were similar across both groups. A shorter duration of OAT preoperatively (1-2 weeks) is effective in reducing inflammation and improving postoperative recovery, though it does not significantly impact bone healing or fusion. Thus, a shorter preoperative OAT regimen can be considered a viable option in managing spinal TB patients

    Implementation of Cloud Computing to Improve Data Management Efficiency in the Education Sector

    Cloud computing has become a strategic solution in improving the efficiency of data management in the education sector, including in Banten Province. This research aims to explore the implementation of cloud computing and its impact on academic data management in educational institutions. Using a qualitative approach with case studies, data were collected through in-depth interviews and observations of institutions that have adopted cloud systems. The results showed that cloud computing accelerates administrative processes, increases flexibility of data access, and reduces administrative workload. In addition, the cloud supports the development of personalized learning and innovation of digital-based education services. However, the study also found significant challenges, such as limited digital literacy of educators and dependence on internet network infrastructure. Organizational support, through visionary leadership and regular training, proved to be a key factor for successful cloud implementation. On the other hand, data security is a major concern, requiring strategies such as multi-factor authentication, data encryption and role-based access control to reduce the risk of data breaches. By properly managing these challenges, cloud computing not only improves efficiency, but also encourages continuous educational innovation. This research recommends the need for synergy between educational institutions, cloud service providers and local governments to strengthen the education digital ecosystem. A secure, adaptive, and innovation-oriented cloud implementation is expected to accelerate the transformation of education in Banten Province towards competitive and inclusive global standards

    A Systematic Review and Meta-Analysis of Healing Outcomes in Pediatric Lateral Humerus Condyle Fractures Treated with K-Wire Pin Fixation

    Sagittal balance refers to the equilibrium between external forces acting on the spine, particularly gravity, and the body's response to maintain an upright position with minimal muscular energy expenditure. Disruption of this balance can lead to sagittal imbalance, which is linked to poor clinical outcomes in conditions such as adult scoliosis and degenerative spondylolisthesis. The sedentary lifestyle, especially in office workers who spend significant time sitting, makes understanding spinal alignment changes in various positions crucial. This study aims to assess the differences in lumbopelvic sagittal balance in standing, upright sitting, and relaxed sitting positions in a healthy population. This analytical study used a case series approach with 25 healthy subjects aged 18-40. X-ray images were taken in three positions: standing, upright sitting, and relaxed sitting. Parameters including lumbar lordosis (LL), sacral slope (SS), pelvic tilt (PT), pelvic incidence (PI), and PI-LL mismatch were measured using RadiAnt DICOM Viewer. Data were analyzed using ANOVA to compare the sagittal balance parameters across different positions. differences were found in LL, SS, PT, and PI-LL mismatch between positions (p < 0.05). LL was highest in standing and lowest in relaxed sitting. PT increased significantly in relaxed sitting, while SS was highest in standing. PI did not show significant changes across positions. Lumbopelvic sagittal balance varies significantly between standing and sitting positions, highlighting the need to consider sitting postures in spinal assessments. These findings provide valuable insights for spine surgery planning and postural assessments

    This research aims to analyze youth participation in the da'wah program at the Nurul Yaqin Mosque, Maleni Village, Donggala Regency. Youth participation is very important in the religious and social development of society. In the context of mosques, teenagers have a strategic role in supporting da'wah activities to make them more dynamic and sustainable. The research method used is qualitative with a descriptive approach. Data was collected through observation, interviews and documentation. The research results show that the level of youth participation at the Nurul Yaqin Mosque is still relatively moderate. Factors that influence participation include family support, social environment, and the attractiveness of the da'wah program being held. Obstacles faced include a lack of internal motivation among teenagers, a lack of innovation in delivering preaching material, and limited supporting facilities. This research suggests improving the quality of da'wah programs by involving more creative and modern elements to make them more relevant to the needs and interests of today's teenagers

    Penanganan tindak pidana korupsi tidak hanya bertujuan untuk menghukum pelaku tetapi juga untuk memulihkan kerugian negara melalui pembayaran denda dan uang pengganti. Dalam konteks ini, kejaksaan memegang peran strategis sebagai eksekutor putusan pengadilan, termasuk memastikan pelaksanaan pembayaran denda oleh terpidana korupsi. Penelitian ini bertujuan untuk menganalisis peran jaksa dalam memaksimalkan pembayaran denda oleh terpidana tindak pidana korupsi di Kejaksaan Negeri Boalemo. Metode penelitian yang digunakan adalah yuridis-empiris dengan pendekatan kualitatif. Data diperoleh melalui wawancara dengan jaksa, studi dokumen, dan observasi langsung terhadap kasus-kasus tindak pidana korupsi yang ditangani di Kejaksaan Negeri Boalemo. Hasil penelitian menunjukkan bahwa jaksa memainkan peran penting dalam proses penelusuran aset, penyitaan, dan pelelangan untuk memastikan pembayaran denda. Namun, pelaksanaan peran ini masih menghadapi beberapa kendala, seperti keterbatasan sumber daya, keberadaan aset yang disembunyikan oleh terpidana, dan lemahnya koordinasi antar-lembaga. Penelitian ini menyimpulkan bahwa efektivitas peran jaksa dapat ditingkatkan melalui pendekatan proaktif dalam penelusuran aset, pemanfaatan teknologi, dan kerja sama lintas lembaga, baik di tingkat nasional maupun internasional. Dengan strategi yang lebih terintegrasi, Kejaksaan Negeri Boalemo dapat mengoptimalkan pemulihan kerugian negara serta memberikan efek jera kepada pelaku tindak pidana korupsi

    Prevention Behavior of Related to COVID-19 Among Food Handlers in Restaurants in Pontianak City, Indonesia

    Introduction: The spreading of COVID-19 has been a disadvantage to all countries around the world. The COVID-19 situation in Indonesia based on the date April 26th, 2021 showed that 44,500 people have died, 1,636,194 cases infected, and 1,492,322 positive cases were declared cured. The COVID-19 can be transmitted through food handlers if they do not comply with health protocols. Perceptions about COVID-19 affect food handler compliance with health protocols. This study aimed to examine the correlation between the perception of food handlers in restaurants and the prevention behavior of COVID-19. Methods: This study adopted a cross-sectional design and was conducted between July-August 2020 in 90 food handlers in restaurants in Pontianak City, and data were collected through random sampling. The univariate and bivariate (Chi-Square) were used to analyze the data. Ethical approval was obtained from Faculty of Public Health, Universitas Muhammadiyah Semarang (Certificate of approval No. 373/KEPK-FKM/UNIMUS/2020). Results: This study found only three independent variables have significance with prevention behavior of spreading of COVID-19 such as physical activity (p-value 0.011), seeking or getting COVID-19 information (p-value 0.036), and perception of self-efficacy (p-value 0.005). Additionally, the rest of the independent variables have no significance related to prevention behavior of spreading of COVID-19 like sex, education level, economic effect, smoke status, perceived vulnerability, and perception of the hoax information spread. Conclusion: The strongest independent variable is a perception of self-efficacy which means that the food handlers who had a poor perception of self-efficacy tend to do not practice the prevention behavior of COVID-19. The Future studies should address stakeholder role to educate and train the food handlers to increase their self-efficacy in terms of health problems, including COVID-19
