Wycena przedsiębiorstwa Luvena S.A.
Wycena przedsiębiorstwa jest niezbędna w wielu formach przedsięwzięć inwestycyjnych, transakcjach fuzji i przejęć (M&A) oraz działaniach restrukturyzacyjnych. Wycena jest również początkowym etapem zarządzania jego wartością. Praca przedstawia podstawowe funkcje i zasady wyceny przedsiębiorstw oraz najbardziej popularne i najczęściej stosowane metody wyceny. Część badawcza zawiera wycenę spółki Luvena S.A. wykonaną za pomocą metody zdyskontowanych przepływów pieniężnych DCF (z wykorzystaniem narzędzi metody i-DCF) oraz metody porównawczej (mnożnikowej). W wyniku stosowania dwóch różnych metod wyceny, uzyskano zbieżne wartości wycenianej spółki. Wykorzystanie dwóch instrumentalnie różnych metod pozwala uzyskać bardziej wiarygodne i miarodajne wyniki oraz uniknąć różnorodnych błędów.Company valuation is Essentials In different kinds of investment activities, M&A transactions or restructuring activities. The thesis presents the main features and principles of business valuation and the most popular and most commonly used valuation methods. The research part of the contains the valuation of Luvena S.A. made with the help of discounted cash flows DCF (using i-DCF tools) and comparative methods. As a result of applying of two different methods of company valuation there were obtained coinciding values of the company. The use of two different methods gives us possibility to achieve more reliable and meaningful results and to avoid various errors
Syntetyczna ocena zdolności kredytowej przedsiębiorstwa jako czynnik ograniczający ryzyko kredytowe na przykładzie wybranych banków
Nieodłącznym elementem każdej działalności, w tym również bankowej, jest ryzyko. W funkcjonowaniu banków szczególne znaczenie ma ryzyko kredytowe, które oznacza niebezpieczeństwo, iż kredytobiorca nie wywiąże się ze zobowiązań i warunków umowy, narażając kredytodawcę na powstanie straty finansowej i nieosiągnięcie zamierzonych zysków. Ryzyko to jest nie do uniknięcia, gdyż wynika ze specyfiki działalności bankowej. W konsekwencji może prowadzić do zmniejszenia potencjalnych zysków dla banku, utratę płynności, wiarygodności, zmniejszenia kapitału własnego oraz trudności finansowych. Dlatego też tak istotne jest stosowanie odpowiednich metod ograniczających skutki powstania ryzyka kredytowego. Niniejsza praca przedstawia wybrane metody ograniczania ryzyka bankowego. Stosowanie tych metod w decydującym stopniu wpływa na poziom ryzyka kredytowego oraz stanowi zabezpieczenie przed tzw. złymi kredytami, które w rezultacie zakończyć mogą się stratami poniesionymi przez bank. Szczególną uwagę poświęcono badaniu i ocenie zdolności kredytowej podmiotu gospodarczego, jako podstawowej metodzie minimalizacji ewentualnych negatywnych skutków polityki kredytowej powadzonej przez banki. Badanie wiarygodności kredytowej ułatwia bankowi podjęcie decyzji o udzieleniu, bądź odmowie przyznania kredytu. Stosowane metody ograniczenia ryzyka kredytowego przedstawiono na przykładzie banków PKO BP oraz BPH SA. Analizie poddano ocenę zdolności kredytowej przedsiębiorstwa z branży usług transportowych. W wyniku przedstawionej analizy jednoznacznie stwierdzono, że badanie i ocena zdolności kredytowej przedsiębiorstw jest metodą ograniczania ryzyka kredytowego banku oraz minimalizacji skutków jego występowania.Risk is an inherent element of each activity, including banking activity. Credit risk is of vital importance for the banks as it denotes the danger that the borrower will not fulfill their obligations and conditions of the contract, putting the creditor at the risk of contracting a financial loss and failing to obtain the intended profits. This risk is unavoidable, as it is closely tied to the specificity of banking activity. As a result, it may lead to decreasing profits expected by the bank, losing liquidity, credibility, decreasing own capital and creating financial difficulties. Therefore it is essential to use appropriate methods limiting the effects of the credit risk. This thesis presents selected methods of limiting banking risk. The use of these methods determines the level of credit risk and offers a security against the so-called bad loans which may bring losses for the bank. Special attention was paid to the examination and evaluation of credit standing of an economic entity as a basic method for minimizing possible negative consequences of credit policy run by the banks. The examination of credit rating facilitates the decision to grant or refuse the credit. The methods of limiting credit risk were presented on the example of PKO BP and BPH SA banks. The analysis covered the evaluation of the credit standing for a company offering transport services. The presented examination clearly shows that the examination and the evaluation of the company credit standing is a method of limiting credit risk and minimizing its effects
COMPANY VALUATION. HOW TO DEAL WITH A RANGE OF VALUES?
Company valuation is not done after having generated a few values being a result of applying different valuation methods. In many cases institutions ordering the valuation request a value which can be an equivalent of a market, transactional value. Often the one method (and the valuation resulting from the method) can be indicated, since the valuer claims that it gives the most precise value of the company. However, it is safer to consider the range of values and then try to determine the final value which is the result of a combination of several methods. However, the question is how to consistently deal with a range of values. One of the solutions are so-called mixed methods of company valuation. They are criticized in this paper as they are too subjective. Instead we suggest considering a portfolio approach – PATEV (Portfolio Approach to Equity Valuation). In addition to having to choose a method of defining one value, the value is subject to further corrections: liquidity and control discounts
A Coherent Model of DCF Valuation
Business valuation through DCF is recognized as one of the most popular valuation approaches. DCF valuation models, however, have become extremely complex. Modeling requires plenty of input data to be processed, the
process is done in many stages, and the data obtained on each of the stages may be interrelated. The process then is not simply a chain of tasks. The modern models work via sophisticated mechanisms of loops being triggered whenever a new piece of information is revealed and the whole model needs updating. Technically speaking, in the spreadsheets environment, this may only be done with the use of iterations. The valuation model should also be subjected to the sensitivity analysis, which is able to quantify the impact of every single assumption made on the final company value. The analysis points out the set of critical assumptions, which have the major impact on the calculated company’s value. Apart from quantifying the impact of the assumptions, the analysis runs qualitative checks on the assumptions assessing the robustness of the arguments standing behind the critical factors for valuation. Consequently, the sensitivity analysis improves the objectivity of the model and mitigates the exposure for the possible results manipulation. The sensitivity analysis reveals its critical role in the valuation process and proves that it should be considered as the standard step in every DCF valuation.Wycena przedsiębiorstw poprzez DCF jest uznawana za jedną z najbardziej popularnych metod wyceny. Modele wyceny DCF stały się jednak niezwykle skomplikowane. Modeling wymaga wiele danych wejściowych do przetworzenia, proces odbywa się w kilku etapach, a dane uzyskane w każdym z etapów mogą być ze sobą powiązane. Proces nie jest po prostu łańcuchem zadań. Nowoczesne modele pracy, poprzez zaawansowane mechanizmy pętli, jest uruchamiany zawsze, gdy nowa informacja się pojawia, i cały model wymaga aktualizacji. Technicznie rzecz biorąc, w arkuszach kalkulacyjnych, może być dokonana analiza jedynie z zastosowaniem iteracji. Modele wyceny powinny być również poddane analizie wrażliwości, która jest w stanie obliczyć wpływ każdego założenia na ostateczną wartość firmy. Analiza wskazuje na zestaw kluczowych założeń, które mają duży wpływ na obliczoną wartość firmy. Oprócz ilościowego określenia wpływu założeń, analizy jakościowe prowadzą kontrole założenia oceny niezawodności argumentów odpowiedzialne za kluczowe czynniki wyceny. W związku z tym, analiza wrażliwości poprawia obiektywność modelu i zmniejsza narażenie na manipulowanie wynikami. The problem may be overcome by using a technique based on iterations. In a real-life case, when one has to deal with numerous parameters and time periods, a numerical solution seems to be the only feasible approach. It is a chain of formulae that becomes so integrated that the information between cash flows and cost of capital moves freely. Loops run along columns (from V to WACC, and from E to k) and lines (from one year to another). The cost of capital “tracks” the capital structure and changes accordingly. The valuation is recursive, going backwards in time. In general, the recursive method of company evaluation overcomes a fundamental problem that is often ignored by many other methods: the fact that the cost of capital depends on the financial structure. Wybrane aspekty stosowania metod porównawczych w wycenie przedsiębiorstw
Metody porównawcze (zwane też rynkowymi, lub mnożnikowymi) to osobna grupa metod wyceny przedsiębiorstwa. Metody ta budzą kontrowersje: nie mają wsparcia w postaci zbyt wielu publikacji naukowych, brakuje im mocnych podstaw teoretycznych. Z drugiej strony, ogromna część wycen, szczególnie tych dokonywanych w krajach z rozwiniętymi rynkami kapitałowymi, realizowana jest właśnie z użyciem metod porównawczych. Warunkiem rozwoju metodologii wycen opartych o założeniu o istnieniu bliźniaczego w odniesieniu do wycenianej spółki przedsiębiorstwa jest budowanie standardów wyceny. Inaczej metoda może zostać łatwo zmanipulowana. W szczególności standardy powinny dotyczyć metod doboru mnożników, doboru spółek do porównania, doboru wag stosowanych w modelach wieloczynnikowych, spójności cech statystycznych mnożników. W niniejszej pracy wskazano na aspekty i elementy metodologii wymagające
standaryzacji. Bez standardów zła sława porównawczych metod wyceny wynikająca z faktu, że używane są głównie modele jednoczynnikowe, a wybór mnożnika jest bardzo subiektywny i oparty niemal wyłącznie na doświadczeniach danego wykonawcy będzie się utrwalała.The comparable company valuation is one of the most controversial valuation approaches. It gained popularity because of a simplified valuation procedure and immediate results it may generate. However, it lacks theoretical foundation and standards dealing with valuation procedures. We point out to certain issues that need
to be analyzed so that comparable company valuation method can be used without raising so much controversy. The issues include: comparable company selection, peer group selection, criteria used for multiples selection, relevance of various multiples, the choice of valuation methods, analysis of capital market efficiency, capital
structure, interaction between single- and multi-factor models. To conclude, the comparable company valuation method may work well provided one adheres to standards with regard to peer group selection, multiples selection, and relies on high quality data. Otherwise, the market approach to valuation will still be considered

Autor artykułu stawia tezę, że na Łotwie dla większości firm i gospodarstw domowych decyzja o ustaleniu stałego kursu wymiany łata na euro została błędnie odczytana jako zielone światło dla zaciągania kredytów w euro bez potrzeby martwienia się o ryzyko kursowe. Jego zdaniem brak ryzyka kursowego spowodował radykalny wzrost akcji kredytowej banków, nieskuteczność narzędzi polityki monetarnej sprawiła, że inflacja zaczęła rosnąć niemal bezkarnie, a pojawienie się ujemnej realnej stopy procentowej uruchomiło niebezpieczny mechanizm sprzężenia zwrotnego między stopniem wzrostu gospodarczego a wysokością inflacji. Celem niniejszej pracy jest zbadanie stopnia efektywności polskiego rynku
giełdowego. Wstępne rozważania dotyczące wpływu racjonalności zachowań inwestorów na efektywność rynku są niezbędne jako że główna część pracy oparta jest na analizie fundamentalnej, a więc a priori zakłada się że inwestorzy są choćby w minimalnym stopniu racjonalni.
Na wstępie zidentyfikowano zespół pięciu kluczowych sygnałów fundamentalnych i
zbadano ich wpływ na zmiany cen spółek. Model regresji zbudowany na podstawie relacji między sygnałami fundamentalnymi a zwrotami posłuży do budowy portfela
niedowartościowanych firm. Analiza strategii rozpoczętej zaraz po rozpoczęciu nowego roku rozliczeniowego sugeruje że portfel niedowartościowanych spółek, w porównaniu z indeksem WIG-20 traktowanym jako punkt odniesienia, generuje najwyższe zwroty po dwóch miesiącach, a więc przed publikacją raportów rocznych spółek. Jest to przesłanka do stwierdzenia że sygnały fundamentalne dostarczają istotnej informacji na temat przyszłych zwrotów.
