    SUCCESSION OPPORTUNITIES IN FAMILY BUSINESS PRO-AVTO NOVAK, ERIKA NOVAK, S.P.

    Družinska podjetja so še vedno slabo raziskano področje v gospodarski panogi, še posebej v Sloveniji, saj je na to temo zelo malo literature, je pa to področje, ki postaja vedno bolj zanimivo za podjetnike. Pri družinskem podjetju gre za združitev družine in podjetja v harmonizirano celoto, saj je po navadi družina ustanovitelja posredno ali neposredno vključena v razvoj in delovanje podjetja. Ta podjetja imajo pomembno prednost pred ostalimi, saj je pripadnost podjetju dosti višja, kot v drugih, ne družinskih podjetjih, kar lahko privede do boljšega uspeha podjetja. V diplomskem seminarju smo preučili izbrano družinsko podjetje Pro-avto Novak, Erika Novak, s.p. na podlagi praktične aplikacije različnih avtorjev, še posebej smo se osredotočili na vprašanje nasledstva družinskega podjetja, saj je ta točka v vseh družinskih podjetjih kritična za obstoj. Proces planiranja nasledstva je zelo pomemben za obstoj družinskega podjetja, ki ga žal veliko družinskih podjetij začne prepozno ali premalo natančno, kar lahko privede do komplikacij tako v domačem okolju, kot v podjetju in lahko v najhujšem primeru celo privede do zaprtja tega podjetja in predvsem pa velikih sporov v družini. Tistim podjetjem, ki se na planiranje nasledstva pravočasno osredotočijo, uspešen prenos iz ene v drugo generacijo prinese uspešno nadaljnje poslovanje podjetja in uspeh ter ugled v poslovnem in domačem okolju. V družinskem podjetju, ki smo ga preučili, so se planiranja nasledstva le dotaknili in do danes niso podrobno preučili. Lastnik/manager je vključil v podjetje svoje otroke že zgodaj, odločil se je, da želi, da podjetje prevzame eden od otrok, vendar se še ni odločil, komu in kako bo prepustil podjetje. Lastnik podjetja je začasno predal podjetje svoji ženi, ampak še vedno sam aktivno vodi podjetje. Oba otroka, ki sta bodoča in morebitna naslednika, še nista dokončala šolanja. Če se lastnik ne bo kmalu posvetoval s celotno družino, kako naprej in podrobno planiral nasledstva, zna priti do manjših komplikacij, ko bo prišlo do neizogibne odločitve. Po našem mnenju pa ni nujno, da bi bilo to uničujoče za podjetje. Po preučeni literaturi vidimo, da se vsi avtorji strinjajo in tudi praksa kaže na to, da je za obstoj in razvoj družinskega podjetja pri prenosu lastništva pomembno, da se nasledstvo natančno planira, saj bo le tako zadeva potekala nemoteno in brez večjih komplikacij in presenečenj tako v družini, kot v podjetju Pro-avto Novak, s.p.Family businesses are still poorly studied area in the industry, especially in Slovenia, because the topic is not mentioned alot in the literature, but it is an area of study that is becoming increasingly interesting for entrepreneurs. In family business is all about uniting family and business as a harmonized whole, because it is usually the founders family that is directly or indirectly involved in the development and activities of the company. On one hand, these companies have an advantage over others, because loyalty to the company is much higher than in other non-family firms, which may lead to better business success. In the graduate seminar, we examine the entire family business selected on the basis of the theory by various authors, especially focused on the issue of succession of family business, since this point in family businesses is critical for survival of the business. The process of succession planning is the most important for the existence of the family business, which is unfortunately in a lot of family firms undertaken too late or in to small detail, which can lead to complications at home and in the company and in the worst case even to the closure of businesses and major conflicts in the family. Those companies that do take succession planning under great consideration in time, and successfuly transfer from the first to the second generation, brings a successful future to the family business and success and reputation in the industry and home environment. In the chosen family business, we have studied, they didn\u27t took the succession planning as seriously as the should, and they didn\u27t discussed it in detail. The owner/manager includet his children in the company eary on, because he knew he wanted the business to stay in the family, but has not yet decided whom and how he will leave the company. The business owner has temporarily handed company to his wife, but he is still actively involved with the company, because the children had not yet completed their education. If the owner will not consult soon with the whole family and do a detailed plan for succession, it can get to the smaller complications when it comes to the inevitable decision who to leave the company to, but in our opinion it will not be devastating to the company, because they are already making some plans in this direction. With all the studied literature and articles, we can see that a lot of authors agree with each other and the practice shows that the existence and development of the family business after the transfer of ownership is important to make a great succession plan carefully, because only then will it be smoothly and without major complications and surprises both in the family and the company

Diagnosis Relatively long-legged subspecies of Nemastoma bidentatum, with strait Ch ventral margin, and Pa-Fe with either 4 subequidistantly positioned spines or pointed tubercles or long setae on low protrusions, or their combination in the distal Pa-Fe half, or alternatively, with 2–3 distal stout thorns. Rec sem with one tubular and 12 elongated balloon-like vesicles. Etymology The subspecies name ʻ gruberi ʼ is dedicated to Jürgen Gruber (Vienna), our teacher, colleague and friend, who generously introduced us to the taxonomy of harvestmen and helped in identifying problematic specimens.     Die im Deutschen Literaturarchiv Marbach aufbewahrte Korrespondenz zwischen Helga M. Novak und Günter Grass wurde zum Anlass, die Kontakte der beiden Schriftsteller, auch anhand anderer Dokumente zu rekonstruieren. Ein Schwerpunkt ist die Darstellung der Unterstützung Novaks durch Grass ab Herbst 2004 bei ihren Bemühungen um eine Aufenthaltsgenehmigung in Deutschland. Es wird ebenfalls auf die Spuren der freundschaftlichen Beziehung im Werk von Grass und Helga M. Novak verwiesen. Zum Schluss wird in einem Exkurs die polnische Rezeption Novaks summarisch beschrieben.The correspondence between Helga M. Staut (observation): 1 ex. Diagnosis. Very small (1.1−1.4), highly specialized eyeless troglobiotic Hadzinia, characterized by its low ocular tubercle and long, thin appendages: basal cheliceral article 2/3 as long, and pedipalp 6-times as long as body. Pedipalp tarsus strongly bent ventrally. Glans with sparse, long, rod-like minute spines and a few conical minute spines. As far as has been established, H. ferrani sp. n. is endemic to the karst of Mt. Ulovka (801 m) in central Slovenia. Etymology. The species name ferrani is dedicated in honor of Milan Ferran (Ljubljana), who started the investigations within the Ferranova buža cave, and who discovered and collected the first specimen of this species. Description. Male, holotype: Body length 1.11, body tender, with scutum magnum. Color of body light beige (Figs 1, 2). Dorsum weakly sclerotized, with dense, short (up to 5 µm) mucronate, cuticular microtubercles (microtrichia) covering most of the cephalothorax and abdomen, gradually changing from microtrichia at the cephalothorax edges into dense tuberculate microgranula (Fig. 3). Ocular tubercle low but well pronounced, wider than long, starting half its length behind the anterior edge of the dorsal scutum. Cuticle of cephalothorax thicker in the center and thinner towards the edges, with scattered oval and irregularly shaped spots of thiner parts (Fig. 4). Eyes completely reduced, but former position indicated by round cuticular spots, where probably the reduced optical nerves emerged (seen under fluorescence; Fig. 4). Supracheliceral lamellae large, with straight frontal margin and mammillary tubercles, similar to those in female (Fig. 20) and H. karamani (Karaman, 2013, fig. 15). Coxae and ventral side of the body with sparse long setae in a transverse row close to the posterior border of each sternite (Figs 2, 21). Setae longest on pedipalp coxae. Chelicerae intense reddish-brown, long and slender (Figs 7, 9, 10), without apophysis and gland openings, resembling those of Nemaspela species. Lengths of basal article, distal article and movable finger, 0.78, 0.92 and 0.37, respectively. Basal segment basally and terminally widened, without apophysis and glandular pores, with an antero-superior group of three long bristles. Distal segment slender, elongated, frontally evenly set with long bristles, the longest ones as long as the article diameter. Fixed finger with two large black teeth and a series of 14 diaphanous teeth at the base; movable finger with six large teeth, becoming lower and longer towards the apex of the finger, and a series of 13 diaphanous teeth. Pedipalps light reddish-brown, without secondary sexual differences (Figs 6, 12), very long, slender, with scattered, very densely set clavate glandular setae on all articles, except trochanter, diminishing in size from femur till tarsus, and giving a voluminous appearance in living animals. Femur subterminally crooked ventrally, with a few dense short setae disto-dorsally. Patella as long as femur, distally slightly bent, with a group of short setae proximally and one long bristle distally. Tibia distally gradually narrowing. Tarsus long, slightly club-like and ventrally conspicuously bent at an angle of ca. 45°, with two long bristles. For lengths of articles, see Table 1. Legs (Fig. 5; Table 1) beige with darker article endings, very long and thin (L body: L leg II = 1: 22.7), with up to 22 pseudoarticulations (in metatarsus II). Claws simple, straight in preserved specimens (Fig. 5). Leg articles cylindrical, with dense cover of fine bristles, interspersed by few long ones (Fig. 5). Penis (Figs 8, 11; 21, here pay attention to protruding glans) longer than body (possibly caused by body shrinkage in alcohol), 1.22 long, glans 0.13, basis 0.20. Truncus dorsally bent, with nearly parallel margins, narrowest in the middle, slightly dorso-ventrally flattened. Basis straight, oval elongated, incised for about half its length. Glans brownish, elongated barrel-like and slightly wider than truncus, terminally truncated with a pair of conspicuous lateral humps encompassing medial furrow, with sparse long rod-like minute spines and few conical minute spines. Stylus emerging subapically, on the ventral side in the middle of terminal glans furrow between lateral humps (dorsal view). Female: Body length 1.40, whitish to slightly reddish-brown (Figs 14, 15, 22, 23, 24). Chelicerae as in male, somewhat more robust (Figs 16, 17). Lengths of basal article, distal article and movable finger 0.80, 0.98 and 0.42, respectively. Pedipalps (Fig. 13) as in male, lengths of articles see Table 1. Legs (Table 1; Figs 23, 24, distal tarsomerae Fig. 18) as in male, but relatively shorter. Claws as in male. Ovipositor (Fig. 19) ca. 0.45 long, receptacula seminis apparently monovesicular, less than 10 µm, either undeveloped in examined specimens (n=2) or very difficult to see. Relationships. Presently, H. ferrani sp. n. is the only other species described from the genus Hadzinia. Hadzinia ferrani sp. n. can be distinguished from H. karamani especially by its overall slender segments: relatively very long and slender chelicerae in H. ferrani sp. n. vs. relatively short and robust in H. karamani, straight and subterminally crooked vs. sinusoidally curved pedipalp femur, slender vs. thick patella, elongated barrel-shaped vs. truncated cone-like glans, and by long rod-like minute spines besides a few conical ones in H. ferrani sp. n. vs. only conical spines in H. karamani. Distribution. Hadzinia ferrani sp. n. has been found only in the Ferranova buža cave. The species is thus likely endemic to the western Dinaric karst, and probably restricted to the karstic region of Mt. Ulovka (801 m) in central Slovenia. Ecology. In the Ferranova buža cave, all records were taken from a depth of over 70 m beneath the surface where temperatures yielded 7.6 to over 10°C. Individuals were found on bare wet limestone walls beside trickling and seeping water, sometimes showered by water droplets, and on wet flowstone concretions and walls. Their relatively long appendages suggest adaptation to spacious habitats, while their movable, pointed claws enable efficient clinging in slippery and water-drenched sites. This indicates that H. ferrani sp. n. probably prefers terrestrial phreatic habitat sensu Jeannel (1926), i. e., habitats consisting of tiny water trickles in aerated channels inaccessible to humans.     Der deutsche Kolonialismus in Südwestafrika und die Ausrottung der Herero bilden eine wichtige thematische Achse im Werk von Helga M. Novak. Die Analyse der einschlägigen Texte zeigt, dass die Autorin der in der DDR herrschenden Deutung des Kolonialismus stets verpflichtet blieb. Novak teilt die von den DDR-Historikern vertretene Kontinuitätsthese, laut der eine kontinuierliche Entwicklung zwischen dem wilhelminischen Kolonialismus und dem Faschismus bestanden habe. Eine Schlüsselfigur in Novaks Aufarbeitung des deutschen Kolonialismus bildet der General Lettow-Vorbeck, einer der Hauptverantwortlichen der Niederschlagung des Aufstands der Herero; die Verklärung als Held, der er in der Bundesrepublik der 1960er Jahre aufgrund seiner siegreichen Kriegskampagne in Ostafrika unterworfen wurde, belegt nach der Ansicht Novaks das Fortbestehen reaktionärer Kräfte in den Institutionen der BRD.Helga M. Novak often in her works refers to the German Colonialism in South West Africa and particularly to the genocide of the Herero. The analysis of the texts in which Novak dealt with these themes shows how the author remained lifelong devoted to the interpretation of colonialism which was prevailing in the GRD. Novak subscribed to the so called „continuity theory“, according to which a coherent development dating from the German Colonialism in the Era of Emperor Wilhelm II to Fascism became recognizable; furthemore Novak stigmatizated the glorification for which General LettowVorbeck, one of the main responsibles of the extermination of the Herero, was acclaimed in the Bundesrepublik of the 1960s because of his success in the military campaign in Eastafrica during the First World War. Owing to this example, Novak could give evidence of how reactionary tendencies remained in force within the institutions of the German Federal Republic

    This project is a translation of twenty short stories by Helga Novak, a contemporary author born in eastern Berlin. The stories were all written between 1965 and 1980. They are divided into four sections: Fish Factory, Carpet Weaving, Traveling, and Sojourn in a Crazy House. The first three sections consist of very short stories, approximately one page long, taken from Novak\u27s collection called Geselliges Beisammensein (Social Gathering). The last section is made up of three longer stories, each about 10 pages long, taken from Aufenthalt in einem irren Haus (Sojourn in a Crazy House), which represent some of Novak\u27s later work. I have also included a translator\u27s introduction, relating some of my experiences in translating a longer work and my position in the discourse of translation theory

In ihren Lebenswegen sah Helga M. Novak die eigene Biografie gespiegelt, die Hinwendung zu ihnen war damit gleichzeitig ein Weg zum einstigen Verlust von Heimat und Sprache.In 1985, Helga M. A fateful incident because, during that time, she formed friendships to several representatives of Romanian-German literature who had already made their applications for an exit visa.
