    Rozprawa doktorska prezentuje zagadnienia związane z procesem kształtowania oraz budową koncepcji fiskalnych formułowanych w zakresie usług gier losowych na automatach w latach 2006-2009. Praca składa się ze wstępu, ośmiu rozdziałów oraz wniosków. W toku badań postawiono tezę o wadliwości przyjmowanych koncepcji opodatkowania urządzania gier losowych na automatach w prawie polskim w latach 2006-2009 oraz tezę uzupełniającą, dotyczącą ogromnego (pozaformalnego) wpływu niektórych podmiotów życia gospodarczego na ten proces i słabości państwa w tym zakresie. Rozważania przeprowadzono w oparciu o metody niereaktywne: historyczno-opisową, formalno-dogmatyczną oraz prawno-porównawczą. W toku pracy autor ustala ramy dopuszczalnej polityki fiskalnej w przypadku przedmiotowych usług w oparciu o aksjologię skutków negatywnych oraz badania historyczne. Następnie konfrontuje ten teoretyczny model z modelami rzeczywiście forsowanymi, opisując jednocześnie poprawność samego sposobu ich kształtowania. Przedmiotem rozważań w tym zakresie są dwa modele fiskalne, pierwszy oparty na forsowanej instytucji parafiskalnych dopłat do gier na automatach oraz drugi wynikający z wprowadzonego zakazu działalności w zakresie tych gier (ale nienotyfikowanego, a więc i bezskutecznego w świetle dyrektywy 98/34/WE), gdzie literatura prawa nie podejmowała do tej pory żadnego z tych tematów. W uzupełnieniu podjęto próbę ekonomicznej kwantyfikacji skutków znalezionych odstępstw od ustalonego wzorca. Ostatecznie autor podsumowuje ustalenia w zakresie znalezionych dystorsji i tym samym weryfikuje postawione we wstępie tezy. Znalezione różnice stały się tym samym podstawą do sformułowania wniosków ogólnych wskazujących na wadliwość przyjmowanych koncepcji opodatkowania urządzania gier losowych na automatach w prawie polskim w latach 2006-2009. Wadliwość ta wynika z faktu, iż koncepcje te próbowały naruszać cele priorytetowe ochrony wynikające z Konstytucji, zamiast je po prostu wypełniać, gdzie sam fakt ich pojawienia się był raczej przejawem próby zmiany struktury rynku gier w Polsce. Na zakończenie autor przedłożył własne propozycje w zakresie szczegółów budowy potencjalnego modelu opodatkowania, wychodząc z dokonanego w toku pracy ustalenia, iż w zakresie realizacji konstytucyjnych celów ochronnych w analizowanym obszarze racjonalne są wyłącznie systemy pozytywnej reglamentacji, a w tym świetle konstytucyjnie racjonalne będą tylko takie regulacje fiskalne, które nie naruszają tak realizowanej polityki ochrony.The doctoral dissertation presents issues related to the process of shaping and the construction itself of fiscal concepts formulated in the field of games of chance on slot machines in the years 2006-2009. The work consists of an introduction, eight chapters and conclusions. In the course of the research, a thesis was made about the defectiveness of the adopted concepts of taxation of organizing games of chance on slot machines in Polish law in 2006-2009 and supplementary thesis regarding the huge (non-formal) impact of some entities of economic life on this process and the weakness of the state in this area. The considerations were based on non-reactive methods: historical-descriptive, formal-dogmatic and legal-comparative. In the course of work, the author sets the framework for an acceptable fiscal policy for these services based on the axiology of negative effects and historical research. Then he confronts this theoretical model with the models actually forced, while describing the correctness of the way of shaping them. Two fiscal models are the subject of deliberations in this respect, the first based on the forced institution of parafiscal subsidies for slot machine games and the second based on the ban imposed on these games (but not notified and therefore ineffective under Directive 98/34/EC), where the legal literature has not undertaken any of these topics so far. In addition, an attempt was made to economically quantify the effects of deviations from the established pattern. Finally, the author summarizes the findings regarding the found distortions and thus verifies the thesis put forward in the introduction. The differences found have thus become the basis for the formulation of general conclusions indicating the defectiveness of the adopted taxation concepts for the organization of games of chance on slot machines in Polish law in the years 2006-2009. This defect stems from the fact that these concepts tried to violate the priority objectives of protection derived from the constitution, instead of just filling them in, where in addition the mere fact of their appearance was also rather a manifestation of attempts to change the structure of the gaming market in Poland. At the end, the author submitted his own proposals regarding the details of the construction of a potential taxation model, starting from the work made in the course of work that in the scope of implementing constitutional protection objectives, only the systems of positive regulation are rational in the analyzed area, and in this light only such fiscal regulations will be rational. which do not violate the protection policy implemented in this way

    Tematem rozprawy doktorskiej są regulacje kontrolowanych spółek zagranicznych (CFC). Regulacje CFC są ważnym narzędziem legislacyjnym, które pozwala zapobiec prawnemu przenoszeniu dochodu podlegającego opodatkowaniu do krajów o niskim poziomie opodatkowania, nakazując przypisać kwoty odpowiadające wysokości wytransferwanego dochodu do podstawy opodatkowania podatnika (osoby kontrolującej). Podstawowa teza badawcza niniejszej rozprawy osadza się na stwierdzeniu, iż istnieje istotny deficyt regulacyjny w ramach aktualnie obowiązujących polskich regulacji CFC. Konstrukcja tych przepisów nie zapewnia skutecznego mechanizmu przeciwdziałającego unikaniu opodatkowania przy wykorzystaniu konstrukcji spółki CFC z uwagi na liczne defekty konstrukcyjne oraz luki prawne. Autor zidentyfikował dwadzieścia pięć takich podstawowych defektów i luk. Drugą tezą do wykazania w rozprawie było twierdzenie, że polska Ustawa zasadnicza oraz umowy o unikaniu podwójnego opodatkowania, których stroną jest Polska nie wprowadzają zasadniczo ograniczeń w zakresie konstrukcji regulacji CFC. Autor miał na celu wykazanie, że zasada sprawiedliwości podatkowej stosowana abstrakcyjnie jako miara standardu konstytucyjności, czytana zarówno w wymiarze materialnym, jak i proceduralnym, nie stanowi ograniczenia w stosowaniu regulacji CFC w wersji przewidzianej przez obowiązujące w Polsce prawo podatkowe. Jeśli chodzi o umowy o unikaniu podwójnego opodatkowania, identyczna konkluzja dotycząca braku ogólnego konfliktu między regulacjami CFC a tymi traktatami opiera się na licznych argumentach wypływających z literalnej interpretacji poszczególnych postanowień tych konwencji, co znajduje poparcie w oficjalnym stanowisku OECD zawartym w komentarzu do Konwencji Modelowej OECD. Ponadto, autor postawił teże, że jeszcze przed wprowadzeniem Dyrektywy przeciwko unikaniu opodatkowania (Dyrektywy ATA) państwa członkowskie UE miały więcej swobody w stosowaniu regulacji CFC w sytuacjach wewnątrzwspólnotowych, tj. gdy spółki CFC były zlokalizowane w innych państwach członkowskich oferujących preferencyjne reżimy podatkowe. Na podstawie analizy orzecznictwa Trybunału Sprawiedliwości Unii Europejskiej, w szczególności wyroku w sprawie Cadbury Schweppes, autor próbował argumentować, że walka z nadużyciami w UE nie jest ograniczona do przypadków, w których spółki CFC stanowią wyłącznie sztuczne struktury, tj. nieistniejące podmioty w praktyce. W przeciwieństwie do powszechnego poglądu podzielanego przez opinię publiczną, przedmiotowe wyroki dawały podstawę prawną do stosowania bardziej proporcjonalnego podejścia w regulacjach CFC. Powiązaną tezą do udowodnienia było twierdzenie, iż polskie ustawodawstwo CFC nie powinno iść śladem brytyjskich przepisów CFC odnośnie do sposobu określania dochodu podlegającego opodatkowaniu u podatnika (dochodu CFC), pozostając w tym zakresie oparte na mechanizmie pierwotnie wypracowanym w ramach amerykańskich regulacji CFC, przy czym rekomendowanym byłoby wdrożenie modelu amerykańskiego w pełni, które jest rozwiązaniem zdecydowanie bardziej precyzyjnym, a co za tym idzie bardziej proporcjonalnym do zamierzonego celu. Wreszcie, w oparciu o powyższe rozważania i bazując na doświadczeniu OECD z Projektu BEPS, autor zaproponował czterdzieści dwie zmiany natury de lege lata i de lege ferenda do polskich regulacji CFC, co uczyniłoby je bardziej wydajnymi i spójnymi. W pracy zastosowano następujące metody badawcze - metodę dogmatyczną, metodę teoretyczną, metodę porównawczą, metodę historyczno-prawną oraz metodę empiryczną. Dysertacja zawiera analizę następujących podstawowych materiałów źródłowych: aktów prawnych, interpretacji przepisów prawa podatkowego wydanych przez organy podatkowe, wyroków sądowych, dokumentów instytucji międzynarodowych (OECD i UE), literatury prawniczej w formie książek, czasopism i artykułów internetowych , źródeł historycznych oraz wyniki badań przeprowadzonych w oparciu o wywiad kierowany.The subject of the doctoral dissertation is the issue of controlled foreign company (CFC) regulations. CFC regulations are an important legislative tool allowing to prevent the legal relocation of taxable income to countries with low taxation by obliging the amounts corresponding to the transferred income to be claimed back to the tax base of the taxpayer (the controlling person). The basic research thesis of this dissertation is based on the statement that there is a significant regulatory deficit under the current Polish CFC regulations. The construction of these provisions does not ensure an effective mechanism to prevent tax avoidance using the CFC construction due to the numerous structural defects and legal gaps, which in turn may expose the state budget to significant losses due to reduced tax revenues. The author's identified the very basic twenty five such defects and gaps. The other thesis to demonstrate was that the Polish Constitution as well as the Polish double tax treaties do not generally introduce restrictions on the applications of the Polish CFC regulations. The author aimed to demonstrate that the tax justice standard applied in abstract as a measure of the standard of constitutionality, read both in the material and procedural dimension, does not constitute a constraint in the application of CFC regulations in the version envisaged by the current Polish tax laws. As regards the double tax treaties, identical conclusion on lack of the general conflict between the Polish CFC regulations and these treaties has basis in numerous arguments based on the literal interpretation of individual provisions of these conventions, supported by the official OECD’s position presented in the Commentary to the OECD Model Convention. The following thesis of the author was suggestion that even prior to the introduction of Anti-Tax Avoidance Directive (ATA Directive) the EU member states had more leeway in applying the CFC rules to intra-community situations, i.e. where CFCs were located in other member states offering preferential tax regimes. Based on the analysis of the European Court of Justice’s verdicts, in particular the Cadbury Schweppes judgement, the author tried to argue that fight against abuse within the EU does not to be limited to cases of CFCs constituting wholly artificial arrangements, i.e. non-existent entities in practice. Opposed to common view shared by the public, more proportional approach in the CFC regulations could have been applied and had good legal basis in these verdicts. The related thesis to prove was that the Polish CFC legislation should not follow the British CFC regime as regards the quasi-transfer pricing mechanism of determination of the taxable income of taxpayer (the CFC income), remaining in this respect based on the mechanism originally developed under the American CFC regulations, while the author recommended to implement the American model in full, i.e. switch from the current-in-force transactional-entity approach to pure version of the transactional approach. The latter approach is a more precise mechanism, and hence more proportional to the intended purpose. Finally, based on the above considerations and based on the experience of the OECD from the BEPS Project, the author proposed forty two changes of de lege lata and de lege ferenda nature to the Polish CFC regulations which would make them more efficient and consistent. The following research methods were applied in the work - dogmatic method, theoretical method, comparative method, historical-legal method and empirical method. The dissertation contains an analysis of the following basic source materials: legal acts, interpretation of tax law regulations issued by tax authorities, court verdicts, documents of international institutions (the OECD and the EU), legal literature in the form of books, magazines and online articles, historical sources as well results of the research conducted based on the interviews

    Celem badawczym niniejszej dysertacji jest opracowanie nowych metod ustalania dochodu podatników prowadzących działalność rolniczą, który mógłby stać się podstawą opodatkowania podatku dochodowego od działalności rolniczej. Bezpośrednim przyczynkiem do rozpoczęcia pracy badawczej był wyrok Trybunału Konstytucyjnego sygn. akt K58/07, nakładający na ustawodawcę obowiązek wprowadzenia zmian legislacyjnych, które pozwoliłyby na stratyfikację mieszkańców wsi ze względu na ich dochody, a co za tym idzie również ich zdolność płatniczą. W niniejszej pracy postawiono tezę, według której obecnie obowiązujący podatek rolny, wprowadzony w 1984 r. stanowczo odstaje od pozostałych regulacji, funkcjonujących w naszym systemie podatkowym oraz warunków rynkowych, które ulegają dynamicznym zmianom, szczególnie po przystąpieniu Polski do UE. Niniejsza dysertacja składa się z VIII rozdziałów. W rozdziale I wprowadzono niezbędny aparat pojęciowy, w tym definicję gospodarstwa rolnego i działalności rolniczej. Autor omówił polski ustrój rolny, wynikający z Konstytucji RP i ustawy o ustroju rolnym oraz przedstawił dane statystyczne na temat polskiego rynku rolnego. W rozdziale II scharakteryzowano podatki, jakimi obciążeniu są producenci rolni, w tym zwłaszcza podatek rolny. Autor opisał specjalne działy produkcji rolnej, nie pomijając przy tym przychodów quasi-rolniczych (np. działalność agroturystyczna czy sprzedaż bezpośrednia). Autor przedstawił również własną, krytyczną ocenę obecnego podatku rolnego. Rozdział III traktuje o dochodzie rolniczym, z podziałem na dochody rolnicze sensu largo i sensu stricto. Przedstawiono w nim również pożądane cechy podatku od działalności rolniczej w oparciu o wybraną literaturę. W rozdziale IV niniejszej pracy autor, w poszukiwaniu wzorców dla nowego podatku, przeprowadził analizę prawnoporównawczą systemów podatkowych (ze szczególnym uwzględnieniem sposobu opodatkowania działalności rolniczej) wybranych krajów UE, tj. Niemiec, Francji, Belgii, Hiszpanii, Irlandii, Węgier oraz Czech. Następnie zaproponował podział powyższych krajów na trzy grupy: kraje stosujące preferencje podatkowe wobec producentów rolnych, kraje stosujące ograniczone preferencje podatkowe wobec producentów rolnych oraz kraje niestosujące preferencji podatkowych wobec tej grupy podatników. Analiza systemów podatkowych, obowiązujących w każdym z wymienionych krajów, składa się z omówienia ogólnego zarysu rynku rolnego na podstawie danych EUROSTAT, przedstawienia generalnych cech systemu podatkowego danego kraju, a następnie badania przyjętych sposobów obliczania podatku dochodowego od działalności rolniczej. Rozdział V niniejszej pracy stanowi analiza propozycji reformy obciążeń producentów rolnych, tj. projektu ustawy o opodatkowaniu dochodów z działalności rolniczej datowanego na 1 sierpnia 2012 r. Trudno o dokument, który w sposób bardziej kompleksowy i dopracowany traktuje zagadnienie opodatkowania podatkiem dochodowym produkcji rolnej. Co więcej, w odróżnieniu od pojawiających się w domenie publicznej propozycji, opisywany projekt powstał na zlecenie Ministerstwa Rolnictwa i Rozwoju Wsi, tak więc jest jedynym całościowym oficjalnym stanowiskiem rządowym w ten materii. W rozdziale VI autor ujął postulaty de lege ferenda oraz zaproponował optymalne metody obliczania dochodu producentów rolnych, oparte o doświadczenia przebadanych krajów, przy uwzględnieniu polskiej specyfiki. W rozdziale VII, zaproponowane metody zostały skonfrontowane z rzeczywistością poprzez przeprowadzenie badania polegającego na symulacji opodatkowania 180 losowo wybranych gospodarstw rolnych. Podstawę do wyliczeń stanowiły rzeczywiste dane gospodarstw rolnych znajdujące się w bazie Polskiego FADN. Rozdział VIII stanowi podsumowanie rozważań podjętych w pracy.The aim of the dissertation is to develop new methods of determining the income of taxpayers carrying out agricultural activity that could become the taxable amount for income tax on agricultural activity. The direct reason for undertaking the research was the decision of the Constitutional Court, file No. K58/07, obliging the legislator to introduce legislative changes that would enable stratification of rural inhabitants based on their income, and consequently also their financial capacity. The thesis formulated in this work says that the current agricultural tax, which was adopted in 1984, lags significantly behind the other regulations existing in our tax system and the market conditions, which have undergone dynamic changes, especially since Poland joined the structures of the European Union. This dissertation consists of 8 chapters. Chapter 1 introduces the necessary terminology, including the definition of an agricultural holding and agricultural activity, and presents the Polish agricultural system resulting from the Constitution of the Republic of Poland and the law on the agricultural system, as well as statistical data on the Polish agricultural market. Chapter 2 characterises the taxes imposed on agricultural producers, in particular agricultural tax, and special sections of agricultural production, taking into account quasi-agricultural income (e.g. agri-tourism or direct sale). The author also presents his own critical assessment of the current agricultural tax. Chapter 3 addresses agricultural income, divided into agricultural income in the broad sense and in the strict sense. It also presents characteristics of an ideal tax on agricultural activity, based on selected literature. In chapter 4 of this work, the author, seeking models for the new tax, conducted a comparative law analysis of tax systems (focusing, in particular, on the way of taxing agricultural activity) in selected countries of the EU, i.e. Germany, France, Belgium, Spain, Ireland, Hungary and the Czech Republic. Next, he proposed division of these countries into three groups: countries applying tax preferences to agricultural producers, countries applying limited tax preferences to agricultural producers, and countries not applying tax preferences to this group of taxpayers. Analysis of each of these countries included a general overview of the agricultural market based on EUROSTAT data, presentation of the general characteristics of a given country’s tax system, followed by the way or, most often, ways of calculating income tax on agricultural activity. Chapter 5 presents analysis of a proposed reform of tax burdens on agricultural producers, i.e. draft bill on taxing income from agricultural activity dated 1 August 2012. It is hard to find a document that would address the issue of taxing agricultural production with an income tax in a more comprehensive and elaborate way. What is more, in contrast to the proposals appearing in the public domain, this bill was drawn up at the request of the Ministry of Agriculture and Rural Development, making it the only comprehensive, official position of the government on that matter. In chapter 6, the author presented postulates de lege ferenda and proposed the optimal methods of calculating the income of agricultural producers based on the experiences of the countries examined, taking into account the Polish specificity. Finally, in chapter 7, the proposed methods were confronted with the reality by conducting a study involving simulation of taxing 180 randomly selected agricultural holdings. The basis for calculations was the actual data on agricultural holdings available in the database of the Polish FADN. Chapter 8 summarises the discussion presented in the work

    Po kilku latach gwałtownego kryzysu subprime, podczas którego wiele instytucji finansowych wpadło w głębokie tarapaty, niektóre z nich upadły, a wiele państw przeznaczyło olbrzymie kwoty środków publicznych na rozwiązanie ich problemów płynnościowych, ponownie odżyła idea wdrożenia szczególnego podatku obciążającego sektor finansowy. Głównym celem takiego podatku miałoby być zwiększenie dochodów publicznych i zmuszenie instytucji finansowych do wniesienia godziwego i znaczącego wkładu w finansowanie wydatków budżetowych, nie tylko w celu zwrotu kosztów poniesionych przez poszczególne państwa na interwencje, ale także w celu zgromadzenia funduszy na wypadek kolejnych kryzysów finansowych. Po drugie podatek mógłby przyczynić się do ograniczenia zmienności na rynku walutowym oraz rynku papierów wartościowych oraz zmniejszenia ryzyka związanego z działalnością sektora finansowego. Poza tym podatek mógłby wspierać regulacje oraz nadzór makroostrożnościowy. Niniejsza rozprawa doktorska Prawny model szczególnego podatku od transakcji finansowych stanowi podsumowanie dotychczasowych badań, dorobku i osiągnięć dotyczących idei specjalnego podatku obciążającego sektor finansowy gospodarki. Rozprawa dotyczy również zagadnienia obecnego reżimu opodatkowania instytucji finansowych w Polsce z punktu widzenia najważniejszych konstrukcji podatkowych i innych danin charakterystycznych dla tego sektora, ze szczególnym uwzględnieniem banków, zakładów ubezpieczeń oraz innych podmiotów dokonujących transakcji finansowych. Wreszcie, na końcu rozprawy, autor przedstawia swój własny postulowany model opodatkowania instytucji finansowych, który mógłby zostać implementowany w Polsce w miejsce obecnie obowiązującego podatku od niektórych instytucji finansowych (PNIF). Obecny polski PNIF powinien zostać zastąpiony zupełnie nową konstrukcją, głównie z uwagi na liczne wady, w tym także te o charakterze nieusuwalnym, wynikające z samej koncepcji podatku opartego o model opłaty bankowej. Tego typu podatek jest pobierany w oparciu o pozycje bilansowe podatnika, przede wszystkim o zobowiązania (kapitały własne z reguły nie są opodatkowywane). Jednakże polski podatek obciąża aktywa podatników, co jest rozwiązaniem niewłaściwym, rzadko spotykanym w innych państwach, mającym jeszcze więcej wad niż typowy podatek tego typu. Biorąc pod uwagę powyższe, zdaniem autora, brak jest uzasadnienia do nowelizacji obecnej ustawy o PNIF – nawet usunięcie przez ustawodawcę wszelkich luk i usterek nie naprawi dzisiejszego systemu opodatkowania sektora finansowego gospodarki. Jedynym właściwym rozwiązaniem jest uchylenie obecnie obowiązującego podatku i zastąpienie go właściwą konstrukcją, która będzie realizowała założone cele. Niniejsza rozprawa wskazuje na główne wady i zalety poszczególnych modeli szczególnego podatku obciążającego sektor finansowy i uzasadnia niewłaściwość przyjętego w Polsce rozwiązania. Dlatego zdaniem autora najlepszym rozwiązaniem dla Polski jest zastąpienie obecnego PNIF zupełnie nową konstrukcją, opartą o model podatku od działalności finansowej (FAT) jednakże z pewnymi istotnymi modyfikacjami wymaganymi m.in. przez specyfikę polskiej gospodarki. Dlatego też autor postuluje nie tylko wdrożenie zasugerowanego modelu podatku, ale również wskazuje na poszczególne przepisy podatku dochodowego od osób prawnych oraz inne przepisy prawa, które również powinny zostać zmienione. Głównym celem podatku jest uzyskanie dodatkowych dochodów budżetowych, utraconych w wyniku stosowania zwolnienia przedmiotowego w VAT od świadczenia usług finansowych, jak również stosowania niektórych innych przywilejów podatkowych, z których korzystają instytucje finansowe, scharakteryzowanych w niniejszej rozprawie, jednakże w sposób najmniej uciążliwy dla struktury rynków finansowych oraz regulacji i nadzoru makroostrożnościowego. Rozprawa uwzględnia również aspekt związany z wymogami prawa UE oraz próbą przyjęcia unijnego podatku od transakcji finansowych.After few years of a rampant subprime crisis during which numerous financial institutions ran into deep troubles, some of them filed for bankruptcy and many countries spent large amounts of public money to solve their liquidity problems, the idea of a selective tax imposed on financial sector revived. The main aim of such a tax is to raise public incomes and force financial institutions to make a fair and substantial contribution to public budgets not only to meet the costs incurred by them on governmental interventions but also to accumulate funds in case of any future crisis. Secondly, the tax could curb the volatility on the currency and securities markets and reduce risk associated with the activities of the financial sector. Last but not least, such a tax could support macro-prudential regulations and supervision. This doctoral dissertation The legal model of a special tax on financial transactions, exemplifies an attempt to summarize the hitherto achievements, attainments and output concerning the idea of a special tax concerning financial sector of economy. It also approaches the question of the current taxation of financial institutions in Poland from the point of view of the most important tax structures and other public tributes specific to this sector, with particular emphasis on banks, insurance companies and other entities involved in financial transactions. Finally, at the end of the dissertation, the author presents his own postulated model of taxation of financial institutions, which may be implemented in Poland instead of the currently prevailing tax on certain financial institutions. The current Polish tax on certain financial institutions should be replaced due to numerous flaws, some of them having an indelible character, arising from the sole concept of this tax, based on financial stability contribution model. Such type of tax is charged basing on the taxpayers’ balance sheet items, mainly on liabilities (equity is rather not taxable). However, Polish tax burdens taxpayers’ assets which is inappropriate solution, rather unparalleled in other countries, having even more drawbacks that the typical tax based on financial stability contribution model. Taking this into account, in the author’s opinion, there are no grounds and reasons to amend the current tax – even removal of all legislative defects will not improve the current taxation regime for Polish financial sector. The only appropriate solution is to abolish the current tax and replace it with the proper one which will pursue the required objectives. The dissertation indicates main benefits and drawbacks of particular models of a special tax on financial institutions and justifies the incorrectness of the solution adopted in Poland. Therefore in the author’s opinion, the best solution for Poland is to replace the current tax on certain financial insitutions with a new tax, that is based on the concept of a financial activities tax but with some important modifications required by Polish economic specifity and hitherto prevailing tax regulations. Hence the author postulates not only to adopt his model of a tax but also indicates particular regulations of CIT and other applicable laws to be amended at the same time. The basic purpose of a tax is to obtain additional budget incomes, lost as a result of VAT exeption on financial services, as well as some other tax privileges enjoyed by financial institutions, characterized in the dissertation, but in the least intrusive way to the financial market structure and macro-prudential regulations and supervision.     Przedmiotem dysertacji jest problematyka opodatkowania dochodu będącego efektem transakcji na pochodnych instrumentach finansowych (derywatach) podatkiem dochodowym od osób prawnych na podstawie ustawy z dnia 15 lutego 1992 r. o podatku dochodowym od osób prawnych. Zagadnieniem poddanym analizie jest zakres definicyjny przychodów oraz kosztów uzyskania przychodów dotyczących zawarcia, trwania, wyceny, realizacji, rezygnacji oraz zbycia praw z pochodnych instrumentów finansowych. Przeprowadzone badania dotyczą teoretyczno-prawnej koncepcji dochodu w podatku dochodowym od osób prawnych, w szczególności w zakresie transakcji na pochodnych instrumentach finansowych. Na kanwie analizy aktualnie obowiązującej normatywnej koncepcji dochodu stworzony został autorski model opodatkowania dochodów wynikających z transakcji na pochodnych instrumentach finansowych. W dysertacji określona została definicja dochodu na derywatach w oparciu o przypisy ustawy z dnia 15 lutego 1992 r. o podatku dochodowym od osób prawnych oraz wskazana została wielkość, która zdaniem autora, powinna być uznana za takowy dochód z uwagi na zasady państwa prawa urzeczywistniającego warunki sprawiedliwości społecznej. Przedmiotem przeprowadzonej analizy jest ustalenie czynników obiektywnych oraz subiektywnych występujących po stronie podatników podatku dochodowego w zakresie realizowanych transakcji na derywatach, stanowiących determinanty kształtujące konsekwencje podatkowe. Przedmiot pracy dotyczy również zagadnienia działań podatników, zgodnych z językowym brzmieniem przepisów powszechnie obowiązującego prawa, lecz skutkujących manipulacjami wynikiem podatkowym na transakcjach na pochodnych instrumentach finansowych w podatku dochodowym. W toku przeprowadzonej analizy zostały sformułowane i udowodnione następujące tezy badawcze odnoszące się do teoretyczno-prawnej koncepcji opodatkowania dochodu: a) derywaty jako instrumenty rynku kapitałowego wymagają szczególnej regulacji prawa podatkowego, mając na uwadze cel zawarcia, sposób rozliczenia pochodnego instrumentu finansowego oraz rodzaj instrumentu bazowego. Ustawa z dnia 15 lutego 1992 r. określająca przychody i koszty podatkowe, związane z rzeczywistą dostawą towarów oraz świadczeniem usług, nie uwzględnia zdarzeń gospodarczych będących transakcjami na pochodnych instrumentach finansowych mających w znaczącej części przypadków charakter nierzeczywisty. Przyjmując zatem założenie, iż intencją ustawodawcy jest opodatkowanie podatkiem dochodowym podmiotów działających w sektorze usług finansowych, celowym jest wprowadzenie przepisów szczególnych dotyczących przychodów i kosztów uzyskania przychodów związanych z pochodnymi instrumentami finansowymi. W przeciwnym wypadku opodatkowanie tych transakcji może stać się niemożliwe albo może prowadzić do podwójnego opodatkowania; b) sposób rozliczenia pochodnego instrumentu finansowego – rzeczywisty lub nierzeczywisty oraz cel, w jakim został zawarty kontrakt pochodnego instrumentu finansowego, a także rodzaj instrumentu bazowego – mają decydujący wpływ na skutki podatkowe kontraktu w podatku dochodowym od osób prawnych; c) wbrew dotychczasowym stanowiskom doktryny i judykatury, rodzaj instrumentu bazowego (zdefiniowany jako waluta lub wartość, względnie towar niebędący walutą) ma decydujący wpływ na określenie podstawy opodatkowania w podatku dochodowym w okresie pomiędzy dniem zawarcia kontraktu a dniem jego realizacji, rezygnacji lub zbycia kontraktu; d) rodzaj samego derywatu (np. opcja, forward, futures, swap) jest czynnikiem drugorzędnym (pobocznym) dla ustalenia skutków podatkowych transakcji na pochodnych instrumentach finansowych; e) przyjęte zasady prawa bilansowego przez podatników podatku dochodowego od osób prawnych mogą mieć fundamentalne znaczenie dla określenia dochodu podatkowego z tytułu transakcji na pochodnych instrumentach finansowych. W konsekwencji, istnieje możliwość swobodnego kształtowania podstawy opodatkowania w podatku dochodowym od osób prawnych w zakresie transakcji na derywatach - zgodnie z decyzją podatnika; f) aktualnie obowiązująca ustawa z dnia 15 lutego 1992 r. wskazuje na niemające uzasadnienia aksjologicznego przypadki, w których osiągnięcie ekonomicznego zysku z transakcji na pochodnym instrumencie finansowym nie skutkuje obowiązkiem rozpoznania przez podatnika przychodów podatkowych, jak również poniesienie ekonomicznej straty na pochodnych instrumentach finansowych nie daje możliwości zaliczenia straty w koszty uzyskania przychodów; g) zostało wykazane, iż w sposób niezamierzony wprowadzono do polskiego porządku prawnego przepisy umożliwiające opodatkowanie walutowych pochodnych instrumentów finansowych jednocześnie w oparciu o zasady ogólne związane z rozpoznaniem przychodów i kosztów uzyskania przychodów z prowadzonej działalności gospodarczej, oraz zgodnie z przepisami dotyczące rozliczenia różnic kursowych, które pośrednio (w innych momentach i na innych zasadach) mogą być uznane za przychody lub koszty podatkowe wpływające na podstawę opodatkowania. W przekonaniu autora, wkładem twórczym przygotowanej rozprawy do nauki prawa finansowego jest opracowana teoretyczno-prawna koncepcja opodatkowania transakcji z udziałem pochodnych instrumentów finansowych. Opracowana koncepcja normatywnego dochodu podlegającego opodatkowaniu podatkiem dochodowym od osób prawnych w zakresie pochodnych instrumentów finansowych daje możliwość eliminacji nadużyć przy określaniu podstawy opodatkowania, która w chwili obecnej może mieć charakter dowolny. Autor pragnie podkreślić wagę analizy przepisów ustawy o rachunkowości z dnia 29 września 1994 r. oraz Międzynarodowych Standardów Rachunkowości / Międzynarodowych Standardów Sprawozdawczości Finansowej, jak również ich wpływ na kształtowanie i interpretację przepisów prawa podatkowego dotyczących rozliczenia transakcji na pochodnych instrumentach finansowych.The subject of this doctoral dissertation is the issue of taxation of income that is the result of transactions with derivative financial instruments (derivatives) pursuant to the Corporate Income Tax Law of 15 February 1992 .The analyzed issue is the definitional scope of taxable income and tax deductible costs relating to the conclusion, duration, pricing, execution, cancellation rights and the sale of derivative financial instruments. The studies relates to theoretical and legal concept of the taxable income in accordance with the Corporate Income Tax Law, in particular in the scope of transactions on derivative financial instruments. On the background of the analysis of existing normative taxable income concept, proprietary model of taxation of income arising from transactions on derivative financial instruments has been created. The dissertation introduces the definition of taxable income on derivatives based on the Corporate Income Tax law of 15 February 1992 and determines the value which, according to the author, should be considered as such an income, due to the rule of the city of law, materializing the conditions of social justice. The purpose of the analysis is to determine the objective and subjective factors attributable to the taxpayers in the range of transactions on derivatives which are determinants creating the tax consequences. Course of work concerns also issues of taxpayers’ activities, although consistent with the language wording of the provisions of applicable law, but resulting with the manipulation of the tax income derived from the transactions on derivative financial instruments for the income tax purposes. In the course of the analysis the following research thesis related to theoretical and legal concept of taxable income have been formulated and proved: a) derivatives as capital market instruments require special tax law regulations, bearing in mind the purpose of the conclusion, the method of settlement of the derivative instrument and the type of underlying instrument. Corporate Income Tax Law of 15 February 1992 determining the taxable income and tax deductible costs associated with the actual delivery of goods and provision of services, does not include the tax consequences of transactions on derivatives which in a significant number of cases have a non-delivery character. Assuming therefore that the intention of the legislator is to tax the entities operating in the financial services sector, it is advisable to introduce the special provisions relating to revenues and tax deductible costs related to derivative financial instruments. Otherwise, the taxation of these transactions may become impossible, or may result in double taxation. b) the method of settlement of a derivative financial instrument - delivery or non-delivery, the purpose for which the contract was concluded, as well as the type of underlying instrument - have a decisive impact on the tax consequences of the contract according to the Corporate Income Tax law; c) contrary to current doctrine and judicature standpoints, the type of underlying instrument (defined as currency or value, or the goods not being the currency) has a decisive impact on the determination of the tax base for the corporate income tax purposes in the period between the date of conclusion of the contract and the date of its execution, cancellation or sale of the contract; d) the type of the derivative (e.g. option, forward, futures, swaps) is a secondary factor to determine the tax consequences of transactions on derivative financial instruments; e) the principles of accounting law adopted by the corporate income tax taxpayers’ can be of fundamental importance in determining the taxable income arising from the transactions on derivative financial instruments. In result, there is a possibility to freely determine the tax base for the corporate income tax purposes on transactions on derivatives – according to the taxpayer’s decision. f) currently valid Corporate Income Tax Law as of 15 February 1992 indicates not having axiological grounds cases in which the economic gains from the transactions on derivative financial instruments does not result in the obligation to recognize the taxable income, as well as incurring economic losses on derivative financial instruments does not allow to recognize the tax losses in tax deductible costs. g) the dissertation demonstrates that unintentionally to the Polish legal order, have been introduced the regulations allowing the taxation of foreign currency derivatives at the same time based on the general principles relating to the recognition of taxable revenues and tax deductible costs from the business activities, as well as in accordance with the provisions relating to the foreign exchange differences settlement, which indirectly (at other times and on different principles) can be considered as taxable revenues or tax deductible costs for the corporate income tax purposes. In the author’s opinion, a creative contribution of the given doctorial dissertation to the financial law is the theoretical and legal concept of taxation on transactions on derivative financial instruments. The developed concept of normative taxable income with respect to derivative financial instruments enables to eliminate abuses in determining the income tax base which at the moment can be determined freely and optionally. The author wishes to emphasize the importance of analysis of the provisions of the Accounting Act of 29 September 1994 and the International Accounting Standards / International Financial Reporting Standards as well as their impact on the creation and interpretation of tax law provisions concerning the settlement of transactions on financial derivatives

    Legal and Tax Instruments Limiting the Decline in the Fiscal Efficiency of the Tax System During Periods of Crisis

    The article concerns very important issue of the efficiency of the tax system, but the presented perspective focuses on crisis in that field. The historical changes in the Polish economy, which are taking place as a result of: the implementation of the new energy policy, the reconstruction of the structure of the supply of energy resources, the trade war with Russia, and, above all, the end of the era of cheap and readily available energy sources, will have (already had) a significant impact on the dynamics and amount of budget revenues, especially the state budget. Considerations bring Polish perspective, but are universal in their nature. Author argues that the fiscal balance of the new macroeconomic situation is already and will continue to be negative: budget revenues derived from the energy sector from direct and indirect taxes will decrease, and public spending on its maintenance will increase. The policy of high prices for energy carriers will reduce income tax revenues not only burdening business entities. This will exacerbate in a definite way the already growing (despite inflation) fiscal crisis (domino effect). Author proves that amendments of the tax law are necessary. It has to be noted that they should promote direct settlement and payment of the most important taxes by tax law subjects, rather than on the collection of data by tax authorities for the purposes of control and public supervision, because this is the only way to increase the fiscal efficiency of these taxes as soon as possible

    Celem artykułu jest identyfikacja przyczyn znaczącego spadku wpływów z podatku VAT w Polsce w ostatnich latach. Autor zauważa, że co roku wpływy podatkowe są o kilka procent niższe, niż zakłada ustawa budżetowa. Straty budżetu państwa w latach 2008–2012 szacuje się na 90 mld zł, czyli ponad 20 mld zł rocznie. Oznacza to poważne konsekwencje dla stabilizacji finansów pu-blicznych. Autor wymienia następujące przyczyny takiego regresu wpływów podatkowych: stan prawa w Polsce, metody zarządzania podatkiem VAT (nieudolność w wykrywaniu prób uchylania się od podatku), sprzeczne interpretacje podatkowe wydawane przez administrację publiczną, opanowanie procesu tworzenia prawa przez lobbing biznesu branżowego i interesów branżowych. Autor stwierdza, że główną przyczyną destrukcji podatku VAT w Polsce jest proces noweli-zacji prawa. Pod naciskiem grup interesów wprowadzane są przepisy, które często legalizują próby uchylania się od opodatkowania. Przykładem takiego działania jest likwidacja sankcji finan-sowej w 2008 r. Autor podaje kilka przykładów zmian prawa podatkowego wprowadzonych w ostatnich latach, które mają negatywny wpływ na efektywność podatku VAT jako źródła do-chodów budżetowych. Jego zdaniem obecny stan prawny powoduje, że dalsze nowelizacje ustawy o podatku VAT są bezcelowe, pogłębiają jedynie istniejący chaos. Optymalnym rozwiązaniem byłoby uchwalenie nowej ustawy. Projekty takich ustaw już istnieją. Potrzebna jest jedynie po-ważna debata publiczna, która umożliwiałaby wprowadzenie ich w życie.The purpose of this article is to identify the causes of a significant decline in receipts from VAT in Poland in recent years. The author notes that every year the tax tides are a few percent lower than projected in the Budget Act. The losses of the state budget in 2008–2012 is estimated at 90 billion PLN, more than 20 billion PLN per year. This means serious consequences for the sta-bility of public finances. The author lists the following reasons for the contraction in tax revenues: the state of law in Poland, the methods of managing VAT (inefficiency in detecting attempts of tax evasion), conflicting interpretations issued by the public administration, mastery of the legislative process through lobbying industry business and industry interests. The author states that the main cause of the destruction of VAT in Poland is the process of revising the law. Legislation which often attempts to legalize tax evasion is introduced under pressure from interest groups. An example of such action is to eliminate the financial penalty in 2008. The author gives several examples of tax law changes introduced in recent years, which have a negative impact on the efficiency of VAT as a source of revenue. In his opinion, the current legal status makes further amendments to the VAT law pointless, only deepen the existing chaos. The optimal solution would be to adopt a new law. Projects of such laws already exist. There is only a need for a serious public debate, which would enable them to be implemented
