    V magistrski nalogi obravnavam postopek rednega zmanjšanja osnovnega kapitala v delniški družbi (d. d.) in družbi z omejeno odgovornostjo (d. o. o.). Gre za enega najzahtevnejših postopkov v d. d. ali d. o. o., ker lahko prinaša velike posledice za delničarje oziroma družbenike, predvsem pa za upnike družbe. Ključni del zakonske ureditve zmanjšanja osnovnega kapitala je varstvo upnikov. Varstvo upnikov se zagotavlja s pravico zahtevati zavarovanje za nezapadle terjatve in prepovedjo izplačil delničarjem na podlagi zmanjšanja osnovnega kapitala, preden so upniki poplačani ali zavarovani. Upnikom je dana tudi možnost ugovora proti vpisu sklepa o zmanjšanju osnovnega kapitala v sodni register, če družba krši zakonska določila o varstvu upnikov. V nalogi izpostavljam določene dileme glede uveljavljanja pravic upnikov v praksi. V magistrski nalogi najprej predstavljam pojem osnovnega kapitala s poudarkom na načelu ohranitve osnovnega kapitala in pomenu osnovnega kapitala kot jamstvene mase upnikom družbe. V nadaljevanju obravnavam postopek rednega zmanjšanja osnovnega kapitala po postopkovnih korakih, posebno poglavje pa namenjam varstvu upnikov. Vključujem tudi primerjavo z nemško ureditvijo, ki je zelo podobna slovenski.This thesis deals with ordinary reduction of share capital in stock corporation and limited liability company. Resolution for the reduction of share capital is amongst the most complex resolutions, adopted by general meeting of shareholders, which can bear great risks for shareholders and especially for creditors. Therefore, the protection of creditors is the essential part of the regulation on capital reduction. Creditors are protected by the right to demand securities for their claims and prohibition of repaying the shareholders the shared capital before the creditors have been given securities or their claims have been paid. Creditors can also contest the registration of the resolution for the reduction of share capital, if the company violates the provisions for their protection. In regard to these creditors’ rights the author points out some uncertainties that exist in Slovenian law when it comes to practical application. The thesis begins by introducing the term of share capital with focus on its preservation and meaning of share capital as a fond for creditors. Further on the author deals with procedure for the reduction of share capital and protection of creditors in respective chapters. The thesis also includes a brief comparative view to German legal system in regard to the matter of the thesis

    Loss of SOX10 function contributes to the phenotype of human Merlin-null schwannoma cells

    Loss of the Merlin tumour suppressor causes abnormal de-differentiation and proliferation of Schwann cells and formation of schwannoma tumours in patients with neurofibromatosis type 2. Within the mature peripheral nerve the normal development, differentiation and maintenance of myelinating and non-myelinating Schwann cells is regulated by a network of transcription factors that include SOX10, OCT6 (now known as POU3F1), NFATC4 and KROX20 (also known as Egr2). We have examined for the first time how their regulation of Schwann cell development is disrupted in primary human schwannoma cells. We find that induction of both KROX20 and OCT6 is impaired, whereas enforced expression of KROX20 drives both myelin gene expression and cell cycle arrest in Merlin-null cells. Importantly, we show that human schwannoma cells have reduced expression of SOX10 protein and messenger RNA. Analysis of mouse SOX10-null Schwann cells shows they display many of the characteristics of human schwannoma cells, including increased expression of platelet derived growth factor receptor beta (PDGFRB) messenger RNA and protein, enhanced proliferation, increased focal adhesions and schwannoma-like morphology. Correspondingly, reintroduction of SOX10 into human Merlin-null cells restores the ability of these cells to induce KROX20 and myelin protein zero (MPZ), localizes NFATC4 to the nucleus, reduces cell proliferation and suppresses PDGFRB expression. Thus, we propose that loss of the SOX10 protein, which is vital for normal Schwann cell development, is also key to the pathology of Merlin-null schwannoma tumours

    Congenital cervico-thoracic kyphosis has been encountered in a girl with Pierre Robin sequence. The constellation of the spine malformation complex such as incomplete development of the vertebral bodies associated with defective ossification of the cervico-thoracic pedicles causing effectively the development of complete spinal cord injury at the kyphotic level of C7/T1 were present. Congenital kyphosis secondary to vertebral body hypoplasia has not been reported in connection with Pierre Robin sequence

    Leading Beautifully: How Mastery, Congruence and Purpose Create the Aesthetic of Embodied Leadership Practice

    This paper explores the territory of leading as an embodied activity through the lens of the aesthetic category of ‘the beautiful’. Its starting point is that although much of the literature about effective leadership practice focuses on leadership behaviours, little is written about the way in which those behaviours are actually enacted. The musician, Bobby McFerrin serves as a case study for identifying three key aspects of leading beautifully: mastery, congruence between form and content, and purpose. These are further considered through reference to the concept of beauty as theorised by the philosophers Plato and Plotinus.     This is the final study in a series of six emanating from the UK JISC-funded RoMEO Project (Rights Metadata for Open-archiving) which investigated the Intellectual Property Rights (IPR) issues relating to academic author self-archiving of research papers. It reports the results of a survey of 542 academic authors showing the level of protection required for their open-access research papers. It then describes the selection of an appropriate means of expressing those rights through metadata and the resulting choice of Creative Commons licences. Finally it outlines proposals for communicating rights metadata via the Open Archives Initiative’s Protocol for Metadata Harvesting (OAI-PMH)

    A fiscal needs approach to equalization transfers in a decentralized federation

    The author reviews the conceptual basis for fiscal equalization transfers, analyzes the theoretical implications for optimal design of equalization transfers, and suggests quantitative approaches for assessing the fiscal needs of subnational governments and determining their entitlement to transfers. The author illustrates proposed methods using data for local and provincial Canadian governments. The proposed methods could be useful tools, he says, for undertaking systematic objective reviews of aggregate and sectoral public spending in developing countries. The author argues that in a decentralized federation, fiscal inefficiencies and inequities arise because of subnational governments'differing levels of ability to provide comparable public services at comparable tax rates. Fiscal equalization transfers that reduce or eliminate differentials in net fiscal benefits create a rare instance in economics when considerations of equity and efficiency coincide. These transfers must allow for differences in the spending needs and revenues-raising abilities of the various subnational governments. The author argues for a two-tiered approach to equalization. The first tier would be a federal responsibility to equalize the burden of federal taxes. The second tier would be an interprovincial equalization fund to be administered by the Council of Provincial Finance Ministers. It would entail a comprehensive equalization system that takes into account provincial spending needs.     The sexual excitation/sexual inhibition inventory for women: psychometric properties

The official published version can be found at the link below.This article reports on the development of a new questionnaire designed to assess the propensity for sexual excitation and sexual inhibition in women: The Sexual Excitation/Sexual Inhibition Inventory for Women (SESII-W). The theoretical model underlying this research, the Dual Control Model, postulates that sexual response depends on a balance between excitatory and inhibitory mechanisms and that individuals vary in their propensity for excitation and inhibition. This study describes the development and initial validation of the SESII-W in a sample of 655 women (M age, 33.9 years). Factor analysis identified eight factors and two higher-order factors: one related to sexual excitation and one to sexual inhibition. The measure demonstrated good test-retest reliability and discriminant and convergent validity. Our data underscore that a number of factors affect women's sexual arousal and these appear to be related to opposing processes of sexual excitation and sexual inhibition. Theoretical issues, possible gender differences, and the value of using qualitative data to inform questionnaire development are discussed.This study was funded, in part, by a grant from the Lilly Centre for Women‟s Health

    A central bank’s liquidity forecast is important in ensuring that it supplies the banking system’s need for central bank money. Banknote (or currency in circulation) demand is the largest and for some central banks the most variable component of the liquidity forecast. Accurate forecasting of banknotes is essential in ensuring an accurate liquidity forecast and in turn effective monetary policy implementation. This Handbook discusses these issues and outlines a structural time series state space (STSSS) model which is now used by central banks including the Bank of England and ECB to forecast banknotes (currency in circulation).Forecasting banknotes

    RoMEO Studies 2: How academics wish to protect their open-access research paper

    This paper is the second in a series of studies (see Gadd, E., C. Oppenheim, and S. Probets. RoMEO Studies 1: The impact of copyright ownership on author-self-archiving. Journal of Documentation. 59(3) 243-277) emanating from the UK JISC-funded RoMEO Project (Rights Metadata for Open-archiving). It considers the protection for research papers afforded by UK copyright law, and by e-journal licences. It compares this with the protection required by academic authors for open-access research papers as discovered by the RoMEO academic author survey. The survey used the Open Digital Rights Language (ODRL) as a framework for collecting views from 542 academics as to the permissions, restrictions, and conditions they wanted to assert over their works. Responses from self-archivers and non-archivers are compared. Concludes that most academic authors are primarily interested in preserving their moral rights, and that the protection offered research papers by copyright law is way in excess of that required by most academics. It also raises concerns about the level of protection enforced by e-journal licence agreement
