Duties of so-called quoted joint stock companies Thesis author: Mgr. Marek Novotný Thesis supervisor: prof. JUDr. Stanislava Černá, CSc. This thesis is concerned with the regulation of duties of quoted joint stock companies (especially the duty of information) and its various institutes. The purpose of this thesis is to describe the legislation in this area of law and its development, with emphasis on the transposition of European legislation, and subject them to critical evaluation. In the first chapter the theoretical framework is defined by describing key legal concepts (the term "quoted joint stock company", "regulated markets") and the development of the most important legal regulation in this area - Act No. 256/2004 Coll., on Business Activities on the Capital Market. The second chapter is devoted to regulated markets and subject information duty. The third chapter deals with the admission of a security to trading on a regulated market and associated initial information duty of joint stock company, which is willing to become quoted. I describe mainly the prospectus and its essential elements. In the fourth chapter I analyze in detail the different types of regular (periodic) information duties, which are the annual report, semi-annual report and interim report. A. Comenius and his didactical principles, many of which are nowadays still relevant. The most emphasized principles are activity, motivation and student's perception with the use of all senses. The last mentioned principle can be ensured by the activity-oriented teaching; student can be motivated and exacerbated by problem-oriented or project teaching. Theoretical part of the thesis is dedicated to the definition of principles, understanding of the activity principle before and today, its use in the foreign language teaching and the definition of aims and key competencies. Following practical part describes realization of two projects where was validated that inclusion of projects into German language teaching is suitable motivating and exacerbating means in case the aims and methods are selected appropriately. Trust Fund in Business Relations Author: Milan Sýkora Supervisor: prof. JUDr. Stanislava Černá, CSc. This diploma thesis deals with transplantation of trusts into the Czech Civil Code in the form of "svěřenský fond" (fiduciary fund) and with possibilities of this instrument in the world of commerce. The essential question is whether svěřenský fond is capable of replacing Anglo-Saxon trust in the following standard financial transactions: (i) syndicated loans, (ii) issues of bonds, (iii) subordination, (iv) securitization and (v) collective investment. In total, this thesis comprises of seven chapters, including the Introduction and the Conclusion. After an introduction, uncommonly, a prologue follows. This Prologue outlines a new, unusual instrument of the Czech law - svěřenský fond. It refers to the particular legislation and outlines questions that arise with this recently transplanted device. The third chapter defines trust using comparative law and deals with its historical development both on the British Islands and in the civil and mixed jurisdictions. The second subchapter argues that the so-called obstacles of trust reception into civil law are not based on solid arguments. Summary The subject-matter of the thesis "Právo veřejných podpor v České republice" ("State Aid Law in the Czech Republic") is regulation of state aids within the European Union and especially its impacts on the legal order of the Czech Republic. The author's approach is that the regulation of state aids, although originating from the EU law, has significant impacts into the Czech law, into the areas of business, competition, administrative and civil law. Hence, the basic aim of the thesis is not only to describe the state aid regulation on the EU level but also to specify implications to the Czech law and interactions between the state aid rules and Czech national laws. In this respect, the thesis enters a new field within the Czech academic literature. No other similar work has been published, with exception of Michael Kincls's work "Veřejná podpora v Evropské unii" ("State Aid Law in the European Union") of 2004 which was, however, aimed more as an easily understandable hand-book for public authorities granting aids than as an academic work. The theme of the thesis is "contract for the sale of enterprise". The theme itself is very acctented within the frame of legal practice. The main goal of this work is to outline the development genesis of the legal term enterprise since the time of classical roman law period to the contemporary legal regulation and subsequently, after defining the fundamental charts of the contract for the sale of enterprise, to answer specific questions resulting from the contract for the sale of enterprise in specific situations, i.e. the question of joint ownership of enterprise, legal frame of joint ownership relating to particular components of the enterprise, question of plurality on one or both parties to a contract a its consequences in commercial and labour law. Language Learning Activity Paradigm
In this study, I investigate the application of active learning approaches, with the help of call and mall frameworks. These interactive learning solutions emphasize learner-created content, with the goal of improving the vocabulary development of grade 7 students. It is assumed that the use of computer and mobile technologies can increase the capacity for learning vocabulary. With a concept prototype, that demonstrates the translation of a textually based Language Arts lesson plan into a visual paradigm for active learning, I create a more porous and malleable language learning model for the Google Generation. My hypothesis is that this prototype will benefit the learning of Language Arts for 7th grade students. Such an instrument could ultimately provide students with the opportunity to engage in knowledge creation and sharing across formal and informal learning environments. The methodology used for this thesis essay begins with defining a problem by utilising both academic and qualitative studies. This is followed by the collecting of evidence from alternative learning approaches, which are defined by their various strengths and deficiencies through product analysis, case studies and theoretical grounds. Electrochemical synthesis of CO2-methanol utilizing direct air capture, CO2 electrolysis and H2O electrolysis: A life cycle assessment
This thesis examines the production of an alternative liquid hydrocarbon fuel, namely CO2-methanol, produced utilising DAC, CO2 electrolysis, H2O electrolysis and thermo-catalytic synthesis. The reason for such research lies in a persistent growth in global energy demand, a significant share of which comes from liquid fuels, in the present context of global climate change.We answer the main research question ‘What is the comparative environmental performance of DAC methanol, natural gas methanol and biomethanol?’ by meeting three research objectives. The first objective provides a two-level analysis of the mass and energy flows within the system and opens the black-box process of the DAC. The second objective leads to undertaking a life cycle assessment of CO2-methanol. Last, the third objective evaluates the suitability of LCA for the environmental assessment of realistic industrial processes.The results of objective one show that mass and energy balances on the DAC process contain inaccuracies and help to identify unknowns in the remaining parts of the CO2-methanol production. The second objective illustrates that the CO2-methanol performs better than fossil methanol and biomethanol in terms of climate change impact and land use. Additionally, CO2-methanol causes a lower extent of environmental impact on human toxicity (non-carcinogenics) and resource depletion (water) in comparison with biomethanol, however, scores worse on these impact categories when compared with fossil methanol. The environmental performance of CO2-methanol inferior compared to both biomethanol and fossil methanol in terms of freshwater ecotoxicity, human toxicity (carcinogenics) and resource depletion (mineral, fossils, and renewables). The role of Governing Board under Czech legal regulation and the role of Board of Directors under English law This Diploma Thesis deals with the position and role of Governing Bodies of joint-stock companies under Czech and English law. In the first part, the author sets theoretical and economical reasons behind the management of a joint-stock company via Governing Body by way of descriptive and explanatory method, and concludes, that a Governing Body should be an instrument which mitigates the agency costs and provides for a flexibile system of governance. In the second part of the Thesis, the author deals with structure, position and role of a Governing Board and related interpretation problems of Czech regulation by way of description, analysis and synthesis. The author summarises the second part with a definition of czech Governing Board as a sui generis body with supervisory and managerial powers, whose position stands somewhere between Managing Board and Supervisory Board.
