    PENGATURAN BENTUK ORGANISASI, MERGER, DAN AKUISISI PERUSAHAAN

    Tulisan ini yang berjudul “Pengaturan Bentuk Organisasi, Merger, dan Akusisi Perusahaan” mengkaji permasalahan: Bagaimana pengaturan bentuk dan tanggung jawab pengelolaan organisasi perusahaan serta bagaimana tata cara melakukan integrasi perusahaan melalui merger dan akusisi. Kajian hukum normatif dalam tulisan ini menggunakan pendekatan konseptual dan pendekatan perundang-undangan dengan analisis interpretasi hukum. Hasil kajian menunjukkan bahwa: Pengaturan bentuk organisasi perusahaan dalam peraturan perundang-undangan meliputi perusahaan yang berbentuk badan hukum, yaitu Perseroan Terbatas, Koperasi, Yayasan, BUMN, dan BUMD dengan harta kekayaan yang terpisah dari pemilik atau pendirinya. Sedangkan perusahaan yang berbentuk tidak berbadan hukum, yaitu CV, Firma, Perkumpulan, Usaha Dagang dengan kekayaan tidak terpisah dengan harta kekayaan pribadi pemilik atau pendirinya. Bentuk perusahaan yang diwajibkan pengelolaannya berdasarkan prinsip Good Coorporate Governance hanyalah terhadap perusahaan Perseroan Terbatas, BUMN, dan BUMD. Integrasi perusahaan yang dilakukan melalui merger atau akusisi dalam mengantisipasi likuiditas perusahaan agar suatu perusahaan menjadi eksis efisien dalam melakukan kegiatan usahanya, maka prosedur merger atau akusisi perusahaan perbankan dibedakan dengan perusahaan non perbankan serta harus memenuhi persyaratan yang ditentukan terutama adanya legal audit dan audit keuangan yang transparan serta melibatkan para pekerja dalam perusahaan

    Respon Pertumbuhan Vegetatif Tanaman Jagung Pulut pada Aplikasi Biochar Limbah Bambu

    This study aims to determine the response of vegetative growth of waxy corn in bamboo biochar treatment. The design used in this study is a randomized block design (RBD) with treatment doses of biochar, consists of 5 levels, ie: without biochar (B0), 10 tons/ha of biochar (B1), 20 tons/ha of biochar (B2), 30 tons/ha of biochar (B3), and 40 tons/ha of biochar (B4). Each dose level of biochar was repeated three times to obtain 15 pot experiment. Total oven dry weight per plant was obtained at the highest dose of biochar 10 tons/ha weighing 87.80 g, an increase of 26.02% when compared to the total dry weight per plant was obtained on treatment without biochar weighing 69.67 g. From the results of the regression analysis found that the optimum dose of bamboo biochar 12.91 tons/ha, with a total oven dry weight per plant maximum of 80.01 g

    The title of this paper is The Analysis of Correspondence Found at KU DE TA Restaurant. The analysis of this paper is focused on the analysis of grammatical cohesion and how it is presented in the correspondence of KU DE TA restaurant. The aims of this study are to identify and describe the types of grammatical cohesion and to find out the forms of each type of grammatical cohesion in the outgoing letters of KU DE TA restaurant. The data are taken from the outgoing letters (e-mail) of KU DE TA restaurant. In analyzing the data, I applied the theory of Halliday and Hasan (1976) in their book entitled Cohesion in English as the main theory. And it is supported by other theories that are considered relevant to the topic discussed in this paper. There are three methodologies that are used in this research, they are: data source, data collection, and data analysis. The data source of this paper is taken from the outgoing letters (e-mail) of KU DE TA restaurant. The data are collected by reading carefully in order to get a good understanding of the content of the letters. The data are analyzed descriptively by applying the theory mentioned above. Based on the result of the research, I found the types and forms of grammatical cohesion. There are three types of grammatical cohesion found in the letters they are reference, ellipsis, and conjunction. Reference in the form of personal pronoun which is marked by: we, you, your, us, our, it, and them. And reference in the form of demonstrative is marked by: this, that, and here. Ellipsis is in the form of nominal ellipsis and clausal ellipsis. Conjunction in the form of additive is marked by: and, also, either…or, and or. Conjunction in the form of adversative is marked by: however. Conjunction in the form of causal conjunction is marked by: therefore and so. And conjunction in the form of temporal conjunction is marked by the word recently

    PENGARUH KONSENTRASI ATONIK DAN DOSIS PUPUK NPK TERHADAP PERTUMBUHAN BIBIT SALAK GULAPASIR (Salacca zalacca cv. Gulapasir)

    Pembibitan salak merupakan salah satu faktor yang perlu diperhatikan dalam mengusahakan tanaman salak yaitu penggunaan bibit unggul dan bermutu. Tanaman salak merupakan tanaman tahunan, karena itu kesalahan dalam pemakaian bibit akan berakibat buruk dalam pengusahaannya, walaupun diberi perlakuan kultur teknis yang baik tidak akan memberikan hasil yang diinginkan, sehingga modal yang dikeluarkan tidak akan kembali karena adanya kerugian dalam usaha tani. Sedangkan dalam usaha pembibitan salak masih sangat jarang upaya-upaya yang dilakukan untuk mendapatkan bibit yang bermutu. Maka dari itu untuk menghindari masalah tersebut dipandang perlu untuk menggunakan atonik dan pemupukan NPK guna mendapatkan bibit yang baik. Penelitian ini bertujuan untuk mengetahui pengaruh konsentrasi Atonik dan dosis pupuk NPK terhadap pembibitan tanaman salak Gulapasir (Salacca zalacca cv. Gulapasir). Penelitian ini dilaksanakan di rumah kaca UPTD Perbenihan Palawija dan Hortikultura Kecamatan Rendang, Kabupaten Karangasem, Bali pada bulan Desember 2012 sampai dengan April 2013. Penelitian ini merupakan percobaan faktorial dengan menggunakan Rancangan Acak Kelompok (RAK) yang terdiri dari dua faktor. Faktor pertama berupa konsentrasi atonik (A) yang terdiri dari empat taraf yaitu: Tanpa konsentrasi Atonik (A0), 1 cc/liter air (A1), 2 cc/liter air (A2), 3 cc/liter air (A3). Sedangkan faktor kedua adalah dosis pupuk NPK (N) yang terdiri dari empat taraf yaitu: Tanpa pupuk NPK (N0), 7,5 gram/polybag (N1), 15 gram/polybag (N2), 22,5 gram/ polybag (N3). Dengan demikian terdapat 16 perlakuan kombinasi, masing-masing diulang tiga kali sehingga diperlukan 48 polybag. Hasil penelitian menunjukkan bahwa interaksi antara konsentrasi Atonik (A) dan dosis pupuk NPK (N) berpengaruh tidak nyata (P≥0,05) terhadap seluruh variabel yang diamati. Perlakuan konsentrasi Atonik (A) berpengaruh nyata (P<0,05) hingga sangat nyata (P<0,01) terhadap seluruh variabel yang diamati kecuali pada jumlah akar bibit berpengaruh tidak nyata (P≥0,05). Demikian juga pada perlakuan dosis pupuk NPK (N) berpengaruh nyata (P<0,05) hingga sangat nyata (P<0,01) terhadap seluruh variabel yang diamati kecuali pada luas daun, jumlah akar bibit dan panjang akar bibit berpengaruh tidak nyata (P≥0,05). Perlakuan konsentrasi Atonik menunjukkan pengaruh nyata hingga sangat nyata terhadap seluruh variabel yang diamati kecuali pada jumlah akar bibit menunjukkan pengaruh tidak nyata. Pemberian konsentrasi Atonik 2 cc/liter air memberikan berat kering oven total bibit tertinggi yaitu 3,26 g meningkat 43,61 % bila dibandingkan dengan berat kering oven total bibit yang diperoleh pada perlakuan tanpa konsentrasi Atonik atau kontrol (N0) seberat 2,27 g. Perlakuan dosis pupuk NPK menunjukkan pengaruh nyata hingga sangat nyata terhadap seluruh variabel yang diamati kecuali pada luas daun, jumlah akar bibit dan panjang akar bibit menunjukkan pengaruh tidak nyata. Pemberian dosis pupuk NPK 15 g/polybag memberikan berat kering oven total bibit tertinggi yaitu 3,42 g atau meningkat 48,05 % bila dibandingkan dengan tanpa dosis pupuk NPK yaitu 2,31 g. Hasil analisis regresi antara dosis pupuk NPK dengan berat kering oven total bibit menunjukkan hubungan kuadratik dengan persamaan garis regresi: Ŷ = 2,218 + 0,128844X - 0,00465X2 dengan koefisien determinasi (R2) sebesar 72,1 %. Dari hasil analisis regresi didapatkan dosis optimum pupuk NPK yaitu 13,85 g/polybag. Berdasarkan hasil analisis regresi bahwa berat kering oven total bibit makin tinggi dengan makin meningkatnya dosis pupuk NPK sampai optimum, kemudian mengalami penurunan bila melebihi dosis optimum

The results are: 1) Concrete construction method is cast in place. 2) Total duration required to complete the structural work is 117 days where in the schedule is 230 days. 3) Human resource planning, scheduling of material resources and use of equipment resources planning. 4) Cost implementation is Rp. 13,658,019,687.07 doesn’t include taxes of 10 %

    The title of this paper is Aspect in Engish. The aims of this paper are to analyze the types of aspect and their characteristics. The data is taken from novel The Casual Vacancy by J.K. Rowling. They are collected by observation method through reading and note taking. Then the data are analyzed based on the theoretical basis that is from Comrie (1976) in his book entitled Aspect as the main theory and some other books as supporting theories that are relevant to the topic. The result of analysis of the research shows that the types of aspect can be classified into two, such as major aspect (Perfective/Imperfective, Telic/Atelic, Punctual/Durative, Semelfactive/Iterative, Progressive, and Habitual) and minor aspect (prospective and retrospective). Each type of aspect has its own characteristic. Perfective aspect indicates the termination of the action which is completed and imperfective shows the uncompleted event (the event still in progress). Telic aspect is resultative that has some implication related to the moment of speech and some other past or future, while atelic is unresultative event that indicates the process and the result of event. Punctual aspect is a momentary event that has no temporal time and durative has temporal duration. Semelfactive aspect is composed by single sub event that has a short length of time, while iterative involves the repetition or multiple sub events. Progressive aspect understood to be on going that state a dynamic event. Habitual describes the action that has the characteristics of an extended period of time and also appears to be removed from time. Prospective aspect indicates as a warning to some third party to prevent the future situation coming. And retrospective aspect indicates the present event that has a backward look from the time in the past

    THE POTENTIAL OF BAMBOO & BAMBOO-WASTE AS SOURCE OF SUPPLY FEEDSTOCK COMMUNITY BASED BIOMASS FUEL CELL AT BANGLI REGENCY – BALI PROVINCE

    This report presents the result of survey and mapping of bamboo and bamboo-waste in Bangli Regency done by LP2M/Faculty of Agriculture Warmadewa University in cooperation with Bali Clean Energy TaskForce for the purpose of calculating and estimating the potential of bamboo-waste as source of supply feedstock for 1 MW pilot project Community Based Biomass Fuel Cell (CBBFC) is planned located at Desa Bangkalet, in Bangli Regency. There were 178 households (HH) that having and planting bamboo at their land area, and 50 unit micro and smallscale household handy-crafts (MSSHH) that producing bamboo-waste by-product) surveyed. The respondents constitute of 4% of their total population, and nearly 98% of respondents agrees and supports the idea of the proposed pilot project. The total land area having by the said households is nearly 205.8 Hectare (≈ 2,058,000 m2), and out of this figure, there are around 105.7 Hectare (≈ 1,057,000 m2) specifically used for bamboo plantation, with typical bamboo’s density of 20 sticks/m2 and typical weight of 1.5 kg/m of bamboo-length. Based on site observation, and by using conservative-assumption that is default-number of specific bamboo-area is 30%, typical bamboo-waste produced by 1 stick of bamboo is 40% and efficiency of collecting bamboo-waste of 30%, then the total bamboo-waste that could be produced by the said household respondents is estimated to be of 31.3 ton/day. Moreover, there are 39 units (out of 50 units) of MSSHH have their own land area, this accounted of 14.8 Hectare (≈ 148,000 m2) of land, could produce 4.4 ton/day, and additional of 0.6 ton/day from their by-product-waste. Therefore, the sum up of all respondents could produce bamboo-waste at volume of 38.3 ton/day. The last figure is 2 times bigger than 15 ton/day of bamboo-waste required to produce 1 MW of electricity through Fuel Cell process
