    PUBLIC ISSUE OF BANK BONDS CASE STUDY OF BANK POCZTOWY S.A.

    This article concerns the financing of banking in Poland through public bond issues addressed to individual investors. It is a case study of Bank Pocztowy, which, as one of three banks in Poland, decided to raise capital through the public issue of bonds, the buyers of which were to be individual investors. This article uses the research methodology of case study analysis. In addition, a questionnaire with open questions was used. The purpose of the article is to examine the role of bonds in the public issue process in the financing of private banks in Poland. The results of the research show that it is possible to say that individual investors are interested in diversifying their savings by acquiring bank bonds.

    CHALLENGES FOR CENTRAL BANKS IN A CHANGING PAYMENTS LANDSCAPE

    The aim of the paper is to discuss key challenges facing central banks due to evolution of payment systems. The author distinguishes two aspects of the problem. The first one considers the implications of changes in payments for the roles of central banks in national payment systems, namely their role as operators, oversight authorities and catalysts. The second question is how evolution of payment systems influences the nature of central banking. The study is based on the literature review and the analysis and assessment of the information coming from the reports of international institutions. It also uses the results of the author’s survey, which was conducted among central banks of eleven countries. The research leads to the conclusion that the challenges for central banks concern among others: monitoring and assessing innovations and new mechanisms of payments, information policy in the area of payments, promotion of standardization and interoperability of systems, effective oversight and operational activities of central banks. The changing payments landscape also requires consideration of long-term implications for monetary policy and central banks’ revenues.  &nbsp

    ANALYZING THE LINK BETWEEN AGENCY PROBLEMS, GOVERNANCE AND CONTROL ATTRIBUTES FOR PAKISTAN

    This research attempts to analyze the relationship between agency, control and corporate governance attributes for a sample of 267 firms listed on the Pakistan Stock Exchange (PSX) from 2005 to 2008. The results show that a) Pakistani listed firms are facing high agency costs problems in contrast to established markets. b) Factors are observed important to having strong effect on mitigating agency costs levels: corporate dividend policy, degree of board independence, and institutional ownership. c) Corporate governance factors reduce discretionary expenditure ratio, increase assets utilization ratio and free cash flow ratio. d) Control variables increases the asset utilization ratio and decreases the free cash flow and increases the managers’ performance (Tobin’s Q ratio). e) Ownership attributes regulate free cash flow and decrease the discretionary expenditure ratio. The outcomes of this research lead to the proposed use of recommended governance, control and ownership attributes to overcome agency problems and a sound policy for better corporate governance (better management of agency cost issues) for listed firms.&nbsp

    INFORMATION NEEDS OF FINANCIAL MARKET PROFESSIONALS IN THE BIG DATA AND SOCIAL MEDIA ERA. THE EMPIRICAL EVIDENCE FROM POLAND

    To meet general objectives of the article, i.e. to check the extent to which the information needs of financial market institutions are satisfied, and to learn about whether there is a transition in this realm triggered by the advent of social media and big data, we surveyed a sample of 415 financial market professionals working in Poland. We also used logit regression models, through which we processed the survey results, to identify which factors are responsible for meeting the needs. We showed that although the information needs of financial market professionals are met to a large degree, still some potential for improvement remains in this regard. We found also that respondent-specific traits are insignificant in explaining the degree of satisfaction with data and information that is used by financial market professionals. Out of firm-specific characteristic and, the value of assets under the institution’s management turned out to be the key factors explaining the distribution of responses concerning satisfaction.&nbsp

    CHANGING ACTIVITY IN THE CONSTRUCTION SECTOR IN SELECTED STATES 2003-2012

    Construction companies are important economic actors in every country. Their activity translates into employment levels, tax revenues, and the provision of new spaces that require further expenditure on equipment, thus stimulating consumer spending. The activity of construction companies depends on the demand for space, the state of the economy and the financial market. Undoubtedly economic disturbances in the form of a recession have a significant impact on construction activity. The authors were interested in whether the boom and recession in the selected countries were similarly reflected in the activity of construction companies. In particular, they were interested in residential construction activity, although it was not possible to select companies that would only deal with residential construction. The authors selected four post-socialist countries and two countries which are called winners of the integration process due to their enormous economic growth. The authors outline the residential construction and construction sector results and activity in the Czech Republic, Poland, Slovakia, Hungary, Spain and Ireland, and draw a wider picture for analyses of construction companies’ financial results for the years 2003-2012. This period was chosen because it covered periods of both boom and bust. All enterprises were part of the sector denoted in the Amadeus database as primary code: Eurostat NACE Rev. 2 with codes: 41 - Construction of buildings: 4110 - Development of building projects, 4120 - Construction of residential and non-residential buildings. Due to the specificity of the construction sector the authors divided the surveyed enterprises into two groups – all companies; and only large and very large companies. It was not possible to separate data specifically with respect to residential construction companies.&nbsp

    Podstawowym celem tego artykułu jest przedstawianie charakterystyki prawnej swapów na gruncie prawa polskiego, zarówno w ujęciu publiczo-, jak i prywatnoprawnym. Nie da się tego, moim zdaniem, zrobić bez przedstawienia praktycznej strony funkcjonowania swapów. Na zakończenie spróbuję także odnieść się do pewnych tendencji, które – jak się zdaje – mogą do-prowadzić do przekształcenia pochodnych instrumentów finansowych w umowy nazwane. Swapy zajmują ugruntowaną pozycję na rynkach finansowych od wielu lat1, a ze względu na swoją uniwersalność i elastyczność są instrumentem dynamicznie rozwijającym się. Warunki rynkowe wymuszają z kolei coraz bardziej szczegółowe ujęcie obrotu swapami w ramy prawne. W prawodawstwie polskim jak dotychczas nie dokonano tego w sposób choćby nawet względnie szczegółowy. Z kolei w krajach o bardziej rozwiniętych rynkach finansowych przynajmniej poważnie rozważa się objęcie ściślejszą regulacją rynków pozagiełdowych instrumentów finansowych

    We współcześnie działającej spółce akcyjnej istotne znaczenie w polityce finansowej przyjmują zasady (reguły) kształtowania struktury kapitału. Struktura kapitału, ujmowana najczęściej jako relacja długu do kapitału własnego lub długu do pasywów, zależy od wielu czynników o charakterze ekonomicznym i pozaekonomicznym. Spotyka się również w literaturze przedmiotu podział czynników wpływających na strukturę kapitału na mikro- i makroekonomiczne. Przedmiotem rozważań w niniejszym artykule jest analiza i ocena wzajemnych relacji pomiędzy strukturą majątku a strukturą kapitału przedsiębiorstwa zorganizowanego w formie spółki akcyjnej1, określanych w literaturze przedmiotu mianem złotych reguł finansowania. O strukturze kapitału przedsiębiorstwa decyduje również wiele innych czynników, lecz z uwagi na ograniczenia objętościowe publikacji nie będą one punktem rozważań
