Derecho de la competencia de la UE y mercado interior de la energía
This article focuses on the application of EU competition rules as a complementary and essential instrument of the energy regulatory framework with the aim of guaranteeing and achieving the internal energy market. The peculiarities of the energy market need to be explored from their consideration as manifestations that can alter the objectives of Competition Law and, therefore, must be subject to the application of its regulations, considering the decisions of the Commission and the CJEU jurisprudence. The characteristics and actors in the internal energy market reveal areas of action that can be considers as agreements and practices that restrict competition, behaviors that represent an abuse of a dominant position in the energy market, with state aid systems incompatible with its legal regime and with the carrying out of operations that may violate the Merger Regulation.Este artículo se centra en la aplicación de las normas de competencia de la UE como un instrumento complementario e imprescindible del marco regulatorio de la energía con el objetivo de garantizar y lograr el mercado interior de la energía. Las peculiaridades del mercado de la energía requieren ser exploradas desde su consideración como manifestaciones que pueden alterar los objetivos del Derecho de la competencia y, por ende, deben ser sometidas a la aplicación de su normativa, atendiendo a la casuística recaída en el mercado de la energía a la luz de las decisiones de la Comisión y del TJUE. Las características y los actores en el mercado interior de la energía revelan áreas de actuación que pueden encuadrarse dentro de los acuerdos y prácticas restrictivas de la competencia, de comportamientos que suponen un abuso de posición dominante en el mercado de la energía, con sistemas de ayudas públicas incompatibles con su régimen legal y con la realización de operaciones que pueden vulnerar el Reglamento de concentraciones
Matrimonios transfronterizos en la Unión Europea: Derecho internacional privado y reconocimiento mutuo
The present paper tackles the issue of the recognition of cross-border marriages and their effects within the European Union. The current praxis allows interesting remarks on the cross-border effects of foreign marriages and their recognition in the perspective of the rights to free movement and to family life. In this framework, the paper scrutinizes a potential definition of the marriage, whether according to EU free movement law or to European human rights law. Due to the lack of a commonly accepted definition, it tests the classic approach to the circulation of foreign documents and certificates, i.e. the conflict of laws perspective. Leading on, it analyses the more fashionable method of the mutual recognition of situations created abroad, as modelled by some States and tested in some cases by the European Courts, too. Despite important advantages, this method does not seem easily accepted for the circulation of the status of spouse(s) and of the institution of marriage. With the aim to push towards enhanced free movement rights and strengthened human rights, the present paper offers some final remarks regarding the legal value of (international) family law in the framework of a social Constitution of the EU.El presente trabajo aborda la cuestión del reconocimiento de los matrimonios transfronterizos y sus efectos jurídicos en la Unión Europea. La praxis actual permite formular interesantes observaciones sobre los efectos transfronterizos de los matrimonios celebrados en otros Estados miembros y sobre su reconocimiento desde la perspectiva de los derechos a la libre circulación de personas y a la vida familiar. En este marco, el documento examina una posible definición del matrimonio, ya sea con arreglo a la legislación de la UE sobre libre circulación o bien según la legislación europea sobre derechos humanos. La falta de una definición comúnmente aceptada pone a prueba el enfoque clásico de la circulación de documentos y certificados extranjeros, es decir, la perspectiva del conflicto de leyes. Más adelante, analiza el método del reconocimiento mutuo de situaciones creadas en el extranjero, tal como lo han modelado algunos Estados y lo han implementado también en algunos casos los tribunales de los Estados miembros y los tribunales europeos. A pesar de sus importantes ventajas, este método no parece fácilmente aceptado para la circulación del status de los cónyuges y del matrimonio. Con el objetivo de impulsar la mejora de los derechos de libre circulación y el refuerzo de los derechos humanos, el presente documento ofrece algunas observaciones finales sobre el valor jurídico del Derecho de familia (internacional) como elemento importante de la Constitución civil de la Unión Europea
El tratamiento jurídico de los objetivos ESG y la modificación del deber de diligencia en la propuesta de Directiva sobre diligencia debida
The objective of this work is to analyze the impact that new legislative developments in the field of ESG criteria have on corporate regulations. Specifically, the work analyzes the possible change in the conception of social interest as a result of the legislative developments on sustainability, and in particular, the possible changes that this matter may have produced in the fiduciary duties. To do this, it is necessary not only to analyze the proposed directive on due diligence, but also the concept of corporate interest itself and its relationship with the duty of diligence and the duty of loyalty.El presente trabajo tiene como objetivo analizar el impacto que los nuevos desarrollos legislativos en el ámbito de los criterios ESG tienen en la normativa societaria. En concreto el trabajo analiza el posible cambio en la concepción del interés social como consecuencia de los desarrollos legislativos en materia de sostenibilidad, y en particular, los posibles cambios que dicha materia hayan podido producir en los deberes de carácter fiduciario. Para ello, resulta obligado no solo analizar la propuesta de directiva sobre diligencia debido, sino también el propio concepto de interés social y su relación con el deber de diligencia y el deber de lealtad
Factor jurisprudencial y evoluciones en la reglamentación sobre insolvencia transfronteriza de la Unión Europea
The Private International Law produced within the EU dates back to recent times through the new enabling bases included in the founding Treaties, with which a large number of Regulations have been adopted, including that on cross-border insolvency, in two versions of enacted in 2000 and 2015. In these we witness their subsequent clarification, through the jurisprudence of the Court of Justice of the EU operated through the preliminary ruling question. The influence of said jurisprudential work on the improvement of the European regulatory regime will be analyzed, both currently and with a view to its improvements in the future, work that, in a typically European key, never leaves aside the unifying work of the high jurisdiction of the Union.El Derecho Internacional Privado producido en el seno de la UE se remonta a fechas recientes mediante las nuevas bases habilitantes recogidas en los Tratados constitutivos, con las que se han adoptado un amplio número de Reglamentos, entre ellos el de insolvencia transfronteriza, en dos versiones de promulgadas en 2000 y 2015. En éstos asistimos a su subsiguiente matización, mediante la jurisprudencia del Tribunal de Justicia de la UE operada mediante la cuestión prejudicial. Se analizará la influencia de dicha labor jurisprudencial en el perfeccionamiento del régimen normativo europeo, tanto actualmente como de cara a sus mejoras en el futuro, labor que, en clave típicamente europea, nunca deja de lado la labor unificadora de la alta jurisdicción de la Unión
Bitcoin vs CBDC: Última llamada para la libertad
On 12 January 2023, the Bitcoin protocol celebrated 14 years since its launch. Bitcoin’s founding document (the Whitepaper) was released to the world on 31 October 2008 by Satoshi Nakamoto, who disappeared forever on 10 December 2010. In each of its stages over more than 40 years of evolution, the financial freedom of the individual was always present in its structure and backbone, as a fundamental right that every human being has. Now, the Central Banks, on the back of the success and firm takeover of the “cryptographic” and economic market by the currency created by Satoshi, intend to apply with haste a program of gradual implementation worldwide for their digital currencies, a strategy that is already well underway in countries such as China, Panama or Nigeria. This paper discusses central bank digital cryptocurrencies (CBDC), as opposed to Bitcoin, with their legal implications: the public faith of the blockchain, the jurisprudence surrounding bitcoin, the (lack of) accountability of central banks, the dangers of centralisation and concentration of decision-making power, the loss of privacy and anonymity, and the need to talk about Law in Metaverse.El 12 de enero de 2023, el protocolo Bitcoin cumplió 14 años desde su puesta en marcha. El documento fundacional de Bitcoin (el Whitepaper) fue dado a conocer al mundo el 31 de octubre del 2008, por Satoshi Nakamoto**, quien desapareció para siempre el 10 de diciembre del 2010. En cada una de sus etapas a lo largo de más de 40 años de evolución, siempre estuvieron presentes en su estructura y su columna vertebral la libertad financiera del individuo, como derecho fundamental que tiene todo ser humano. Ahora, los Bancos Centrales, al albur del éxito y toma firme de posiciones del mercado criptográfico y económico por parte de la moneda creada por Satoshi, pretenden aplicar con premura y precipitación un programa de implantación paulatina en todo el mundo para sus monedas digitales, estrategia que llevan ya muy adelantada en países como China, Panamá o Nigeria. En este artículo se analizan las monedas digitales de los bancos centrales (CBDC-central bank digital cryptocurrencies), en contraposición a Bitcoin, con sus implicaciones jurídicas: la fe pública de la cadena de bloques, la jurisprudencia en torno a bitcoin, la (ausencia de) rendición de cuentas de los bancos centrales, los peligros de la centralización y la concentración de poder en la toma de decisiones, la pérdida de privacidad y anonimato, y la necesidad de hablar de un derecho en el ciberespacio
La falta de alegación y prueba del Derecho extranjero aplicable. A propósito de la sentencia 183/2023 de la Audiencia Provincial de A Coruña (sección 3ª), de 24 de mayo
On May 24, 2023, the Provincial Court of A Coruña resolved an appeal filed against a ruling that, in turn, declared an action to challenge the filiation of a minor of Venezuelan nationality to have expired, establishing a maintenance benefit in his favor. In its ruling, the Provincial Court, after analyzing the connection points that attribute jurisdiction and competence to the Spanish courts and that allow determining the applicable law in this type of cases, argues about the possibility of applying foreign law ex officio despite the lack of allegation and proof thereof by the interested parties.La Audiencia Provincial de A Coruña resolvió el 24 de mayo de 2023 un recurso de apelación interpuesto contra una sentencia que, a su vez, declaraba caducada una acción de impugnación de la filiación de un menor de nacionalidad venezolana y establecía una prestación alimenticia a su favor. En su sentencia, la Audiencia tras analizar los puntos de conexión que atribuyen jurisdicción y competencia a los tribunales españoles y que permiten determinar el Derecho aplicable en este tipo de supuestos, argumenta sobre la posibilidad de aplicar de oficio el Derecho extranjero pese a la falta de alegación y prueba del mismo por parte de los interesados.
 
¿In medio virtus? A favor del canon jurisprudencial objetivo del “consumidor medio” para el control de transparencia de las cláusulas no negociadas
From its very inception in case law, in 2013 and 2014, the control of transparency of non-negotiated terms has been shaped in an abstract and objective manner. Whereas the Court of Justice of the European Union (CJEU) has not abandoned this parameter, based on the “average consumer” and not on the consent of the specific contracting party, the Spanish Supreme Court (TS or “Tribunal Supremo”), in recent years, has denied protection through this test to “persons with expert knowledge” in a specific type of contract (frequently mortgage loans), as has occurred with certain employees of financial institutions and specialised lawyers. This essay examines the origin of the notion of “average consumer” and its transplant to scope of the Unfair Contract Terms Directive, traces the various stages, trends and divergences in the case law of the CJEU and the TS and offers new arguments on the convenience of maintaining the objective standard in this field, in line with the transversal construction of the concept in various consumer protection directives that the CJEU is recently upholding. Furthermore, in the light of the conclusions presented in 2024 by the Advocates General of the CJEU in two important pending cases (C-450/22, Caixabank et al., and C-646/22, Compass Banca), this contribution analyses whether the notion of the average, rational and proactive consumer could be modulated by theories of socio-economic analysis of human behaviour to integrate certain vulnerabilities into the average standard.Desde su misma génesis jurisprudencial, en 2013 y 2014, el control de transparencia de las cláusulas no negociadas ha sido configurado con carácter abstracto y objetivo. Así como el Tribunal de Justicia de la Unión Europea (TJUE) no ha abandonado ese parámetro, fundado en el “consumidor medio” y no en el consentimiento del concreto contratante, el Tribunal Supremo español (TS), en los últimos años ha denegado protección por ese control a “personas con conocimiento experto” en un específico tipo de contrato (frecuentemente préstamos hipotecarios), como ha ocurrido con ciertos empleados de entidades financieras y abogados especializados. Este ensayo examina el origen de la noción de “consumidor medio” y su trasplante al ámbito de la interpretación de la Directiva sobre cláusulas abusivas, traza las diversas etapas, tendencias y divergencias en la jurisprudencia del TJUE y del TS y ofrece nuevos argumentos sobre la conveniencia de mantener en este ámbito ese estándar objetivo, en línea con la interpretación transversal del concepto en varias Directivas de protección de los consumidores que recientemente está manteniendo el TJUE. Asimismo, a la luz de las conclusiones presentadas en 2024 por los Abogados Generales del TJUE en dos importantes asuntos pendientes de fallo (el asunto C-450/22, Caixabank et al., y el asunto C-646/22, Compass Banca), esta contribución analiza si la noción de consumidor medio, racional y proactivo, podría modularse con las teorías del análisis socio-económico del comportamiento humano para integrar ciertas vulnerabilidades en el estándar medio
Contractual Liability and Compensation for Moral Harm
In Greece, the breach of contractual obligation is in principle disapproved by law, it creates, however, only an obligation for the payment of compensation and not an additional obligation for the restoration of moral harm, because the sole non-performance of the contractual obligations cannot cause moral harm. Consequently, according to the Greek legislator, a possibility for the existence of a relevant pecuniary compensation does not exist. Pecuniary compensation for non-pecuniary damage is exceptionally recognized and only in cases defined by law (Art. 299 GCC). For example, it is recognized in the cases of infringement of the personality (Arts. 57, 59 GCC) and of tort, especially for the person who suffered an attack upon his health, honour, or chastity or who was deprived of his liberty (Art. 932 GCC).
In case, however, the violation of the contractual obligation constitutes at the same time - and independently from the existence of the contract - a tort, then it is settled case law in Greece that there is concurrence of contractual and delictual obligation. In that case, the provisions of tort (art. 914 ff. GCC) may apply, in which case, provided that moral harm is sustained, compensation for such moral harm may be sought. Deciding, however, whether the violation of the contractual obligation constitutes at the same time - and independently from the existence of the contract - a tort is not always easy.
The tendency noted in the international texts aiming at the unification of law in Europe is the restoration of moral harm also in cases of breach of a contract. For example, art. 9:501 of the Principles of European Contract Law, PECL and art. 7.4.2 of the Unidroit Principles provide for the possibility of the contracting party to request the restoration of non-pecuniary damage in cases of unjustifiable breach of a contract. Thus, the override of the prohibition set in art. 299 GCC attempted by the Greek doctrine and jurisprudence through the provisions about personality protection and the application of art. 932 GCC, where there is concurrence of contractual and delictual liability, is justified and confirms that art. 299 GCC was rightly criticized almost unanimously by the Greek doctrine already since its introduction as against the tradition of Greek Law and due to the non-lenient situations it causes
Problemas de dispersión jurisdiccional del pleito en el Derecho internacional privado europeo de familia
In this paper are analyzed the formulas that have been used in the European regulation of family law to avoid the jurisdictional dispersion: from article 10 Regulation 2019/1111 (accumulation of parental responsibility to the forum divortii, provided that the parental responsibility accept); the article 3 item c) and (d)) Regulation 4/2009 that it provide for an concentration without giving entrance to the party autonomy o the articles 4 and 5 of the recent regulations on matrimonial economic regimes and patrimonial effects of the registered unions, respectively, where a decisive role is given to the autonomy on issues related to the marital crisis and the annulment or dissolution of registered unions , against non-operation of the party autonomy if the main issue is succession.Se analizan en el presente trabajo las fórmulas que se han utilizado en los distintos Reglamentos europeos de Derecho de familia para evitar la dispersión jurisdiccional del pleito: desde el artículo 10 Reglamento (UE) 2019/1111 (acumulación de la responsabilidad parental al forum divortii, siempre que los responsables parentales acepten); el artículo 3 apartados c) y d) Reglamento (CE) 4/2009 sobre alimentos, que prevén una concentración de oficio de la competencia sin dar entrada a la autonomía de la voluntad o los artículos 4 y 5 de los Reglamentos sobre regímenes económicos matrimoniales y efectos patrimoniales de las uniones registradas, respectivamente, en los que se otorga un papel determinante a la autonomía de la voluntad en cuestiones relacionadas con las crisis matrimoniales y la nulidad o disolución de las uniones registradas, frente a la no operatividad de la autonomía de la voluntad si la cuestión principal tiene carácter sucesorio
Ley aplicable al convenio arbitral en ausencia de elección expresa de las partes
There are several interrelated factors that may affect both the existence and the validity of the arbitration agreement and each of them may be subject to different laws, which may lead to divergent results and generate additional confusion. To address this problem effectively, it is crucial that arbitral tribunals and the parties involved in the arbitration pay careful attention to the distinctions between the essential and validity–related elements of the arbitration agreement, as well as to the application of the relevant law to each of them. This will help to promote consistency and certainty in the arbitral process, thereby facilitating the fair and efficientresolution of disputes. The determination of validity or not an arbitration agreement is valid under the applicable law will have a bearing on whether the dispute can be submitted to arbitration, whether court proceedings can be stayed and whether the resulting award can be set aside, or its enforcement refused. It is surprising that a mechanism such as international commercial arbitration that seeks to promote efficiencyand predictability for its users lacks a uniform response in state systems and a consensus on how to resolve the issue, creating uncertainty contrary to arbitration’s goal of achieving efficientand predictable dispute resolution. The recent contradictory practice provided by the English and French courts has again highlighted the adverse consequences for the arbitral institution of this lack of unanimity.Hay varios factores interrelacionados que pueden afectar tanto a la existencia como a la validez del convenio arbitral y cada uno de ellos puede estar sujeto a diferentes leyes. que puede dar lugar llevar a resultados divergentes y generar confusiones adicionales. Para abordar este problema de manera efectiva, es crucial que los tribunales arbitrales y las partes involucradas en el arbitraje presten una atención cuidadosa a las distinciones entre los elementos esenciales y relacionados con la validez del acuerdo de arbitraje, así como a la aplicación de la ley correspondiente a cada uno de ellos. Esto contribuirá a promover la coherencia y la certeza en el proceso arbitral, facilitando así una resolución justa y eficazde las controversias. La determinación de si un acuerdo de arbitraje es válido o no, según la ley aplicable, influiráen si la controversia puede someterse a arbitraje, si los procedimientos judiciales pueden ser suspendidos y si el laudo resultante puede ser anulado o denegada su ejecución. No deja de sorprender que un mecanismo como el arbitraje comercial internacional que busca promover la eficiecia y la previsibilidad para sus usuarios carezca de una respuesta uniforme en los sistemas estatales y de un consenso sobre cómo resolver la cuestión, generando una incertidumbre contraria al objetivo del arbitraje de alcanzar una resolución de controversias eficientey predecible. La reciente práctica contradictoria suministrada por los tribunales ingleses y franceses ha vuelto a poner de relieve las consecuencias adversas para la institución arbitral de esta falta de unanimidad
