No full textIl lavoro ricostruisce il quadro normativo relativo alla disciplina della responsabilità degli Internet services providers così come si è venuto plasmando a partire dalla direttiva e-commerce dell’inizio del secondo millennio, per giungere sino ai giorni nostri. Esso mette in evidenza come questo abbia in parte tenuto rispetto ai cambiamenti intervenuti nel mondo digitale, ed in parte abbia invece manifestato dei propri limiti, più volte sondati e superati grazie all’intervento ermeneutico della giurisprudenza.The work reconstructs the legal framework governing the liability of Internet service providers as it has been shaped since from the e-commerce directive at the beginning of the second millennium to the today. It highlights how this has partly held up to the the changes that have taken place in the digital world, and in part has instead manifested its own limits, repeatedly probed and overcome thanks to the hermeneutic intervention of jurisprudence

No full textThe vegetable field research has been enriched in recent years of new breeding techniques providing alternative and hopefully more efficient techniques than the traditional breeding and selection of plant organisms. Among these techniques the cisgenesis and the genome editing have earned the attention from the government Authorities, so much so that the Italian Ministry of Agriculture, Food and Forestry recently decided to allocate some financial resources for their development.
The paper, after exploring the different kinds of results that can derive from the application of cisgenesis and genome editing into the vegetable field, tries to shed light on the implications that may arrive by the legal protection of these results.
One issue, in particular, that is predominate in the reflection conducted in the text, in other words the risk - which is also supported by the decision of the EPO’s Enlarged Board of Appeal known as "Tomatoes / Broccoli II" of 2015 - an overlap of IPRs on the same biological material, either by plant variety right or by patent

No full textNella nota a sentenza si affronta il tema del quorum deliberativo necessario affinché possa essere introdotto nello statuto di una s.p.a., già costituita, un patto di trascinamento (c.d. clausola di drag along). In particolare il Tribunale di Milano, qui adito, approda, dopo aver rinvenuto nel patto di trascinamento dei profili di analogia con la trasformazione di azioni già emesse in azioni riscattabili, alla conclusione che per poter introdurre ex novo tale patto occorre l’unanimità dei consensi, e dunque anche quello del socio o dei soci soggetti al rischio di trascinamento
