    This essay underlines some aspects of bankruptcy law - that at the present time is subject to an ambitious and ample reform in Italy. It analyses these aspects through the special lens represented by the novels of Balzac.     On September 25th the Supreme Court recognized, under certain conditions, the constitutional illegitimacy of article 580 c.p., the rule that punishes the conduct of those who facilitate suicide. By means of this judgment, the Court lays the foundations for a legislative recognition of active euthanasia. Starting from Seneca’s observations about suicide, the Author will question whether the right to die can be regulated by law and whether the recognition of individual freedom to decide to end one’s life really makes it necessary to recognize the lawfulness of medically assisted suicide

    The ABF is an alternative dispute resolution («ADR») system concerning litigation arising from transactions between banks and their customers regarding banking services. It represents the most sophisticated form of ADR and probably the most efficient, as has been demonstrated by the increasing amount of decision adopted by the ABF from its foundation in 2010 until now. It is also meaningful that the ABF constituted a model for the legislation adopted in accordance with the European law and aiming to regulate other forms of ADR in fields related to banking law; particularly it represents the model for the proceeding, recently organized by Consob (so called ACF system), to resolve disputes between non-bank financial institutions and their retail clients as regards the fulfillment of obligations concerning financial services. Therefore, the ABF system has been deeply investigated by scholars. Commenting and reviewing a recent, interesting, book dedicated to ABF (M. Stella, Lineamenti degli Arbitri Bancari e Finanziari (in Italia e in Europa), Padova, CEDAM, 2016), in this paper the author reexamines the special features of this ADR system, and particularly, the two most critical issues: (i) if the final decision adopted by this special Court of Arbitration can be considered binding or not; and (ii) if the appeal to the ABF system could represent an effective remedy able to satisfy the need of protection of the customers

    Groups of companies have become the prevailing form of European large-sized firms. Differently from the German law regarding this subject, that developed a global and autonomous set of rules, according to the principles drafted at the European level, the Italian company law has chosen to develop only specific rules about groups of companies, especially oriented (i) to prevent the risk that the parent company could carry out the activity of management and co-ordination of the group in its own interest, or in the interest of another business and in violation of the one of the subsidiaries and, in any case, (ii) to restore the damages suffered by the minority shareholders of the latter depending on an unfair exercise of this power of control and management. In this work the Author underlines that the Italian rules, introduced in 2003, have to be considered a good starting point in the perspective of the protection of minority shareholders against intra-group transactions that could harm the value of their investment, although they are not completely satisfactory. The aim of the Italian law is, indeed, oriented only to protect the mi- nority shareholders of the subsidiary companies, forgetting that the same need of protection exists with regards to the minority shareholders of the parent company, who could be harmed in the same way through this type of transaction. The paper shows how the ordinary rules and remedies provided by company law are not sufficient to achieve this goal and identifies the measures that would be advisable to adopt
