    V magistrski nalogi obravnavam postopek rednega zmanjšanja osnovnega kapitala v delniški družbi (d. d.) in družbi z omejeno odgovornostjo (d. o. o.). Gre za enega najzahtevnejših postopkov v d. d. ali d. o. o., ker lahko prinaša velike posledice za delničarje oziroma družbenike, predvsem pa za upnike družbe. Ključni del zakonske ureditve zmanjšanja osnovnega kapitala je varstvo upnikov. Varstvo upnikov se zagotavlja s pravico zahtevati zavarovanje za nezapadle terjatve in prepovedjo izplačil delničarjem na podlagi zmanjšanja osnovnega kapitala, preden so upniki poplačani ali zavarovani. Upnikom je dana tudi možnost ugovora proti vpisu sklepa o zmanjšanju osnovnega kapitala v sodni register, če družba krši zakonska določila o varstvu upnikov. V nalogi izpostavljam določene dileme glede uveljavljanja pravic upnikov v praksi. V magistrski nalogi najprej predstavljam pojem osnovnega kapitala s poudarkom na načelu ohranitve osnovnega kapitala in pomenu osnovnega kapitala kot jamstvene mase upnikom družbe. V nadaljevanju obravnavam postopek rednega zmanjšanja osnovnega kapitala po postopkovnih korakih, posebno poglavje pa namenjam varstvu upnikov. Vključujem tudi primerjavo z nemško ureditvijo, ki je zelo podobna slovenski.This thesis deals with ordinary reduction of share capital in stock corporation and limited liability company. Resolution for the reduction of share capital is amongst the most complex resolutions, adopted by general meeting of shareholders, which can bear great risks for shareholders and especially for creditors. Therefore, the protection of creditors is the essential part of the regulation on capital reduction. Creditors are protected by the right to demand securities for their claims and prohibition of repaying the shareholders the shared capital before the creditors have been given securities or their claims have been paid. Creditors can also contest the registration of the resolution for the reduction of share capital, if the company violates the provisions for their protection. In regard to these creditors’ rights the author points out some uncertainties that exist in Slovenian law when it comes to practical application. The thesis begins by introducing the term of share capital with focus on its preservation and meaning of share capital as a fond for creditors. Further on the author deals with procedure for the reduction of share capital and protection of creditors in respective chapters. The thesis also includes a brief comparative view to German legal system in regard to the matter of the thesis

    Robust inference of cooperative behaviour of multiple ion channels in voltage-clamp recordings

    Recent experimental studies have shed light on the intriguing possibility that ion channels exhibit cooperative behaviour. However, a comprehensive understanding of such cooperativity remains elusive, primarily due to limitations in measuring separately the response of each channel. Rather, only the superimposed channel response can be observed, challenging existing data analysis methods. To address this gap, we propose IDC (Idealisation, Discretisation, and Cooperativity inference), a robust statistical data analysis methodology that requires only voltage-clamp current recordings of an ensemble of ion channels. The framework of IDC enables us to integrate recent advancements in idealisation techniques and coupled Markov models. Further, in the cooperativity inference phase of IDC, we introduce a minimum distance estimator and establish its statistical guarantee in the form of asymptotic consistency. We demonstrate the effectiveness and robustness of IDC through extensive simulation studies. As an application, we investigate gramicidin D channels. Our findings reveal that these channels act independently, even at varying applied voltages during voltage-clamp experiments. An implementation of IDC is available from GitLab

    "Empirische Befunde zur hybriden Wissensgenerierung am Beispiel der deutschsprachigen Wikipedia. Bisherige (soziologische) Forschungsarbeiten zu Wikipedia konzentrieren sich insbesondere auf die Frage nach der Entstehung eines eigentlich ''unmöglichen' öffentlichen Gut(s)' (Stegbauer 2006: 228), sowie auf die Entstehung von positionalen Strukturen innerhalb der Wikipedia-Gemeinschaft. Bei einer näheren Betrachtung der Edits, also den Veränderungen an Wikipedia-Artikeln, zeigt sich, dass inzwischen zahlreiche Edits von autonomen Softwareagenten, sogenannten Bots, durchgeführt werden. Es handelt sich bei diesen Editierungen zwar überwiegend um kleinere Änderungen an Artikeln, dennoch ist eine zunehmende Bedeutung nicht-menschlicher Akteure für die hybride Wissensgenerierung evident. Die Arbeit wird zunächst eine empirische Bestandsaufnahme der Bot- Aktivitäten vornehmen. Dabei werden die Bots nach unterschiedlichen Tätigkeitsfeldern klassifiziert und es wird untersucht, ob und wie sich die Bot-Aktivitäten in den letzten Jahren intensiviert haben. Im zweiten Schritt wird das Verhalten der Bots mit dem Verhalten menschlicher Wikipedia-Nutzer verglichen und auf wesentliche Differenzen und Ähnlichkeiten hingewiesen. Bei diesem Vergleich werden insbesondere die Art der Artikel-Änderungen und der Umfang der Änderungen berücksichtigt. Abschließend wird der Versuch unternommen, das Zusammenhandeln von Bot, Bot- Betreiber und Wikipedia-Nutzer mit Hilfe eines hybriden Handlungsmodells (HMSE) (Fink/Weyer 2010) zu erklären."     Current HIV/AIDS statistics show that women account for almost 60% of HIV infections in Sub-Saharan Africa. HIV prevention tools such as male and female condoms, abstinence and monogamy are not always feasible options for women due to various socio-economic and cultural factors. Microbicides are products designed to be inserted in the vagina or rectum prior to sex to prevent HIV acquisition. The biannual Microbicides conference took place in Cape Town, South Africa from 23-26 April 2006. The conference was held for the first time on the African continent, the region worst affected by the HIV/AIDS pandemic. The conference brought together a record number of 1,300 scientists, researchers, policy makers, healthcare workers, communities and advocates. The conference provided an opportunity for an update on microbicide research and development as well as discussions around key issues such as ethics, acceptability, access and community involvement. This report discusses the current status of microbicide research and development, encompassing basic and clinical science, social and behavioural science, and community mobilisation and advocacy activities

    Discovering Regulatory Overlapping RNA Transcripts

    STEREO is a novel algorithm that discovers cis-regulatory RNA interactions by assembling complete and potentially overlapping same-strand RNA transcripts from tiling expression data. STEREO first identifies coherent segments of transcription and then discovers individual transcripts that are consistent with the observed segments given intensity and shape constraints. We used STEREO to identify 1446 regions of overlapping transcription in two strains of yeast, including transcripts that comprise a new form of molecular toggle switch that controls gene variegation

The constellation of the spine malformation complex such as incomplete development of the vertebral bodies associated with defective ossification of the cervico-thoracic pedicles causing effectively the development of complete spinal cord injury at the kyphotic level of C7/T1 were present. Congenital kyphosis secondary to vertebral body hypoplasia has not been reported in connection with Pierre Robin sequence

    The Robin problem for the Helmholtz equation in a starlike planar domain

    The interior and exterior Robin problems for the Helmholtz equation in starlike planar domains are addressed by using a suitable Fourier-like technique. Attention is in particular focused on normal-polar domains whose boundaries are defined by the so-called “superformula” introduced by J. Gielis. A dedicated numerical procedure based on the computer algebra system Mathematica© is developed in order to validate the proposed approach. In this way, highly accurate approximations of the solution, featuring properties similar to the classical ones, are obtained. The computed results are found to be in good agreement with the theoretical findings on Fourier series expansion presented by L.
