    This essay takes Carlo Angelici’s body of work, and especially his new book, La società per azioni- Principi e problemi, in Trattato di diritto civile e commerciale, Giuffrè, Milano, 2012, as a point of departure to discuss the relationship between corporation law and the contract model. Angelici’s main thesis is that the model of contract is not able to frame and explain the specific discipline of the corporation. While I find Angelici’s motivation very well designed and acutely argued, I find his characterisation of the corporation as a non-contractual institution ultimately unconvincing. My thesis is that the author uses a too narrow notion of contract, essentially the short-term contract fit for discrete transactions. I mantain instead that the evolution of the social division of labor has led to the emergence of new models of contract well suited to frame even the phenomena governed by corporation law

    The paper provides some hints for exploring the relationship between Jhering’s thought and the Economic Analysis of Law, both understood as an expression of the instrumental conception of law. In particular, the conceptual status of subjective rights in each of the two systems of thought is examined, and the conclusion is reached that Jhering’ s conception of rights is much less individualistic and instrumental than that of the EAL. In EAL rights reach a level of instrumentality and ensuing instability that Jhering would never accept

    The paper maintains that “contractualism” still provides the best conceptual pattern in which company law can be framed. “Contractualism” does not imply any special protec- tion of the shareholders’ interest, not even the absence of rules, mandatory ones included. “Contractualism” implies instead that company law ought to be interpreted as a means to facilitate the conclusion of contracts (among investors, managers, creditors, etc.), to balance the interests of the contracting parties, to protect third parties from negative externalities. This conceptual model offers an interpretation of current Italian and European law, better than the one offered by competing models as institutionalism (strong or weak) or system theory. Even the legal aspects of the events that led to the financial crisis can be explained by the “Faustian bargain” between investors and managers, better than in any other way. Some difficulties presently faced by the same contractarian model are finally illustrated
