Models and instruments of cooperation between Institutions, Regions and Territories from a globalised perspective: the case of European macroregional strategies and the Italian National Strategy for Inner Areas
This paper looks at the possible role of administrative law and regulation in a period of
economic crisis when the previous systems in place to protect social values have failed because their
primary interest lay in the market. From this perspective fundamental is the role of models and
instruments of cooperation between Institutions, Regions and Territories, in particular multilevel
governance and macroregional strategies. The paper will analyse macroregional strategy, in particular the
Adriatic-Ionian Macroregion (EUSAIR), which presupposes an integrated approach, a collective action
that aims at a common goal integrating different actors, policies and funds and whose objective is to
coordinate the financial resources available for the benefit of the territories. From this perspective,
“capacity building” of the territories and the administrations involved is of vital importance for the
success of this new form of cohesion. It is declined in order to ensure the development of forms of
cooperation and sharing of best practices, operating, not only at executive level, but also at programming
and planning activity in a way to promote the competitiveness of the territories.
In line with this approach, looking at the Italian experience, we find the Italian National Strategy for
Inner Areas which aims at integrating and encouraging the creation and/or consolidation of integrated
forms of government of local municipal public services that respect local characteristics, the size of the
entities involved and the needs expressed by the territories
The project financing in the italian legal
Oggetto di questo lavoro di ricerca è, come si evince chiaramente dal titolo, l’istituto del Project financing e i suoi rapporti con l’ordinamento giuridico italiano.
Preliminarmente è sembrato opportuno, ai fini di una più chiara ed esaustiva indagine speculativa, analizzare lo scenario istituzionale e giuridico in cui il Project Financing si colloca e di cui rappresenta uno dei più validi istituti, ossia il Partenariato pubblico privato, spesso abbreviato tramite l’utilizzo dell’acronimo PPP.
Quest’ultimo si configura come una delle più recenti branche avanguardiste del diritto dell’economia e della governance economica.
La prima definizione di Partenariato pubblico privato che rinveniamo è datata 2004 ed è una definizione documentale, che deriva cioè da un documento della Commissione Europea, più precisamente dal “Libro Verde relativo ai partenariati pubblico-privati ed al diritto comunitario degli appalti pubblici e delle concessioni” e che definisce, appunto, il PPP come una formula onnicomprensiva con cui si fa riferimento a “forme di cooperazione tra le autorità pubbliche e il mondo delle imprese che mirano a garantire il finanziamento, la costruzione, il rinnovamento, la gestione o la manutenzione di un’infrastruttura ovvero la fornitura di un servizio”.
Ogni operazione di Partenariato pubblico privato, comprese anche quelle di Project financing, è caratterizzata da una serie di elementi che si possono così sintetizzare: durata relativamente lunga dell’operazione, forte finanziamento da parte dei soggetti privati e la ripartizione dei rischi dell’operazione tra soggetto pubblico e soggetto privato.
A questa definizione documentale,ormai datata e superata, è necessario affiancare, o meglio sostituire, la definizione normativa che del PPP ha recentemente dato il nostro legislatore: infatti, con il D.Lgs. 11 settembre 2008, n. 152 (Terzo Decreto Correttivo al Codice dei Contratti Pubblici) si sono definiti i contratti di partenariato pubblico privato.
Nella definizione codicistica di contratto di Partenariato pubblico privato rientrano tutte le tipologie alternative all’appalto e finalizzate a realizzare opere pubbliche o a fornire pubblici servizi. Da ciò si evince come il Partenariato pubblico privato non si sostanzi in una mera operazione economica, ma sia una nuova categoria negoziale, alternativa all’appalto, per la realizzazione di opere pubbliche.
Dopo questa necessaria premessa sul PPP, la dissertazione prosegue, al capitolo 3, con l’analisi dell’istituto della “Concessione”, che si può definire come l’istituto giuridico che costituisce, nel nostro ordinamento, una sorta di antenato del Project financing, e, al capitolo 4, che costituisce la parte centrale di questo lavoro di ricerca, con l’analisi dei diversi soggetti che fanno parte di un’operazione di PF, con i possibili schemi di PF, con il suo ambito di applicazione oggettiva, con l’analisi dei rischi di progetto e il piano di fattibilità economico-finanziaria, con l’analisi della disciplina legislativa, che ripercorre l’evoluzione storica e normativa del PF dalla nascita dell’istituto stesso fino all’ultima novella legislativa, che è costituita dal Terzo Decreto correttivo al Codice dei Contratti pubblici.
Il lavoro si conclude con due capitoli finali dedicati, rispettivamente, alla natura giuridica dell’istituto del Project financing ed ad una raccolta giurisprudenziale che analizza il PF nella giurisprudenza dei TAR, del Consiglio di Stato, della Corte Costituzionale e della Corte di Giustizia Europea.The object of this research is, as is clear from the title, the institution of the project financing and its relationship with the Italian legal system.
Preliminarily it appears desirable in order to more clearly speculative and exhaustive investigation, analyze the institutional and legal scenario in which the Project Financing takes place and which represents one of the most valuable institutions, namely the public-private partnership, often abbreviated by 's use of the acronym PPP.
The latter is configured as a vanguard of the latest branches of business law and economic governance.
The first definition of public-private partnership that was found is dated 2004 and is a definition document, which is derived from a document that the European Commission, more specifically, the "Green Paper on public-private partnerships and Community law on public contracts and concessions "and defines it as the PPP as a comprehensive formula which refers to" forms of cooperation between public authorities and the business community aimed at guaranteeing the financing, construction, renovation, management or maintenance infrastructure or the provision of a service. "
Each operation of public-private partnership, including that of project financing, is characterized by a series of elements that can be summarized as follows: relatively long duration of the operation, stronger financial commitment from the private operation and the sharing of risks between public and private person.
To this definition documentary, outdated and outmoded, it is necessary to add, replace or rather, the definition of PPP legislation has recently given our legislature: in fact, with the Leg. September 11, 2008, No 152 (Third Corrective Decree of the Code of Public Contracts) have defined the public-private partnership contracts.
In the definition of codicistica public private partnership contract covers all types of alternative procurement and spending to provide public works or public services. This shows how the public-private partnership does not consist merely in a purely economic transaction, but is negotiating a new category, alternative contract for the construction of public works.
After this necessary background on PPP, the thesis continues in Chapter 3, with the analysis of the institution of "concession", which can be defined as the legal institution which is, in our system, a sort of ancestor of the Project financing , and, in Chapter 4, which forms the core of this research, the analysis of the different subjects that are part of an operation of PPP with the patterns of PF, with its scope, objective, with the analysis of project risks and plan of economic and financial feasibility, with the analysis of legislative framework, which traces the historical evolution and regulatory institution of the PF from birth until the last legislative news, which is consisting of the Third Order Healing Public Contracts Code.
