Sale of Shares of Close Company as a Mean of Business Transfer
Subject matter of this research are the juridical aspects of sale of close company shares as a mean of business transfer regulated by civil law. After a thorough research of relevant Lithuanian and foreign legislative acts, judicial practice and jurisprudence the conception of the business transfer has been formulated and the criteria, which determine a recognition of sale of shares as a business transfer, have been diagnosed. Also the author distinguished and analysed the peculiarities of such transactions: peculiarities of pre-contractual (negotiating) stage, restrictions on sale of close company shares and additional requirements, liability of seller of shares for defects of sold object, conditions of validity (admissibility) of the non-competition covenants concluded by the parties of business transfer.
The theme of sale of shares as a mean of business transfer is practically not examined in Lithuanian jurisprudence. Thus this dissertation is the first exhaustive systemic analysis of sale of close company shares as a mean of business transfer in Lithuania. During the research there were properly analysed the foreign and Lithuanian legal acts, jurisprudence and courts’ practice related to the legal aspects of legal relations of share sale. The author also provides the practical suggestions, which should help to solve the questions of share sale in Lithuania without prejudice to reasonable balance between interests of the seller of business, the buyer and the third persons or should be as a source of innovations for Lithuanian legislator. This research presents a concentrated review of experience of foreign countries and analysis of Lithuanian legal basis. Therefore, this research can be as a source for both the courts and the lawyers-practicians.Šio tyrimo dalykas yra materialinio teisinio pobūdžio uždarosios bendrovės akcijų pardavimo kaip verslo perleidimo būdo aspektai, reguliuojami civilinės teisės. Atliktos visapusiškos aktualių Lietuvos ir užsienio teisės aktų, teismų praktikos bei mokslinės literatūros mokslinės analizės pagalba buvo suformuluota verslo perleidimo sąvoka ir diagnozuoti kriterijai, sąlygojantys uždarosios bendrovės akcijų pardavimo pripažinimą verslo perleidimu. Taip pat buvo išskirti bei išanalizuoti tokių sandorių ypatumai: ikisutartinės (derybų) stadijos ypatumai, uždarosios bendrovės akcijų pardavimo suvaržymai ir papildomi reikalavimai, akcijų pardavėjo atsakomybė už parduoto objekto trūkumus bei verslo perleidimo šalių sudaromų nekonkuravimo susitarimų teisėtumo (leistinumo) sąlygos.
Lietuvos teisės doktrinoje akcijų pardavimo kaip verslo perleidimo būdo tema yra praktiškai nenagrinėta. Taigi, šioje disertacijoje pirmą kartą Lietuvoje pateikiama išsami sisteminė uždarosios bendrovės akcijų pardavimo kaip verslo perleidimo būdo analizė. Tyrimo metu išsamiai yra išnagrinėti užsienio ir Lietuvos teisės aktai, doktrina bei teismų praktika, susijusi su akcijų pardavimo teisinių santykių teisiniais aspektais, o atlikus tyrimą yra pateikiami praktiniai pasiūlymai, kurie turėtų padėti Lietuvos teisėje išspręsti akcijų pardavimo klausimus, nepažeidžiant protingo balanso tarp verslo pardavėjo, verslo pirkėjo ir trečiųjų asmenų interesų, arba bent jau būti inovatyvių idėjų šaltiniu Lietuvos įstatymų leidėjui. Šis tyrimas, pateikiantis koncentruotą užsienio šalių patirties apžvalgą ir Lietuvos teisinės bazės analizę, gali būti šaltiniu tiek teismams, tiek ir teisininkams-praktikams
Nature and legal assessment of the contractual warranties in the business sale agreement
Šiame straipsnyje nagrinėjami sutartinių garantijų verslo pirkimo-pardavimo sutartyje statuso ir teisinio vertinimo klausimai. Praktikoje plačiai paplitęs tokių garantijų naudojimas visų pirma kelia klausimų dėl pačių garantijų teisinio statuso, paskirties, įtakos pardavėjo teisinei atsakomybei už sutarties pažeidimus. Straipsnyje aptariamos sutartinių garantijų prielaidos, atskleidžiama jų esmė ir atsakomybės už jų pažeidimą ypatumai. Pagrindžiama, kad sutartinės pardavėjo garantijos yra vienos iš sutarčių sąlygų, kurių pažeidimas sukelia pardavėjui teisines pasekmes (civilinę atsakomybę) – pirkėjas įgyja teisę reikalauti atlyginti nuostolius, sumažinti pardavimo kainą ar net nutraukti sutartį. Tiesa, sutartyje gali būti numatyti tam tikri materialūs ar procedūriniai pardavėjo atsakomybės apribojimai. The amount of damages normally is equal to the difference between the actual market value of the business and the market value the business would have had if the warranty had been true. The agreement can involve certain material or procedural limitations of the seller's liability. However, such provisions must be reasonable and fair. Also any limitation of the liability is not possible in case of wilful misconduct or gross negligence of the seller. Additionally, a preconceived knowledge of the buyer about the falseness of the warranty will deprive the buyer of the right to claims in respect of the breach of the warranty, except where this clause is clearly agreed in the agreement

Uždarosios bendrovės samprata ir požymiai
The object of this research is a close company as a legal form of an organization of business. The relevance of the theme is determined by the fact that in order to understand and improve the regulation of the various forms of legal entities, it is necessary to know the evolution, concept and the specific features of the specific legal entities. The most popular legal form in Lithuania is a private limited company. But the Lithuanian legal basis lacks deep traditions on matters of private limited companies. Lithuanian legislature had learn from other countries’ experience in this field. However, Lithuania has not done enough research as to whether a created regulation corresponds to the essence and particularity of such companies. The questions related to the evolution and concept of close companies (private limited companies) were not examined in Lithuanian jurisprudence. This article is the first to provide a detailed analysis of the concept and typical features of a close company. The purpose of the research is to disclose the concept, evolution and specific features of a close company. Various scientific methods have been applied: linguistic, document (content of source), logical, systematic, comparative, critical analyses, etc. A study carried out revealed that during the evolution of company law there have been occurrences of the more simple form of a company, which was fitted for a small circle of participants— a company closed in nature (i.e., having no free public turnover of shares), in other words—a close company. A key feature of a close company is the lack of a public market for shares, which determines the restrictions on transfer of shares as well. A close company can be defined as a company, the shares of which cannot be offered to the public and the shares of which are under transfer restrictions. Lithuania, where the model of a close company corresponds with a private limited company (UAB), is attributable to the group of countries which have left a feature of share capital for the form of close company, but have fixed more flexible requirements and a ban on share trading in public, as well as limiting the maximum number of shareholders and/or the share transfer restrictions.Pati populiariausia verslo organizavimo teisinė forma Lietuvoje yra uždaroji akcinė bendrovė. Agreement on sale of close company shares: requirements of form and significance of registration
The form and registration requirements applicable for transfer of close company shares differ in various countries. Discussions on separate related aspects take place in the international business transfer theory and practice. The Lithuanian legal regulation of the said requirements is continually improved, taking into account the experience of other countries and business practice needs. Based on the analysis of the European Union, the Lithuanian and foreign legislation, case law and doctrine, this article is designed for the examination of effectiveness and adequacy of current requirements for the form of share sales transactions as well as expedience of fixing the model of public registration of data about shareholders of a close company.Šiame straipsnyje tiriami uždarosios bendrovės akcijų pardavimo sutarties formos ir registracijos reikalavimai. Temos aktualumą lemia tai, kad visai neseniai buvo priimti Lietuvos Respublikos akcinių bendrovių įstatymo pakeitimai, įtvirtinę gana reikšmingus pakeitimus uždarosios akcinės bendrovės akcininkų registracijos klausimais. Be to, įvairiose valstybėse uždarųjų bendrovių akcijų perleidimui taikomi formos ir registracijos reikalavimai skiriasi. Lietuvos teisinė bazė bendrovės akcijų perleidimo formos bei registracijos klausimais neturi gilių tradicijų. Negausi ir teismų praktika. Lietuvos teisės doktrinoje ši tema taip pat nebuvo išsamiai nagrinėta. Galima rasti tik keleto Lietuvos autorių (dr. J. Kiršienės ir K. Keručio, prof. V. Mikelėno, T. Rymeikio) darbų, kuriuose buvo aptariami atskiri klausimai, susiję su bendrovės akcijų perleidimo forma, ir kiti procedūriniai reikalavimai. Šio tyrimo tikslas – ištirti dabar galiojančių uždarosios bendrovės akcijų pardavimo sandorių formos reikalavimų efektyvumą ir pakankamumą, duomenų apie uždarosios bendrovės akcininkus viešos registracijos įtvirtinimo tikslingumą. Atliekant šį tyrimą taikyti įvairūs moksliniai metodai, kurių pagrindiniai: lingvistinė, dokumentų (šaltinio turinio), loginė, sisteminė, lyginamoji, kritinė analizė.
Atlikto tyrimo pagrindu autorius padarė išvadą, kad Lietuvoje būtų netikslinga ir neefektyvu nustatyti privalomą notarinę formą uždarųjų bendrovių akcijų perleidimo sandoriams. Doktrinoje minimus tikslus, ypač teisinio aiškumo ir akcininkų sudėties skaidrumo užtikrinimą, galima pasiekti kitais būdais, pavyzdžiui, įpareigojimu uždarąsias akcines bendroves apie akcijų savininkus ir akcijų perleidimą informuoti Juridinių asmenų registrą. Manytina, kad įrašymui į akcijų (akcininkų) apskaitos registrą suteikiama panaudojimo prieš trečiuosius asmenis teisinė reikšmė. Lietuvoje buvo įdiegtas uždarosios akcinės bendrovės akcininkų duomenų viešos registracijos modelis. Autoriaus manymu, neįregistravusios akcijų perleidimo fakto Juridinių asmenų registre šalys negalėtų panaudoti perleidimo fakto prieš trečiuosius asmenis ir įrodinėti savo teisių prieš trečiuosius asmenis remdamosi kitais įrodymais

Non-competition covenants in case of a business transfer
The validity (probability) of non-competition covenants which are typical for business transfer transactions is one of those issues on which discussions go in the international business transfer theory and practice. On one hand, such covenants help ensure the business interests of the buyer, on the other hand, by their nature, they can mean a restriction of competition, which is prohibited by law. This article, based on the analysis of the European Union, the Lithuanian and foreign legislation, case-law and doctrine, is designed for a disclosure of the concept of non-competition covenants, which are concluded by the parties in the context of a business transfer as well as for the identification of the conditions of the validity (admissibility) of those covenants.Šiame straipsnyje tiriami verslo pardavėjo ir pirkėjo sudaromi nekonkuravimo susitarimai. Temos aktualumą lemia tai, kad visai neseniai pasibaigė įmonių įsigijimų banga, todėl galima prognozuoti su verslo perleidimu, taip pat ir su sudarytais nekonkuravimo susitarimais susijusių bylų skaičiaus teismuose didėjimą. Lietuvos teisinė bazė verslo perleidimo klausimais neturi gilių tradicijų, o ir dabar galiojantis reglamentavimas nėra pakankamai aiškus. Negausi ir teismų praktika. Lietuvos teisės doktrinoje nekonkuravimo susitarimų klausimai nebuvo nagrinėti. Lietuvos teisėje nėra visiškai aiškus verslo perleidimo sandoriams būdingų nekonkuravimų susitarimų teisėtumo klausimas. Dėl to Lietuvos verslininkai bei teisininkai praktikai perėmė ir aktyviai taiko užsienio valstybių patirtį, šablonus sutarčių, kurių tinkamumas bei leistinumas Lietuvos teisinėje sistemoje dar nėra „patikrintas“ teismų praktikos ir teisės doktrinos. Šio tyrimo tikslas – ištirti verslo perleidimo šalių sudaromus nekonkuravimo susitarimus (įsipareigojimus), nustatyti (diagnozuoti) tokių susitarimų teisėtumo (leistinumo) sąlygas. Taikyti įvairūs moksliniai metodai, kurių pagrindiniai: lingvistinė, dokumentų (šaltinio turinio), loginė, sisteminė, lyginamoji, kritinė analizė.
Remdamasis atliktu tyrimu, autorius padarė išvadą, kad nekonkuravimo susitarimai turėtų būti pripažinti teisėtais (leistinais), jeigu atitinka dvi sąlygas: apribojimų tikslas yra teisėtas ir apribojimai yra proporcingi (protingi) jų trukmės, dalyko (turinio), geografinės taikymo srities (teritorijos) ir subjektų atžvilgiu. Pirmoji sąlyga reikalauja, kad tokių susitarimų tikslas būtų šalių (paprastai verslo pirkėjo) teisėtų interesų apsauga – siekis užtikrinti nesumažėjusios vertės objekto (įmonės, verslo) perdavimą pirkėjui (tiesioginės sąsajos su vykdoma koncentracija ir būtinumo tą koncentraciją vykdyti kriterijai). Antroji sąlyga reiškia, kad tokie susitarimai neturi suvaržyti konkurencinių veiksmų daugiau, negu protingai būtina teisėtam tikslui pasiekti. Spręsdami atitinkamas bylas, teismai turėtų vertinti visus tokių susitarimų protingumo (proporcingumo) faktorius (subjektų, teritorijos, apimties, trukmės) ir teikti jiems lygiavertę reikšmę
Calculating the Voting Majority Required for Decisions of the General Meeting of Shareholders: The Issue of a “Simple” Majority
Violations of the voting majority required for decisions of the general meeting of shareholders are deemed to be substantial violations of procedure, due to which decisions may be declared invalid. Uncertainty arises when the rule of counting votes is referred to as „majority“ or „simple majority“. This article seeks to determine which elements constitute the content of the vote counting rules in the general meeting of shareholders, and how a „simple“ majority should be understood. The research revealed that determining the majority of votes required for specific decisions of the general meeting depends on the numerator and the base from which the numerator is to be calculated. The decisive factor is the definition of the base. The numerator „simple“ („relative“) majority should be understood as the largest of the groups that make up the base. When the base includes only the votes present and cast, it is sufficient that there are more votes in favour than against. When the base includes all the votes present (or votes of all outstanding shares) then the number of votes in favour should be higher for both the number of votes against and the number of abstentions. Meanwhile, the numerator „absolute majority“ (or simply „majority“) presupposes a larger part of the base (i.e., one vote more than half of the base). Shareholders may also set a larger majority for the decisions of the general meeting in the articles of association by increasing the numerator and/or base
Akcijų pirkimo-pardavimo pripažinimas verslo perleidimu: diagnozavimo kriterijai ir reikšmė akcijų pardavėjo atsakomybei
The object of this study is the legal framework for the sale or purchase of company shares when the goal of the transaction is the sale of a business. The impact of such transactions on Lithuanian economic development underlines the importance of this study. The recent wave of mergers and acquisitions in Lithuania is likely to substantially increase the number of related legal disputes as well. Legislation on the purchase and sale of company shares and the resulting transfer of business has been enacted in Lithuania only recently. The regulation of such cases remains rather unclear, few cases have been brought to court, and the topic has been barely addressed by legal scholarship in Lithuania to date. It is unclear whether the fact that the real purpose of the transaction is not a simple reassignment of company shares, but business transfer, results in any differences in the interpretation and application of the law. An especially delicate question, raised in Lithuania and other European countries, is whether the buyer may submit a warranty claim to the seller regarding the business acquired.
The purpose of this study is to introduce the concept of business transfer and to present the criteria for determining if the transaction should be classified as a sale of business. The authors also assess the possibility for the buyer to submit warranty claims to the seller regarding the company. Various analysis methods were used in this study: linguistic, document, logical, systematic, comparative, critical analysis and other methods. The authors conclude that the sale or purchase of shares should be classified as a business transfer when the intention of both parties of the transaction is not to merely sell or purchase company shares, but to transfer the ownership of the company to the buyer.
