    How Does Law Affect Finance? An Empirical Examination of Tunneling in an Emerging Market

    This paper documents that law affects finance in emerging markets through the methods used by controlling shareholders to “tunnel” wealth out of the firm. We find that Bulgarian securities law enabled financial tunneling via dilution and freeze-out tender offers. During the period 1999- 2001, about two-thirds of the 1,040 firms on the Bulgarian Stock Exchange were delisted. Freeze-out tender offers for minority shares averaged about 25% of the shares’ intrinsic value. Bulgarian securities law changes in 2002 made financial tunneling more costly for controlling shareholders. Subsequent increases in stock market valuations and liquidity suggest that controlling shareholders have shifted from financial tunneling to less value-destroying methods, such as transfer pricing, to extract wealth from firms.Tunneling, freeze-out, controlling shareholders, appraisal rights, preemptive rights

    Magistrska naloga Skladbe za klarinet Maxa Regerja obravnava življenje, ustvarjalni opus in pomen Maxa Regerja za klarinetni repertoar. Reger se je rodil v Brandu na Bavarskem v glasbeni družini. Skladateljsko in orgelsko izobrazbo je pridobil v Sonderhausnu ter na konservatoriju v Wiesbadnu. Svojo kariero je razvijal v različnih nemških mestih, med drugim v Weidnu, Leipzigu in Jeni, kjer je deloval kot skladatelj, pianist, pedagog in dirigent. Regerjev glasbeni slog zaznamujejo goste harmonske teksture, kontrapunkt ter zvestoba tradiciji baročne in klasične glasbe ob hkratnem vključevanju globoke poznoromantične izraznosti in spogledovanju z modernizmom. Nanj so močno vplivali skladatelji, kot so Johann Sebastian Bach, Johannes Brahms, Richard Wagner in Franz Liszt, sam pa je pomembno vplival na razvoj glasbe 20. stoletja, zlasti na ustvarjalce, kot so Paul Hindemith, Arnold Schönberg in Dmitrij Šostakovič. V nalogi je podan tudi pregled Regerjevega celotnega opusa, ki zajema dela za različne zasedbe, pri čemer posebno mesto zavzema komorna glasba. Klarinet se v Regerjevem ustvarjanju uveljavlja kot pomembno komorno glasbilo, pri čemer skladatelj izkorišča njegovo izrazno širino in tehnične možnosti, ki vsebujejo široko paleto barv tona, možnost izvajanja virtuoznih pasaž v vseh registrih in velik razpon v dinamiki. V zadnjem delu naloge analiziram Regerjeve komorne skladbe za klarinet. To so Tarantella v g-molu, Albumblatt v Es-duru, tri sonate za klarinet in klavir ter Kvintet za klarinet in godalni kvartet v A-duru. Ker Regerjevo delo predstavlja most med pozno romantiko in začetki modernizma, skladatelj pogosto piše tako, da hitro menja tonalna središča, zato je včasih težko določiti dejansko tonaliteto posameznega dela skladbe. Kadar sem pri analizah skladb naletel na tovrsten odsek skladbe, sem v tabelo vpisal tonaliteto, ki prevladuje oziroma je jasno zaznavna na začetku ali pa na koncu posameznega odseka.This master\u27s thesis Compositions for Clarinet by Max Reger examines the life, creative output, and significance of Max Reger for the clarinet repertoire. Reger was born in Brand, Bavaria, into a musical family. He received his education in composition and organ performance in Sondershausen and at the conservatory in Wiesbaden. He developed his career in various German cities, including Weiden, Leipzig, and Jena, where he worked as a composer, pianist, teacher, and conductor. Reger’s musical style is characterized by dense harmonic textures, intricate counterpoint, and fidelity to the traditions of Baroque and Classical music, while also incorporating the deep expressiveness of late Romanticism and an engagement with early modernist tendencies. His music was strongly influenced by composers such as Johann Sebastian Bach, Johannes Brahms, Richard Wagner, and Franz Liszt, while Reger himself had a significant impact on the development of 20th-century music, particularly influencing composers like Paul Hindemith, Arnold Schoenberg, and Dmitri Shostakovich. The thesis also provides an overview of Reger’s complete opus, encompassing works for various ensembles, with special emphasis on his chamber music. Within his chamber works, the clarinet emerges as a prominent instrument, with Reger exploring its expressive range and technical possibilities, including a wide variety of tonal colors, the ability to perform virtuosic passages across all registers, and an extensive dynamic range. In the final part of the thesis, Reger’s chamber works for clarinet are analyzed, including the Tarantella in G minor, Albumblatt in E-flat major, three Sonatas for clarinet and piano, and the Clarinet Quintet in A major. Since Reger’s compositions bridge late Romanticism and the beginnings of modernism, he often rapidly shifts tonal centers, making it difficult at times to determine the actual key of a section.     The Impact of Cis-heteronormative and Patriarchal Social Systems on LGBT+ Coming Out

    V svojem diplomskem delu sem raziskovala, kako cis-heteronormativni in patriarhalni družbeni sistem vplivata na LGBT+ ljudi, predvsem v povezavi z razkrivanjem. V teoretičnem delu sem opredelila osnovne pojme, kot so kratica LGBTQIA+, spolna usmerjenost in spolna identiteta. Skozi spolni binarizem sem predstavila razliko med družbenim spolom in spolom, pripisanem ob rojstvu, pri čemer sem razložila tudi interspolnost in spolni izraz. Nato sem se poglobila v družbene sisteme, konstrukcije in norme, ki gradijo svet okoli nas. Na podlagi teh sem razložila družbeno konstrukcijo spola in spolne usmerjenosti, heteronormativnost in cisnormativnost, medikalizacijo, patriarhat in heteropatriarhat, pri slednjem pa sem se ustavila, da bi opisala seksizem, seksualizacijo in hegemono moškost. V zadnjem poglavju teoretičnega dela sem se posvetila homo-bi-transfobiji, (ne)razkrivanju LGBT+ oseb, pri čemer sem posebno pozornost namenila razkritju samim sebi in razkritju staršem. V empiričnem delu sem predstavila ugotovitve, do katerih sem prišla z intervjuvanjem sedmih LGBT+ oseb, do katerih sem prišla z neslučajnostnim priročnim vzorčenjem. Vprašanja so bila predvsem povezana z njihovim razkrivanjem, tako samim sebi kot tudi drugim ljudem, pa tudi z diskriminacijo, ki so jo bile_i deležne_i na podlagi svoje spolne usmerjenosti/identitete, povezana pa so bila tudi s predvidevanji, ki jih ima do njih okolica in njihovimi željami po spremembi družbe. Skozi raziskavo sem spoznala, kako na LGBT+ osebe vplivata cis-heteronormativno in patriarhalno okolje ter druge družbene norme. Ugotovila sem, da poskušajo LGBT+ osebe zaradi tega skrivati svojo spolno usmerjenost in/ali identiteto in da si jo pred razkritjem tudi dlje časa niso priznale, nekatere so celo ponotranjile predsodke o svojih lastnih identitetah. Zaradi družbenih predvidevanj se poskušajo z okolico zliti tako, da prilagajajo svoj spolni izraz. Družba namreč na podlagi spolnega izraza predvideva tako njihovo spolno usmerjenost kot tudi spolno identiteto in njihove zaimke, večkrat pa je to predvidevanje napačno. Ugotovila sem, da je feminilnost v patriarhalni družbi označena za šibko in manjvredno, zaradi česar so ženske, feminilni moški in pa osebe iz spektra transspolnih žensk najpogosteje tarča zatiranja v patriarhalnem in cis-heteronormativnem okolju, kar posledično vpliva na odločitev o razkritju. Da bi LGBT+ osebam lahko pomagale_i in jim odprle_i prostor, da se razkrivajo in s tem zaživijo svoje polno življenje, pa moramo najprej razumeti kompleksnost družbenih norm in konstruktov, ki jih je ustvaril človek, se začeti preizpraševati in kritično razmišljati o svetu, ki nas obdaja in se začeti zavedati, da stvari, ki jih imamo za univerzalno resnične, to včasih niso.In my thesis I explored how the cis-heteronormative and patriarchal social systems affect LGBT+ people, especially in relation to coming out. In the theoretical part, I defined basic concepts such as the acronym LGBTQIA+, sexual orientation and gender identity. Through gender binary, I presented the difference between gender and sex assigned at birth, explaining intersex and gender expression. I then delved into the social systems, constructions and norms that build the world around us. Based on these, I explained the social construct of gender and sexual orientation, heteronormativity and cisnormativity, medicalization, patriarchy and heteropatriarchy, and stopped at the latter to describe sexism, sexualization and the hegemony of masculinity. In the last part of the theory I focused on homo-bi-transphobia, the (non)coming out of LGBT+ people, with a personal focus on coming out to oneself and coming out to one\u27s parents. In the empirical part, I present my findings from interviewing seven LGBT+ people, which I reached through non-randomised convenience sampling. The questions were mainly related to their coming out, both to themselves and to other people, but also about the discrimination they have been subjected to on the basis of their sexual orientation/identity, the assumptions made about them by the people around them and their wishes to change the society. Through this, I learnt how LGBT+ people are affected by cis-heteronormative and patriarchal environments and other social norms. I have found out that, because of this, LGBT+ people try to hide their sexual orientation and/or identity, and that they have also spent a long time not acknowledging it before coming out, and even internalising prejudices about their own identities. Social assumptions lead them to try to blend in by adapting their sexual expression. Society makes assumptions about people\u27s sexual orientation, gender identity and pronouns based on their gender expression, and many of these assumptions are wrong. I found that femininity is seen as weak and inferior in a patriarchal society, which leads to stigmatisation of women, feminine men and people on the feminine transgender spectrum, they are most likely targets of oppression in patriarchal and cis-heteronormative environments, which in return influences the decision to come out. But in order to help LGBT+ people and open space for them to come out and live their lives fully, we first need to understand the complexity of social norms and man-made constructs, to start questioning and thinking critically about the world around us, and to begin to realise that the things we think are universally true sometimes they are not

    Experiencing racism among Slovenian women of colour

    V svojem magistrskem delu sem raziskovala, kako temnopolte Slovenke doživljajo rasizem. Z namenom razumevanja izvora rasizma sem v teoretičnem delu skozi teorije, kot so monogeizem, poligenizem, teorija naravnega izvora, teorija socialnega darvinizma, evolucionizma, kulturnega determinizma, kritične rasne teorije in teorijo intersekcionalnosti, najprej predstavila zgodovino rasizma v povezavi s kolonializmom. Potem sem se lotila dekonstrukcije družbeno oblikovanih konceptov »rase« in etničnosti, nato pa sem se poglobila v različne vrste rasizmov, kot so medosebni, institucionalni, strukturni, ponotranjen in pa spolno specifični rasizem. Preučila sem še, kako se rasizem preko predsodkov in stereotipov reproducira, tako v Evropi kot tudi v Sloveniji. V zadnjem poglavju teoretičnega dela sem se posvetila odgovorom na rasizem, pri čemer sem posebno pozornost namenila proti-rasističnim gibanjem in bojem proti diskriminaciji. V empiričnem delu sem predstavila ugotovitve, do katerih sem prišla z izvedbo fokusnih skupin. V skupno treh skupinah je sodelovalo devet temnopoltih žensk, ki so bile v Sloveniji rojene oziroma pa prišle v Slovenijo v zgodnjem otroštvu. Do njih sem prišla z neslučajnostnim priložnostnim vzorčenjem. Vprašanja so bila povezana predvsem z njihovim doživljanjem različnih vrst rasizma in s stereotipi ter predsodki na podlagi barve kože, pa tudi z doživljanjem etnične identitete in z željami po spremembah. Z raziskavo sem spoznala, kakšne vrste rasizmov doživljajo temnopolte Slovenke in kakšen vpliv imajo na njihova življenja. Ugotovila sem, da rasizem na različne osebe vpliva na različne načine. Čeprav se osebe same včasih tega niti ne zavedajo, saj rasizma v prvi vrsti velikokrat ne prepoznavajo kot rasizem, tovrstna dejanja vseeno zaznavajo, ta pa grenijo življenja sogovornic. Ugotovila sem, da belopolta slovenska družba za Slovence in Slovenke dojema le belopolte osebe. Raziskava je pokazala, da temnopolte Slovenke doživljajo specifično vrsto rasizma, predvsem so deležne posrednega nasilja, pri katerem je najbolj pogosto verbalno nasilje. Poleg tega doživljajo tudi spolno specifični rasizem. Nekatere osebe so rasizem ponotranjile, zaradi česar imajo potrebo po ustvarjanju belopoltega videza. Rasizem do temnopoltih Slovenk se največkrat reproducira s pozitivno diskriminacijo in pozitivnimi stereotipi. Da bi rasizem prenehali reproducirati, pa ga moramo najprej razumeti, ozavestiti, ga poimenovati in ga zavestno prenehati reproducirati. Le na ta način lahko soustvarjamo odprto družbo z enakimi možnostmi in pravicami, tako na papirju kot tudi v praksi.In my master\u27s thesis I researched how Slovenian women of colour experience racism. To understand the origins of racism, I first presented in the theoretical part the history of racism in relation to colonialism through theories such as monogeism, polygenism, natural descent theory, social Darwinism, evolutionism, cultural determinism, critical race theory and intersectionality theory. Then I set out to deconstruct the socially constructed concepts of “race” and ethnicity. I delved into different types of racisms, such as interpersonal, institutional, structural, internalized, and gendered racism. I also examined how racism is reproduced through prejudices and stereotypes, both in Europe and in Slovenia. In the last chapter of the theoretical part, I focused on responses to racism, paying particular attention to anti-racist movements and the fights against discrimination. In the empirical part, I present the findings of the focus groups. Nine black women who were born in Slovenia or came here at an early age participated in a total of three groups. I reached them through non-randomised convenience sampling. The questions were mainly related to their experiences with different types of racism, stereotypes, and prejudices based on skin colour, but also to their experiences of ethnic identity and their wishes for the change in the society. Through my research, I learned about the types of racism experienced by Slovenian women of colour and the impact it has on their lives. I have found that racism affects different people in different ways. Although they are sometimes not even aware of it, as they often do not recognise racism as racism in the first place, they still perceive such acts, which affect their lives in a negative way. I have discovered that white Slovenian society perceives only white Slovenian people as Slovenes. The survey showed that Slovenian women of colour experience a specific type of racism, mainly indirect violence, with verbal violence being the most common. They also experience gendered racism. Some people have internalised racism, which is why they feel the need to create a white look. Racism against Slovenian women of colour is most often reproduced through positive discrimination and positive stereotypes. To stop reproducing racism, we must first understand it, become aware of it, name it, and consciously stop reproducing it. This is the only way to co-create an open society with equal opportunities and rights, both on paper, as well as in practice
